WNEREAS TNF: TORONTO-DOMINION BANK, a bank chartered under
the Bank Act of Canada having its principal o£fice in the City of
Atlanta, State of Georgia (hereinafter referred to as "Afortgagee"),
is the owner and holder of the fol2owing Mortgage:

HII, and {VF:STON-FLORIDA DEVELOPMENT CORPORATION-FT.
PIERCE #III, all Florida corporations (collectively
hereinafter called "Mortgagor"), to Mortgagee dated
November 3, 1981, and recorded November 10, 1981, in
Official Record Book 366, Page 887, Public Records of
St. Lucie County, Florida, securing the original
principal sum of Twelve Million Five Hundred Thousand
and no/100 Dollars U.S. ($12,500,000.00), as amended
by that certain Future Advance Agreement and Modifica-
tion of Mortgage and Note, between Mortgagor and
Mortgagee, dated February 7, 1984, and recorded on
April 30, 1984, in Official Record Book 430, Page 1418,
as modified by Future Advance Agreement.and Modification
recorded on September 7, I984, in Official Record Book
442, Page 1662, further modified by Modification Agree-
ment recorc~ed on Apri1 2, 1987, in Official Record Book
536, page 2914, ALL being of the Public Records of St.
Lucie County, Florida, (collectively hereinafter called
~ the "Mortgage").
LVHEREAS, the said rtortgagor has requested the Mortgagee to `
release the premises hereinafter described, being part of said
mortgaged premises, from the Iien and operation of said biortgage.

NOW, THEREFORE, KNOi~` YF., that said A9ortgagee, in consideration
of the premises and of the sum of Ten and No/100 Dollars ($10.00) to
them in hand paid, or in behalf of, the said hiortgagor at the time of '
the execution hereof, the receipt whereof is hereby acknowledged,
does remise, release, quit-claim, exonerate and discharge from the
lien and operation of said Mortgage unto the said Mortgagor, its
successors and assigns, that certain portion of the premises conveyed
by said I~tortgagor more particularly described as follows:

according to the Declaration of Condominium thereof,

~ BOTH being of the Public Records of St. Lucie County,
; Florida, together with all of the appurtenances there-
to, as set forth in said Declaration of Condominium
(the "Property"); TOGETHER WITH its undivided interest
in the common elements appurtenant thereto.
TO HAVE AHD TO HOLD the same with the appurxenances unto the
said Mortgagor, its successors and assigns forever, freed, exonerated
and discharged of and from the lien of the said Mortgage, and every
part thereof; provided always nevertheless that nothing herein
contained shall in anywise impair, alter, or diminish the effect,
lien or encumbrance of the aforesaid biortgage on the remaining portion
