_ A failure by the MQrtgagors to make payments due upon the First-
Mortgage shall be cieemed a default o~ the Note secured hereby and
of this Mortgage. Mortgagee, if it so elects, may pay any and alI

accrue upon any default of the first Mortgage, and such amount so
~ paid shall be secured by this Mortgage, and repaid with interest at.

~ithin fifteen (15) days after the receipt by the Mortgagors_ by
written notice thereaf. Failure to make such payments shall he

~Any tran~fer, sale or conveyance of any interest, legal or equitable,
by any means or device by Mortgagors, wi~hout the prior written
approval of Morfi.gagee shall constitute a default of this M~ortgag~,
provided however, that M~rtgagee reserves the right to investigate
an3 approve the credit worthiness of any transferee of any Mortga-
. gor, including the right upon approval of such transfer, to renego-
tiate the terms of the indebt~dness ~ecured herzby, inciuding the ~
rate of interest. Mortgagors agree that prior to any transfer, ~
s~~kiject to this Nbrtgage, that the prospective transferee shall
apply to the Mc~rt~agee for approval and_ the failure to da sq shall
be deemed a de.fault of this Mortgage.
