HomeMy WebLinkAbout0917 i Unit Owners who are delinquent in the payment of Assessmen~s (i.e. wha h~ve no~ paid an Assessment within ten (10) days of the first date payment 3s due) shall not be entitled tn vote at any meet~ng of the Members, annual or special, f~or so long as any such Assessments remain delinquent. B. If a Unit is c;rned by more than one (1) individual or by a corporation or other entity, said Owners, corporation or other entity shall file a certificate with the Secretary naming the person or ~ersons authorized to cast saic~ Unit vote any one of ~thom may vo~e at any meeting on behalf nf ~he Unit. If the same is not on file prior to any meeting ~ of the Members, annual or special, a vote of such Uni~ shall ? nat be considered, nor shall the presence of said Owners at ~ a meeting he considered in determining whether the quorum ; requirement has been met, rotwithstanding the above, if: (1) no certificate of designation is on ~ file, and a11 Owners of a Unit are present, either in person or by proxy, and cast theix votes unanimouly; or (2)' all those designated in the certifica~e to vote on behalf o~f the Unit are present, either in ~ person or by proxy, and cast their votes, unanimously, th~n said votes shall be caunted and consid~red as one vote for each Unit so owned. C. A11 proxies must be in writing, ~igned by the vot- ing Member granting the proxy and filed with the Secretary i prior to the meeting, annual or special, for which said proxy is granted. Each proxy shall specifically set forth the name of the person voting by proxy and the name of the p~rson authorized to vote the proxy for him. Each proxy shall contain the date, time and place of the meeting for which the proxy is given, and if a limited proxy, set forth those items which the holder of the proxy may vote, and the manner in which the vote is c~st. The proxy shall be valid anly for such meeting or meetings subsequently held pursuant to an adjournment of that meeting. Proxies may b~ given , only to a voting Member. Section 8. Waiver and Consent. Whenever the vote of Members at a me~ting is required or p~rmitted by any provision of the Florida Statu~es, the Decl.aration, the Articles of Incorporation " or these By-Laws in contiection with any action of th~ Association, the meeting and vote 9f Members may be dispensed with if all ; Members who would have been entitl~d to vote upon the action of ~ such meeting if such meeting were held shall consent in writing . to such action being taken. ~ ~ E Section 9.
