paragraph 2, and Article IX, Section 2b of the By-laws of ~

Oceana Association, Inc., as recorded in the Public Records of ~

St. Lucie County, Flnrida, at Official Records Book 245, Page i

109, are hereby amended as approved at a meeting of the members ~

and unit owners of Oceana Association, Inc., held on February ~
~
14, 1989, to read as follows: ~

ARTICLE I '
I
Section 2. The principal office shall be located at 9920 ~
South Ocean Drive, Hutchinson Island, Jensen Beach, Florida, or !
~
I~ at such other place as may be subsequently designated by the ~
; Board of Directors.

ARTICLE III ~

; Section 1, paragraph 2 is deleted.

E ARTICLE IX
I
Section 2b. The Board of Directors shall have authority
to make improvements, additions and alterations to said
~ recreational areas as may be necessary or desirable from time
; to time as authorized in the Certificate of Incorporation, and
; to make assessments for these improvements that have been
~ properly voted upon and passed by a two-thirds (2/3) vote of
° the members of the Recreation Association at the annual meeting
! of inembers or at a special meeting of inembers.

` 2. The adoption of these Amendments appear upon the
~
minutes of said meeting and are unrevoked.

3. All the provisions of the By-Iaws of Oceana
Association, Inc., are herein confirmed and shall remain in
full force and effect except as specifically amended herein.
