CERTIFICATE OF PARTNERSHIP

Having been duly sworn, the undersigned partners of
Shamrock Groves, a Florida general partnership, do declare
and certify as follows:
1. Partnership: That Shamrock Groves is a general
partnership that was formed under the laws of the State of
Florida on August 1, 1988.
2. Partners: That the only partners of Shamrock
Groves as of this date are Bernard A. Egan, Glen W. Reed,
Catherine E. Gilet, Jean Jacques Gilet, Robert W. Egan, and
Gregory P. Nelson.
3. Authority to Convey Property: That Gregory P.
Nelson and Glen W. Reed have been duly authorized by the
Partnership to enter into a property sale agreement with the
State of Florida Department of Transportation on behalf of
the Partnership and are authorized to bind the Partnership
by their execution of a deed of conveyance as general
partners of Shamrock Groves.
