I, Anni Palffy, do hereby certify that I am the
Secretary and as such the keeper of the records of The Danube-
Swabian Foundation oE the U.S.A. Inc., a Wisconsin Not For Profit ;
Corporation and that at a duly constituted meeting of the Board ~
of Directors of said Corporation, held on November 8, 1989, at 10
Phillip Road, Suite 114, Vernon Hills, Illinois 60061 at 8:00
p.m., the following Resolutions were unanimously ad~pted and are
still in full force and effect:

"RESOLVED, that it is in the best interest

! of this Foundation to sell the vacant lot now
~
~ owned by the foundation, located in St. Lu~ie
~ County Florida and more particularly described
in exhibit "A" attached hereto, at a price of
$ 13,500.00 and

~ BE IT FURTHER RESOLVED, that the President, Theo
~ Junker, and the Secretary, Anni Palffy of the
~ Corporation are authorizecl to execute on behalf of
the Corporation all necessary documents to
t sell the property and transfer title to
~ the purchasers, Ronald Perrillo and Linda M.
~ Perrillo.
I do further certify that the 8uly elected and acting
President of the Carporation is Theo Junker.
