whereof is hereby acknowledged, do hereby convey and aqree as

FIRSTs That the above described Mortgaqe shall continue to be
a valid first Mortqaqe lien upon the property herein described and
said Mortgaqe shall stand as aecurity for the payment of the sums
described hereinafter and in said Mortgage.
SBCOIdDs The current principal balance as of December 29, 1989 is
$89,278.24.
THIRD: That the Promissory Nate dated December 29, 1986 shall
be renewed and replaced by the Renewal Promissory Note attached
hereto as Exhibit A and incorporated herein by reference.
FOURTH: Al1 of the terma and conditions contained in said
Promissory Note and Mortqage beinq modified only as expressly
provided herein. '
FIFTH: This Agreement shall be bindinq upon and shall inure to
the benefit of the heirs, executors, personal representatives,
successors and assigns of the parties hereto.
