him and determined that he is, in their opinion, incapable to act
as Trustee hereunder. HOMER P. DAVIDSOi~'s incapacity shall be
deemed to cease upon delivery of a similar certification or
certifications to the Successor Trustee. •The Successor Trustee
shall be completely exonerated from all possible liabilities or
claims upon its exercising good faith in accepting such written
certification or certifications and assuming the office of

~ DAVIDSON is, in the opinion of the Successor Trustee, unable to

administer such income or to exercise his right to withdraw

& principal, the Successor Trustee shall, from time to time,

~ distribute to or expend for the benefit of the Grantor and those

~ dependent upon him, the income and sufficienfi principal, which,
~
~ together with funds known to the Successor Trustee to be avail-
~ able from other sources for such purposes, will in the sole
~ ~
~ discretion of the Successor Trustee and consistent with the value i
~
of the trust, maintain Grantor and those dependent upon him as
nearly as possible in the mode of living to which he and they
were accustomed prior to his becoming incapacitated.

~ Upon and subsequent to the death of the Grantor, the

~ Successor Trustee shall use its best efforts to collect the

~ proceeds of all policies which are subject to the terms of this
~
~ trust, or may, at the option of the Trustee, exercise any of the
