In addition, the Trustee may in its discretion,
terminate and distribute the trust outright to Grantor
during Grantor's lifetime if the Trustee, in the rrustee's
sole discretion, determines that the costs of continuance
thereof will substantially impair the accomplishment or the
purposes of the trust, or if, in the sole opinion of the
Trustee, any other reason exists for the termination of
this trust and the distribution of the remaining trust
assets to Grantor.
IN WITNESS WHEREOF, Grantor and Trustee have executed
and sealed this instrument.
