right-of-way will be recorded and the duties of said escrow agent
will be discharged. If the land use designation is not changed
in accordance with Exhibit "D" within tne next twelve (12)
months from the effective date of this agreement, the warranty
deed will be returned ta ST. LUCIE GROVES and the Escrow Agent
will have discharged his respnnsibilities and duties under this
agreement and this agreement will terminate.
5. ST. LUCIE GROVES agrees to indemnify and hold harmless
the Escrow Agent for properly performing his duties under this
agreement, and in the event that a Iawsuit is filed invalving the
Escrow Agent as a defendant in reference to performing his duties
under this agreement, ST. LUCIE GROVES will be responsible for
any attorney's fees or costs incurred by said Escrow Agent.
6. ST. LUCIE GROVES agrees that the right-of-~ay alignment
can be changed within certain limitations, if neeessary because
of a change in the interchange design. Any change in the right-
i of-way alignment must be approved a~d acceptable to both parties,
~ ST. LUCIE GROYES or its successors or assigns and the COUNTY.

i Approvals of changes in the right-of-way alignment shall not be

~ unreasonably withheld. '

7. The COUNTY agrees that ST. LUCIE GROVES, its succes~ors
~ or assigns, will have access tQ the roadway to be constructed
~ ~
~ along the southern boundary of ST. LUCIE GROVES' property. The
~ exact location of said paints of access to be determined by
~ engineering representatives of ST. LUGIE GROVES and the COUNTY
~ when the right-of-way plans are finalized. Said points of
~ access to be as shown in Exhibit "E" attached hereto and
~
~
incorparated by reference herein, and said alignment, if modified
or changed, shall be subject to the approval of both parties.
