PURCHASE MONEY MORTGAGE

MORTGAGE, made as of this ~ day of January, 1990 by
Sunbelt Lodgings of Fla., Inc., whose address is 320 N.E. 38th
Street, Fort Lauderdale, Florida 33325 (the "Mortgagor") to
NORTHEAST HOTEL ASSOCIATES, a New York General Partnership, having
~ an office at 733 Yonkers Avenue, Yonkers, New York 10704 and ALART
HOTEL ASSOCIATES, a New York partnership, having an office at 733
Yonkers Avenue, Yonkers, New York 10704 (each individually a
"Mortgagee" and collectively the "Mortgagees").
` WITNESSETH, that to secure the payment of an indebtedness
