public of guest rooms, restaurants, cocktail lounges, meeting
rooms, banquet fac~lities and all other revenues of the Premises
which according to standard use and generally acceptable accountinq
practices constitutes revenues for the operation of said Premises ,
as hotels.
Direct Operating Expenses shall mean all reasnnable and
appropriate costs and expenses which are actually and directly
incurred by Mortgagor in operating and managing the remaining ~
Premises in accordance with standard use and generally acceptable ,
; accounting practice. ~
~ Release Amounts for each of the Premises hereby mortgaged are '
~ as set forth on Exhibit "Z" annexed hereto, adjusted as provided
~ in the next succeeding grammatical paragraph.

In the event Mortgagor, prior to the date an individual
Premises has been released pursuant to Subsection "B" of this

~ Paragraph 24, shall have prepaid the Mortgage in part pursuant to
~
~ the provisions of Subsection "A" of this Paragraph 24, the Release
¢ Amounts as set forth on Exhibit "Z" shall be adjusted to apply the

~ amount of such prior prepayments to all of the Release Amounts ~.n

~ the same proportion as the Release Amounts as set forth on Exhibit

~ "Z" bear to $2,550,000.00.
25. Zn the ever.t Mortgagee shall f~il to make any payment of
interest or principal when due, in accordance with the terms of
this Mortgaqe, including a fa~lure to satisfy the entire mortgage
indebtedness upon the maturity date of this M~rtqage, all such sums
not paid when due shall bear interest at the Default Rate until
