provisions of the Lease, an~i to the extent same are paid over to
Mortgagor or Mortgagee in accordance with the following provisions
hereof:
(ii) All Proceeds delivered to Mortgagee as aforesaid,
together with all Proceeds paid directly to Mortgagee on account
of damage or destruction to the Real Estate and/or the Equipment,
less the cost, if any, to Mortgagee of such recovery and of paying
out such Proceeds (including, without limitation, reasonable
attorneys', architect's, engineer's and other cansultant's fees and
cests allocable to inspecting the Work and reviewing the plans and
~ specifications therefor), shall, subject to the provisions of this
~ Paragraph 28, be applied by Mortgagee to the payment of the cost
~ o€ the Work to be done by Mortgagor referred to in Paragraph (b)
of this Paragraph 28 ar?d shall be paid out from time to time to

` Mortgagors and/or, at Mortgagee's option exercisable fram time to
~ time, directly to the contractor, subcontractors, materialman,

laborers, engineers, architects and other persons rendering

; services or materials in connection with the Work, as said Work

~ progresses, except as otherwise hereinafter provided, but subject
r to the following conditions, any of which Mortgagee may waive:

(A) If the work to be done is Major Work, the Architect,

~ ;ahere required pursuant to Paragraph 28.B (i) hereof, shall be in
charge of the Work.
(B) Each request for payment shall be made at least ten
(10) days prior to the requested date of disbursement and shall be
accompanied by a certificate of the Architect, which Architect's
