(1) madify any Lease or enter into (or materially ~

ancillary to hotel purposes and is customary in hotels of like
nature and quality, without Mortgagees' prior written consent;
(2) discount any rents or other charges payable under
any Sublease of space (i) requiring the conversion of more than So
of the guest rooms to any other purpose, or (ii) for any purpose
other than that which is reasonably ancillary to hotel purposes and
is customary in hotels of like nature and quality, or collect the
same for a period of more than ane (1) month in advance (exclusive

(3) cancel, terminate or accept a surrender of the Lease ~

or of any Sublease affecting space (i) requiring the conversion
of more than 5~ of the guest rooms to any other purpase, or (ii)
for any purpose other than that which is reasonably ancillary to
hotel purposes and is customary in hotels of like nature and
quaiity, except upon the default of the tenant thereurder;
(4) except as specifically provided in this Paragraph
29, execute any conditional bill of sale, chattel mortgage or other
security instruments cover~nq any of the Equipment, or purchase any
Equipment so that ownership of the same will not vest
unconditionally in Mortgagor, free from encumbrances on delivery
to the Real Estate;
