(5) except as expressly provided herein, sell, transfer,
convey or assign (by operation of law or otherwise} any interest
in Mortgagor or in the Premises or any part thereof;
(6) assign the Lease, or sublease all or a major part of
Premises demised pursuant to any of the Leases or assign or further
sublet any Sublease affecting the Real Estate now or hereafter in
effect, or any of the rights thereunder (including, without

limitation, the right to receive the Profits of the Real Estate) ,
assigned to Mortgagee simultaneously herewith; '
(7) except as expressly provided herein, further
; encumber, alienate, hypothecate, grant a security interest in or

; grant any other interest whatsoever in the Lease or any portion of

F the Premises other than such Subleases permitted hereunder (whether

i superior or inferior to the lien of this Mortgage); or

(8) (a} No stockholder or partner of Mortgagor shall sell

f or dispose of their interest in the corporation or partnership (if
€
~ any) comprising Mortgagee except for a sale to other members of
~ the partnership or corporation or their immediate families or allow
~ any other person or entity to be admitted to Mortgagor as a
~ stackhclder or as a General Partner except in connection with the
~ death, insanity or insolvenc~ of any General Partner or
~
~
stockholder.
(b} Mortgagee agrees that upon the written request
of Mortgagor, Mortgagee shall enter into attornment and
' non-disturbance agreements, in form and substance reasonably
