34. Mortgagcr represents and warrants to Seller that it has
the full right, authority and ability, without the consent of any
third party, to execute this Purchase Money Mortgage and Note.
35. Northeast Hotel Associates and Alart Hotel Associates ;
have entered into an Agreement of even date herewith whereby
Northeast Hote~ Associates appointed Alart Hotel Associates to
represent it, to take any action, to execute any document and to
enter inta any agreement, related to or in connection w~th this
Mortgage.
IN WITNESS WHEREOF, this Mortgage has been duly executed by
