a total of forty-two (42) monthly payments until the full amount
of $42,500 is paid. The initial $10,000 payment and the 3anuary
20, 1990 payment shall be paid to RELI FINANCIAL CORP. c/o
Michael Ebener, National Portfolia Manager, Post Office Box 797,
Northbrook, Illinois 60065-0797. Subsequent payments shall be
paid to RELI FINANCIAL CORP., Post Office Sox 3013, Cedar Rapids,
Iowa 52406-9110 or to the address designated on th~ monthly
statements. Defendants further agree to provide annual financial
statements at the accounting year end to Plaintiff at its
principal place of business. In the event the Defendants, SIGLER
ENTERPRISES, INC., a Florida corporation, and RICHARD E. SIGLER,
individually, default in any payment or fail to provide financial
statements, Plaintiff may declare the full amount then due and
owing without notice and commence execution proceedings on the
Judgment forthwith. Prepayment of the amount due and owing as
calculated by Plaintiff is permitted at any time. The prepayment
figur~ shall be provided to Defendants within thirty (30) days of
receipt by Plaintiff af a written request directed to rlaintiff's
principaZ place of business in Northbrook, Illinois.
3. Defendants, SIGLER ENTERPRISES, INC. and RICHARD E.
SIGLER, individually, agree to pay any costs and attorney's fees
incurred by Plaintiff in enforcing this Amended Stipulation. In
the event there is a dispute in payment, Defendar.ts shall
continue to make the monthly payments into an escrow account or
bank account during the term of the dispute. If the Defendants
fail to make the payments in escrow, Defendants specifically

agree to waive all defenses or counterclaims to any action
