In the event that the Grantors are unable or unwilling to ~

serve as Trustees of this Trust, then the Grantors appoint
WILLIAH ISERNIA, Grantors' SON, and ANTHONY ISERNIA, Grantors'
SON, to act as Co-Successor Trustees of this Trust. Each Co- 1~
Successor Trustee shall have equal authority and responsibility
in this capacity. No bond or security shall be required of the
Successor Trustees to act in this capacity.
