3. This Addendum shall be deemed termiriated, cancelled, void and of
no longer any force and effect, and Mortgagee shall release Mortgagor
from all obligations under the Mortgage and Note, at such time as the
Property is sold or transferred by Mortgagor to a third party and
Mortgagee and the person to whom the Property is to be sold or
transferred, reach an agreement in writing prior to such sale, that (i)
the credit of such person is satisfactory to Mortgagee, (ii) the sum
secured by the Mortgage and the interest payable under the Note secured
shall tae at such rate as Mortgagee shall request and (iii) if Mortgagor's
successor in interest has executed a aritten assumption agreement
accepted in Writing by Mortgagee.
