(a) In furtherance of the foregoing Assignment, the Assignor hereby authorizes the Assignee, by its employees or agents, at its option after Default under any of the Loan Documents by the Assignor, to enter upon the Property and to collect in the name of the Assignor, or in its own name as the Assignee, the rents, issues, proceeds and profits accruing but unpaid and ~n arrears at the date of such entry by the Assignee, as well as the rents, issues, proceeds and profits thereafter accruing and becoming payable during the period of the continuance of the entry bv the Assiqnee. To this end, the Assignor further agrees that it will facilitate in all reasonable ways the Assignee's collection of the rents, issues, proceeds and profits and, upon request by the Assignee, will egecute a written notice to each tenant and vendee, directing the tenant or vendee to pay all sums owinq to the Assignor to the Assignee. (b) The Assignor also hereby authorizes the Assignee, upon ~ such entry, at its option, to take over and assume the management, operation and maintenance of the Property, to perform all acts necessary and proper and to eapend such sums s out of the income of the Property as may be needful in ~ connection therewith and in the same manner and to the same z eztent as the Assignor theretofore might. The Assignor hereby ~ releases all claims against the Assignee arising out of such ; management, operation and maintenance, excepting the liability of the Assignee to account as herein set forth. ~ (c) The Assignee shall, after payment of all proper ~ charges and eapenses, including reasonable compensation to such j managing agent as the Assignee shall select to ernploy, and ' after the accumulation of a reserve to meet taaes, assessments, ~ utility charges and alI risk casualty and liability insurance ` in requisite amounts, credit the net amount of income received ~ by it from the Property by virtue of this Assignment to any ~ amounts due and owing to it under the terms of the Loan - Agreement, if any, the First Mortg~ge or the First Mortgage Note, but the manner of the application af such net income and ' what items shall be credited shall be determined in the sole discretion of the Assignee. The Assignee shall not be accountable for more monies than it actually receives fram the Property; nor shall it be liab~e for failure to collect rents, issues, proceeds and profits, reserving however, within its own discretion, the right to determine the method of collection and the extent ta which enforcement of collection of delinquent rents, issues, proceeds and profits shall be prosecuted. ~ ~ ~ r 3 3 8oaK6?5 PA~E~820 ~ . ~:w ~ ~~~-~j ~ ~
