Buatti, Esquire ~ ~ ~ - Gunster, Yoakley & Stewart, P.A. , ; ~ One Lincoln Place, Suite 351 1900 Glades Road Boca Raton, Florida 33431 COLLATERAL ASSIGrII~NT OF AGREEI~NTS AFFBCTING REAL ESTATS THIS ASSIGI~II~II:NT, made this ~ day of January, 1990 by SOUTHERN EAGLE DISTRIBUTING, INC., a Missouri corporation ~ authorized to transact business in Florida (the "Borrower") to I SUNBANK/SOUTH FLORIDA, NATIONAL ASSOCIATION (the "Lender"). ~ ~ ; WHEREAS, the Lender has agreed to advance up to FOUR ; MILLION AND NO/100 (U.S. ~4,000,000) DOLLARS to the eorrower ~ (the "Loan") pursuant to that certain Commercial Loan Agreement f of even date herewith hetween the Horrower and the Lender (the ~ i "Loan Agreement") to be evidenced by a First Mortgage Note in - the amount of One Million Sia Hundred Fifty Thousand and No/100 (~1,650,000) Dollars and a Term Note in the amaunt of Two Million Three Hundred Fifty and No/100 ($2,350,000) Dollars ` (collectively, the "Notes") and other collateral documents ~ described in the Loan Agreement, all of even date herewith, ~ including a first mortgage (the "First Mortgage") to the Lender ~ encumbering certain real property (the "Property") situate and = being in St. Lucie County, Florida, and more fully described on ~ Eahibit "A" attached hereto and made a part hereof. The Loan ; Agreement, Notes, First Mortgage and other collateral documents ~ described in or accompanying the Loan Agreement are hereinafter ~ sometimes collectively referred to as the "Loan Documents." ~ Unless otherwise specified herein, capitalized terms are used ` herein with the same meanings as defined in th~e Loan Agreement; and WHEREAS, as a condition to granting the Loan, the Lender has required the B~,rrower to eaecute and deliver this Assignment.
