3. Grantee ehall at all timea indemnify, defend and
hold Grantor harmless with respect t~ the Servient Estate, from
an~ aqainst any and all claims, liabilitieg, losses, costs,
damages and expenses (includinq reaeonable attorneya' fees
whether incurred at or before the trial level or in any appellate
or bankruptcy proceedinqs) which Grantor may suffer, sustain or
incur by reason of death, personal injury or property ~amage
(including, but not limited to, the,filing or other encumbrancs
of any mechanics or other lien or 13ens against the Servient
Estate), caused by acts or omissions of Grantee or its agents,
employees or independent contractors in connection with the
exercise or utilization of the easem~nts and/or rights specified
herein with respect to the Servient Estate.
4. The easements, riqhts, and indemnifications
granted herein sha21 be covenants running with the land which
shall be binding upon and inure to the benefit of Grantor and its
successors and assigns, including, but not limited to, any
successor in title in and to all or any portion of the Servien~
Estate and shall be binding upon and inure to the benefit of
Grantee and its successors and assigns, including but not limited
to, any successor in title in and to all or any portion of the
Dominant Estate.
