is entering into this Notice of Future Advance and Fifth
Modification only as the owner of tt~e Property and that the
Mortgage as herein modified is nonrecourse as to PDI and its
partners and any shareholders, directors, officers or affiliates
of such partners.
10. This Agreement shall be binding on all tt~e succes-
sors and assigns of the respective parties hereto.
