THIS AGREEMEBTT is made and entered into as of this ~T `K~ day
of ~~)r-}~ igg2~ by and between ST. LUCIE COUNTY,
FLORIDA, a political subdivision of the State of Florida,
hereinafter referred to as "St. Lucie County" and ATLANTIC GULF
COI~itTNITIES CORPORATION, a Delaware corporation formerly known as
GENERAL DEVELOPMENT CORPORATION, hereinafter referred to as
"Atlantic".
W I T N E S S E T H
WHERE~IS, Atlantic owns certain property along the existing and
proposed alignment of South 25th Street - Phase II/St. James Drive
lying within the City of Port St. Lucie, in St. Lucie County; and
WHEREI~S, St. Lucie County is proposing to expand and realign
South 25th Street - Phase II/St. James Drive through the City of
Port St. Zucie as part of the County's capital roadway i.mprovement
program; and, -
~E~~, St. Lucie County has adopted a"Roads Impact Fee ;
Ordinance," which 1IIlposes i.m pact fees relating to public
transportation facilities; and,
WHEREAS, Section 1-17-33.1{c)(6j of the Code of Ordinances of
St. Lucie County provides for credits for Right-of-Way Dedications
that provide for inereased roadway capacity under the circumstances
set forth in that section; and,
WSEREAS, Atlantic has agreed to convey the Subject Property
hereafter defined, to St. Luci.e County in accordance with the terms
and conditions set forth herein; and,

WHEREAS, St. Lucie County approved, subject to the
satisfaction of certain conditions, Road Impact Fee Credit
Agreement 92-02 on May 26, 1992, which through the acceptance of
this Rgreement (92-OS) is hereby declared to be null and void.
WHEREAS, Atlantic has dedicated the property described in the
Section 2 below to St Lucie County, with this dedication bein
completed on the day of ~Q~,~c 1992, as found in OR Book
Page through ~'~,,'J y , of the Land Records of St . Lucie County,
Florida, and;
WHEREAS, St. Lucie County and Atlantic are desirous of
establishing an agreement concerning the amount of credit that
Atlantic is entitled to for the dedication of right-of-way along
South 25th Street - Phase II/St. James Drive.
NOW, THEREFORE, in consideration of the mutual covenants
entered into between the parties hereto, to be made and performed,
and in consideration of the benefits to accrue. to each of the
parties, it is agreed as follows:
Section 1. Incorporation by Reference
The above recitals are true and correct and are made a part of
this Agreement by reference.
Section 2. Amount of Credit.
Atlantic is entitled to a credit against road impact fees in
the amount of four hundred forty thousand, and seventy six
00/100 ($449,076) dollars under the criteria set forth in
Section 1-17-33.1(c)(6) of the Code of Ordinances of St. Lucie
County for the property more particularly described in the
attached exhibits A through P(the "subject property").
Section 3. Reduction in Amount of Credit Due to Abandonment
of Existinq Right-of-Way
Upon the completion of construction of the South 25th Street -
Phase II/St. James Drive project, St. Lucie County shall
exchange with Atlantic, in accordance with the provisions of

Chapter 125.63, Florida Statutes, the property described in
Exhibit Q subject to an easement reservation in favor of St.
Lucie County for the maintenance of all utilities located
therein. In consideration of this exchange, the amount of the
gross Road Impact Fee Credit that Atlantic is entitled to as
described in Section 2, is reduced to four hundred twenty
three thousand, five hundred and sixty one dollars 00/100
($423,561j dollars provided, however, that this credit
reduction shall be cancelled and rescinded in the event that
this exchange has not taken place on or before January 1,
2000, which shall then make Atlantic eligible to receive the
balance of the road impact fee credits, up to the amount
identified in Section 2 of this Agreement.
Section 4. Identification of Outstandin Taxes.
As of the date of this agreement, Atlantic has outstanding
with the St. Lucie County Tax Collector the responsibility
for the payment of the following taxes on the properties
described in Section 2:
1989 Taxes and Fees: $12,776.001 (if paid by June 15, 1992)
i990 Taxes and Fees: $15,676.001 (if paid by June 15, 1992)
1991 Taxes and Fees: $ 0.003 (if paid by June 15, 1992)
1992 Ta~ces and Fees: $ 4,048.002 (if paid by June 15, 1992)
Notes I: Includes all penalty fees
2: No penalty associated with these fees
3: 1991 Taxes and Fees paid - March 31, 1992
In order to satisfy the outstanding real estate taxes and fees
due on the Subject Property, both parties agree that the
amount of credit due Atlantic shall be reduced by Thirty two
thousand, five hundred 00/100 ($32,500.00) dollars if this
agreement is recorded by June 15, 1992.
Section 5. Revised Amount of Credit.
Based upon the deductions of Section 4, the revised amount of
the road impact fee credit granted through this agreement

shall be three hundred ninety one thousand, and sixty 00/100
($39i,059.00), (the "Credit"j dollars if this agreement is
recorded by June 15, 1992.
Section 6. Limitation of Credit.
The credit established by this Agreement is limited solely to
the property legally described in Exhibit R, attached hereto
and is not transferable to any other property owned by
Atlantic in St. Lucie County. The credit may only be applied
against road impact fees and shall not be transferable as a
credit against other impact fees imposed for purposes other
than roads.
Section 7. Assiqnability of Credit
At any time, Atlantic may assign all or any part of the
Credit. Such assignment sliall be by recordable written
instrument signed by Atlantic designating the assignees(s).
Before the assignment is effective, a copy of the assignment
shall be provided by Atlantic to St. Lucie County and the City
of Port St. Lucie at the address set forth below and the
original assignment shall be recorded in the public records
of St. Lucie County:

Section 8, Recordabilitv of Aqreement
This Agreement shall be recorded by St. Lucie County in the
public records of St. Lucie County and shall l~e binding upon
Atlantic's successors in interest and title to the property
described in Exhibit R.
