A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF ST. LUCIE
COUNTY, FLORIDA RATIFYING AN EMERGENCY ORDER OF THE
ST. LUCIE COUNTY ADMINISTRATOR AUTHORIZING EXECUTION
OF THREE (3) AGREEMENTS WITH ROUTEMATCH SOFTWARE, INC.
WHEREAS, the Board of County Commissioners of St Lucie County, Florida has
made the following determinations:
1. On March 17, 2020, the St. Lucie County Public Safety Director declared a
State of Local Emergency COVID-19 Public Health Emergency ("St. Lucie County
Declaration of Emergency"); and
2. The findings in the St. Lucie County Declaration of Emergency are
incorporated herein; and
3. On March 25, 2020, the President of the United States declared that a major
disaster exists in the State of Florida as a result of COVID-19; and
4. Paragraph 2 of the St. Lucie County Declaration of Emergency provides that
the County Administrator may take all actions necessary and appropriate to protect
human life and prosperity, to the extent necessary to accommodate the emergency.
5. The County's current contract with Council on Aging of St. Lucie County, Inc.
for transit services expires on June 30, 2020. On May 19, 2020, the Board of County
Commissioners of St. Lucie County approved a new contract with MV Contract
Transportation, Inc. effective July 1, 2020.
7. In conjunction with the Transition Agreement between the County and the
Council on Aging, Inc., the Council on Aging agreed to allow Routematch to access the
transit database for purposes of the transition. This access was granted on June x, 2020.8.
8. In conjunction with the transition to a new transit provider, the County will
assume responsibility for oversight of the software system used for the transit system
provide by Routematch Software, Inc. ("Routematch") pursuant to its agreement with the
former transit provider. In order for the software transition to occur in a timely manner,

Cloud Hosting Agreement with Routematch prior to the July 1, 2020 transition date.
9. On June 8, 2020, the County Administrator executed the above-referenced
three agreement with Routematch which were in turn executed on behalf of Routematch
and returned on June 25, 2020.
10. On July 7, 2020, the County Administrator executed Order No. 20-047 which
ratified the execution of the three Routematch Agreements.
NOW, THEREFORE, BE IT RESOLVED by the Board of County Commissioners of
St. Lucie County, Florida:
1. The County Administrator's July 7, 2020 Order No. 20-047 is hereby ratified.
2. This resolution shall take effect upon adoption.
