THIS ASSIGNMENT is made and entered into this day of May, 1996, by ATLAS
GULF COMMUNITIES COREgBAWN, a Delaware corporation, whose address is 2601 South
Bays ore Drive, Milani, Florida, 33133-5461 ("Assignor"), in favor of BRISBEN FAMILY
lLM1TED PARTNERSHIP, a Georgia Limited Parinership,whose address is 7800 East Kemper
Roaa, Cincinnati, O totF`—, �49 ("Assignee'-).
WHEREAS, Assignor desires to assign to ASSIGNEE prepaid road impact fee credits in the
amount of $301,059.00 ("Credits") provided pursuant to the Agreement Between St. Lucie County,
Florida, and Assignor recorded in Official Records Book 795, Page 1680, of the Public Records of
St. Lucie County, Florida, as amended by the addendum to such agreement recorded in Official
Records Book 925, Page 2545, and re -recorded in Official Records Book 0928, Page 690, of the
Public Records of St. Lucie County,, Florida, associated with the Property more particularly
described in Exhibit "A" attached hereto (the "Property").
'NOW, THEREFORE, in consideration of the sum of S 10.00 and other good and valuable
consideration, the receipt and adequacy of which is hereby acknowledged, Assignor and Assignee
agree as follows:
The foregoing recitals are true and correct and are incorpbmted herein by reference.
2. Assignor hereby grants, assigns and conveys $301.059.00 of the Credits to Assignee, in
connection with the Property described in Exhibit "A".
