FEE CREDITS TO THE VIZCAYA FALLS DEVELOPMENT THIS ASSIGNMENT AND TRANSFER of Road Impact Fee Credits (the "Agreement") is made and entered into this 18 day of May, 2021 by and between St. Lucie County, Florida, (the "County") and Reserve Homes, LTD, L.P., and Verano Development LLC, a Florida limited liability company(the"Development Entity")whose address is 105 N.E. First Street, Delray Beach, Florida 33444. WITNESSETH: WHEREAS,the County and the Development Entity entered into certain Impact Fee Credit Agreements dated as of April 20, 2004 (RIF 01-002) and on September 17, 2013 (RIF 2013-02). Unless otherwise defined herein, all initial capitalized terms used in this Amendment shall have the same meaning as given to them in the Agreements; and WHEREAS, RIF 2013-02 (the "Agreement") superseded and replaced RIF 04-002; and WHEREAS, the County and the Development Entity entered into a First Amendment to Impact Fee Credit Agreement dated May 18, 2021; and zomo m A r D - WHEREAS, Chapter No. 2020-58, Laws of Florida, which became effective on July 1, 2020, 2.m z m EF provides in relevant part as follows with respect to impact fee credits (the "2020 Impact Fee z°� m A Credit Law") and applies to the Credits: o g A 3 oD8Zp Impact fee credits are assignable and transferable at any time after the establishment m <A NJ from one development to any other that is within the same impact fee zone or impact fee district COm o or that is within an adjoining impact fee zone or impact fee district within the same local ( x A 0) O government jurisdiction and receives benefits from the improvement or contribution that W m generated the credits; and m 0 z n WHEREAS, the County and the Development Entity desire to provide for the transfer of road impact fee credits to the Vizcaya Falls Development, the legal description of which is 3 c attached to and incorporated into this Assignment as Exhibit "A". NOW THEREFORE, in consideration of the mutual covenants contained herein the parties agreement as follows: Section 1. Incorporation by Reference. The above recitals are true and correct and made a part of this Amendment by reference. Section 2. NOW THEREFORE, in consideration of the mutual covenants contained herein the parties agreement as follows: Section 1. Incorporation by Reference. The above recitals are true and correct and made a part of this Amendment by reference. Section 2. Assignment and Transfer of Road Impact Fee Credits to Vizcaya Falls Development. 1 s:\ATTY\AGREEMENT\Reserve Homes and Verano Development—Assignment&Transfer of Road Impact Fee Credits to Vizcaya Falls The Development Entity shall assign and transfer$1,000,000.00 in road impact fee credits to the Vizcaya Falls Development described in Exhibit "A". The Development Entity and the County agree that the amount of road impact fees assigned and transferred to the Vizcaya Falls Development set out above shall be deducted from RIF 2013-02 as amended. The road impact fee credits shall not be transferrable against other impact fees imposed for purposes other than roads. Section 3. Future Assignability of Credits. The Development Entity may assign all or part of the Credits described in Section 2 above to successors in title and interest. Such assignments shall be by recordable written instrument. Recordability of Agreement. This Assignment and Transfer Agreement shall be recorded by St. Lucie County in the public records of St. Lucie County, and shall be binding upon the Development Entity and any successors in interest and title to the properties described in Exhibit "A". Section 5. Amendment of Agreement. This Agreement shall not be modified except by amendment executed by all parties. Section 6. Annual Reporting. The Development Entity shall submit a report on an annual basis to the City of Port St. Lucie and St. Lucie County, summarizing the Credits utilized during the reporting period and cumulatively following the effective date of this Agreement. Effective Date. This Assignment and Transfer of Road Impact Fees shall be deemed effective on January 1, 2021 (the "Effective Date").
