ROAD IMPACT FEE CREDIT AGREEMENT BETWEEN ST. LUCIE
COUNTY BOARD OF COUNTY COMMISSIONERS AND MIDWAY
GLADES DEVELOPERS, LLC IN CONSIDERATION FOR THE
CONVEYANCE OF RIGHTS-OF-WAY, DESIGN AND CONSTRUCTION
OF CERTAIN ROAD IMPROVEMENTS
This Agreement is made and entered into as of this / day of viitsl-
2021,by and between
ST. LUCIE COUNTY, a political subdivision of the State of Florid , hereinafter referred to as
"St. Lucie County" and MIDWAY GLADES DEVELOPERS, LLC, a Delaware Limited
Liability Company, whose address is 7807 Baymeadows Road East, Suite 205, Jacksonville,
Florida 32256, hereinafter referred to as "MGD." St. Lucie County and MGD are collectively
"Parties"to this Agreement.
WITNESSETH
WHEREAS, the LTC Ranch Development of Regional Impact ("LTC Ranch DRI")
encompasses 2,455+acres and was approved by St. Lucie County pursuant to Resolution No. 97-
085 ("LTC Ranch DRI Development Order"); and
WHEREAS, the portion of the LTC Ranch DRI lying east of I-95 and encompassing 388
acres was annexed into the City of Port St. Lucie ("City") pursuant to that certain Annexation
Agreement executed on February 24, 2000 between LTC Joint Venture and the City and pursuant
to City Ordinance No. 00-14; and
WHEREAS, the portion of the LTC Ranch DRI lying west of I-95 and encompassing
2,067+ acres was annexed into the City pursuant to the Third Amendment to Annexation
Agreement executed on March 27, 2002,between LTC Joint Venture and the City and pursuant to
City Ordinance No. 02-126; and
WHEREAS, the LTC Ranch DRI Development Order was amended by City Resolution
No. 00-R25,No. 07-R77,No. 19-R40 and No. 21-R11 (collectively,the "LTC Ranch Amended
Development Order"); and
WHEREAS,MGD is a successor owner in interest to LTC Joint Venture and owns 1,975+
acres designated for residential use within the LTC Ranch DRI west of I-95, as more particularly
described by Exhibit "1" hereto (hereinafter, the "Property"); and
WHEREAS,St.Lucie County has adopted a"Road Impact Fee Ordinance"which imposes
impact fees related to the need for future improvements to the County Road System; and
WHEREAS, MGD filed an Application pursuant to Section 24-264 of the St. Lucie
County Code of Ordinances ("Code") to request Impact Fee Credits for various creditable
activities including but not limited to, design, right-of-way dedication, and construction of certain
road improvements as further described herein; and

WHEREAS, Condition 2 of the LTC Ranch Amended Development Order authorizes the
construction of 4,000 residential units within the Property, which may consist of a mix of single-
family and multifamily units; and
WHEREAS, pursuant to Condition 17.g.5 of the LTC Ranch Amended Development
Order, MGD proposes to undertake the following activities, which are creditable against St. Lucie
County's Road Impact Fee, and which shall be referred to hereinafter as the "Creditable
Improvements":
1. Dedicate Right of Way and widen Midway Road from a two-lane rural road
to a four-lane divided urban road from Arterial-A to I-95 as depicted by Figure 1 attached
hereto as Exhibit"2"("Midway Road Improvement");
2. Widen Glades Cut-Off Road from a two-lane rural road to a four-lane
divided urban road from Arterial-A to I-95 as depicted by Figure 1 attached hereto as
Exhibit"2" ("Glades Cut-Off Road Improvement"); and
3. Dedicate Right of Way and Construct a four-lane divided roadway from
Glades Cut-Off Road to Midway Road as depicted by Figure 1 attached hereto as Exhibit
"2" ("Arterial-A Road Improvement"); and
WHEREAS, the draft St. Lucie County Transportation Planning Organization ("TPO")
2045 Long Range Transportation Plan includes the Midway Road Improvement as part of the
proposed Needs Plan and Cost Feasible Plan in order to accommodate future growth; and
WHEREAS,the TPO 2040 Long Range Transportation Plan includes the Glades Cut-Off
Road Improvement and Arterial-A Road Improvement within its 2040 Final Needs Plan(Map 3-
3) in order to accommodate future growth; and
WHEREAS, based upon the provisions of Code Section 24-264, Composite Exhibit "3"
(including Exhibits 3, 3A, 3B and 3C) specifies the Total Roadway Improvement Costs
($34,362,466), including all component costs for each of the Creditable Improvements, as:
1. Midway Road Improvement=$5,241,390
2. Glades Cut-Off Road Improvement= $10,300,628
3. Arterial-A Road Improvement= $18,820,448
WHEREAS, St. Lucie County and MGD mutually desire to enter into this Agreement in
order to specify the impact fee credits that shall be credited to MGD based on the Creditable
Improvements and to confirm the procedures for the issuance and use of said impact fee credits.
NOW,THEREFORE, in consideration of the mutual covenants entered into between the
parties hereto to be made and performed, and in consideration of the benefits to accrue to each of
the parties, it is agreed as follows:

Section 1. Incorporation by Reference.
The above recitals are true and correct, and together with the exhibits attached hereto, are made a
part of this Agreement by reference.
Section 2. Issuance of Road Impact Fee Credits and Receipt
MGD shall be entitled to credits against St. Lucie County Road Impact Fees ("Road Impact Fee
Credits") in the total amount of$23,070,197 (expressed in year 2021 dollars) based on the sum
of the cost estimates set forth in Exhibit "4" for design, permitting, right-of-way dedication and
construction of the Creditable Improvements (each a "Base Credit"). Upon MGD providing
documentation to St. Lucie County confirming that a particular component of a Creditable
Improvement has been completed, St. Lucie County shall issue a Credit Receipt confirming the
Road Impact Fee Credit,being the Base Credit specified for each such component in Sections 2.A.,
2.B. and 2.C., below, adjusted based on the formula set forth in Section 2.E. St. Lucie County
shall provide to MGD by certified mail an acceptance letter("Acceptance Letter")within five(5)
business days following an approved final inspection of construction for each Creditable
Improvement or component thereof as specified below in Sections 2.A, 2.B and 2.C.
A. Glades Cut-Off Road Improvement
1. Upon completion of design and permitting of the Glades Cut-Off Road
Improvement, as evidenced by St. Lucie County's issuance of the construction
permit, St. Lucie County shall issue a Credit Receipt specifying the Base Credit in
the amount of$275,000 and showing the calculation required by Section 2.E and
the resulting Road Impact Fee Credit.
2. Upon completion of construction and inspection of the Glades Cut-Off Road
Improvement, as evidenced by St. Lucie County's acceptance letter, St. Lucie
County shall issue a Credit Receipt specifying the Base Credit in the amount of
$10,025,628 and showing the calculation required by Section 2.E and the resulting
Road Impact Fee Credit.
B. Midway Road Improvement
1. Following the St. Lucie County TPO approval of the 2045 Needs Plan and upon
completion of design and permitting of the Midway Road Improvement, as evidenced
by St. Lucie County's issuance of a construction permit, St. Lucie County shall issue a
Credit Receipt specifying the Base Credit in the amount of$325,000 and showing the
calculation required by Section 2.E and the resulting Road Impact Fee Credit.
2. Upon completion of construction and inspection of the Midway Road
Improvement, as evidenced by a St. Lucie County acceptance letter, St. Lucie County
shall issue a Credit Receipt specifying the Base Credit in the amount of$4,916,390 and
showing the calculation required by Section 2.E and the resulting Road Impact Fee
Credit.

C. Arterial-A Road Improvement
1. Upon completion of design and permitting of the Arterial-A Road Improvement,as
evidenced by the issuance of a City construction permit, St. Lucie County shall issue a
Credit Receipt specifying the Base Credit in the amount of$240,000 and showing the
calculation required by Section 2.E and the resulting Road Impact Fee Credit.
2. Construction of Arterial-A shall be divided into three segments (i.e., Segment 1,
Segment 2 and Segment 3) as depicted by Exhibit "2." Each segment will first be
constructed as two lanes starting with Segment 1 and ending with Segment 3. Each
segment will be widened subsequently from two lanes to four lanes in the same order.
Upon completion of construction and inspection of each Arterial-A segment
improvement, as evidenced by a City acceptance letter, St. Lucie County shall issue a
Credit Receipt for such Arterial-A segment improvement as follows:
• Segment 1 (two lanes): Specify Base Credit of $1,157,366 and show
calculation required by Section 2.E and the resulting Road Impact Fee Credit
for this component;
• Segment 2 (two lanes): Specify Base Credit of $1,329,358 and show
calculation required by Section 2.E and the resulting Road Impact Fee Credit
for this component;
• Segment 3 (two lanes): Specify Base Credit of $1,157,366 and show
calculation required by Section 2.E and the resulting Road Impact Fee Credit
for this component;
• Segment 1 (widen from two lanes to four lanes): Specify Base Credit of
$1,157,366 and show calculation required by Section 2.E and the resulting Road
Impact Fee Credit for this component;
• Segment 2 (widen from two lanes to four lanes): Specify Base Credit of
$1,329,358 and show calculation required by Section 2.E and the resulting Road
Impact Fee Credit for this component;
• Segment 3 (widen from two lanes to four lanes): Specify Base Credit of
$1,157,366 and show calculation required by Section 2.E and the resulting Road
Impact Fee Credit for this component.
D. Bond Option. As an alternative to completing the design, permitting and/or construction
of the Creditable Improvements as set forth above, MGD may post one or more bonds in
favor of St. Lucie County for all or part of the Creditable Improvements. If MGD selects
this option and upon MGD posting a bond, St. Lucie County shall issue a Credit Receipt
in the amount of the Base Credit specified above for the component(s) of the Creditable
Improvements covered by such bond, adjusted in accordance with Section 2.E. to provide
for the applicable Road Impact Fee Credit.
E. Base Credit Adjustment. The Base Credits specified in this Section 2 are expressed in 2021
dollars. Each Credit Receipt issued by St. Lucie County shall reflect adjustment of the

applicable Base Credit pursuant to the following formula in establishing the Road Impact
Fee Credit to account for increases in costs from the Effective Date (defined in Section 6
below) of this Agreement to the year that each component is completed or bonded, as
applicable:

The Bureau of Labor Statistics Producer Price Index(PPI)for Commodities(Series ID:WPUIP231231),can
be found at http://data.bls.gov/timeseries/WPUIP231231.
If Commodities Code ID WPUIP231231 is no longer used by the United States Bureau of Labor Statistics at
the time a Credit Receipt is due, then the Producer Price Index for non-residential road construction
commodities shall be used in the above formula. If that index is no longer in use, then the United States
Bureau of Labor Statistics' Consumer Price Index shall be used in the above formula.
The following example confirms how the Base Credit Cost Adjustment applies:
Example: Assume the Midway Road Improvement is completed and accepted in June 2023, making the
Credit Receipt due. Assume the PPI is 118.6 when the Credit Receipt is due, and the PPI is 113.7 on the
Effective Date of this Agreement.
Road Impact Fee Credit = $4,916,390 (Base Credit) x 118.6/113.7 (Adjustment Factor) =
$5,128,266
F. Actual Cost Option. The Road Impact Fee Credit calculation procedure as set forth in
Section 2.E. provides certainty to the Parties as of the Effective Date of this Agreement of
the future Road Impact Fee Credit required for Creditable Improvements, including right-
of-way value set as 120% of the St. Lucie County Property Appraiser assessed value on a
per acre basis. As an alternative to calculating the Road Impact Fee Credit as specified in
Section 2.E. for each Creditable Improvement or component thereof after the completion
thereof, St. Lucie County or MGD shall have the option to determine the Road Impact Fee
Credits based on the actual costs for a Creditable Improvement or component thereof as
specified in Sections 2.A, 2.B and 2.C., for design, construction and inspection, and
appraised value for right-of-way value ("Actual Cost Option"). St. Lucie County shall
make its election, if at all, to utilize the Actual Cost Option for a Creditable Improvement
by specifying so in writing as part of the Acceptance Letter for such Creditable
Improvement or component thereof, or by a separate letter submitted to MGD within (5)
business days, as documented by courier receipt, after St. Lucie County receives an
Acceptance Letter from the City. If St. Lucie County does not elect the Actual Cost Option
within the applicable 5-business day period, then MGD shall have the right to rely on the
Road Impact Fee Credit calculation provided in Section 2.E. If MGD elects the Actual
Cost Option, MGD shall notify St. Lucie County in writing prior to requesting a Credit
Receipt for that particular Creditable Improvement. If either Party elects the Actual Cost

Option, MGD shall have the option to determine right-of-way value by submittal of an
independent property appraisal performed by a member of the appraisal institute (MAI) as
of the time of conveyance of such right-of-way.
G. Credit Value. Pursuant to s. 163.31801(5), Fla.Stat. (2020), the holder of a Credit Receipt
or assignee thereof shall be entitled to the full benefit of density or intensity based on St.
Lucie County's Road Impact Fee rates in effect when each component is completed as
referenced in Sections 2.A, 2.B and 2.0 or upon posting of a bond pursuant to Section 2.D.
The following examples illustrate the intent of this paragraph:
1. St. Lucie County's impact fee for a single family dwelling unit(<2,400 square feet) is
$5,130 as of the Effective Date of this Agreement. Assume the component in Section
2.A is completed while this impact fee rate remains in effect and that the PPI has not
changed from the Effective Date of this Agreement, then the Credit Receipt in the
amount of$275,000 would be sufficient to permit 53 single family dwelling units (<
2,400 square feet)equal to a value of$271,890 (53 x$5,130)with a residual of$3,110
not utilized and available for future use.
2. Assume St. Lucie County increases the impact fee for a single family dwelling unit (<
2,400 square feet) to $6,000 in 2022 and that impact fees credits were not previously
utilized, then the Credit Receipt issued in 2021 in the amount of$275,000 would still
be sufficient to permit 53 single family dwelling units (<2,400 square feet) equal to a
value of$271,890 with a residual of$3,110 not utilized and available for future use.
The impact fee rate of$6,000 would not be applicable.
3. Assume St. Lucie County decreases the rate for a single family dwelling unit(<2,400
square feet)to $4,000 in 2022 and that impact fees credits were not previously utilized,
then the Credit Receipt issued in 2021 in the amount of$275,000 would be sufficient
to permit 68 single family dwelling units (< 2,400 square feet) equal to a value of
$272,000 (68 x $4,000) with a residual of$3,000 not utilized and available for future
use. The impact fee rate of$5,130 would not be applicable.
The preceding example illustrates the intent of this section using single family dwelling
units(<2,400 square feet)as the example. The same requirements apply for all residential
and non-residential impact fee categories.
H. Selecting Road Impact Fee Category. Following the issuance of a Credit Receipt, if MGD
or an assignee propose a permitted use that is not listed in St. Lucie County's Road Impact
Fee rate schedule in effect on the date of the Credit Receipt, St. Lucie County shall meet
with MGD or the assignee, to coordinate on selecting a Road Impact Fee category from
those listed in St. Lucie County's Road Impact Fee rate schedule in effect on the date of
the Credit Receipt, in accordance with St. Lucie County Code Section 24-258(c) (2021).
The use of Road Impact Fee Credits for the permitted use shall then be subject to the same
requirements specified in Section F of this Agreement.

Section 3. Limitation of Road Impact Fee Credits.
Road Impact Fee Credits may be applied only against Road Impact Fees and shall not be
transferable as a credit against other impact fees imposed for purposes other than roads.
Section 4. Use of Road Impact Fee Credits.
Upon MGD or an assignee, including those assignees referenced in Section 5, utilizing Road
Impact Fee Credits from a Credit Receipt as referenced in Section 2,St.Lucie County shall provide
a receipt confirming the amount of Road Impact Fee Credit utilized for the permitted development
based on the requirements of Section 3. This shall be referred to as a "User Receipt." St. Lucie
County shall maintain a separate account for each Credit Receipt documenting the Road Impact
Fee Credit specified on the Credit Receipt, accounting for all User Receipts issued by St. Lucie
County and confirming the amount of unused Road Impact Fee Credits remaining for each Credit
Receipt. St. Lucie County shall provide its accounting record upon request by MGD. MGD shall
maintain a ledger of all Road Impact Fee Credits utilized or assigned and, upon request from St.
Lucie County, shall provide St. Lucie County with a copy of its ledger. MGD shall maintain a
similar ledger tracking use and assignment of Road Impact Fee Credits granted by the City and
shall provide a copy to St. Lucie County upon request.
Section 5. Transferability and Assignability of Road Impact Fee Credits.
Pursuant to §163.31801(8), Fla.Stat. (2020), Road Impact Fee Credits are assignable and
transferable at any time after establishment from one development or parcel to any other located
within the same impact fee zone as the Property, as referenced by St. Lucie County Code Section
24-261(a), or that is within an adjoining impact fee zone within St. Lucie County that receives
benefits from one or more of the Creditable Improvements specified in Section 2 of this
Agreement. If a Road Impact Fee Credit is proposed for use in an adjoining impact fee zone,MGD
shall provide notice by certified mail to the St. Lucie County Administrator no less than ten (10)
business days, as documented by courier receipt,prior to execution of an assignment of said Road
Impact Fee Credit, and the St. Lucie County Administrator or designee shall confirm in writing
within five (5) business days, as documented by courier receipt, following receipt of the notice
whether St. Lucie County objects to the use of the Road Impact Fee Credit based on compliance
with statutory requirements. If St. Lucie County does not provide a response, the use of the Road
Impact Fee Credit in the adjoining impact fee zone shall be deemed acceptable. If St. Lucie
County objects, the Parties shall meet in a good faith effort to resolve the objection. MGD shall
provide documentation to St. Lucie County of any executed assignment of Road Impact Fee
Credits to an assignee for transfer and use on a parcel other than the Property. MGD shall reserve
sufficient Road Impact Fee Credits to support development within the Property.
Section 6. Community Development District
A homeowner's lot will not be subject to CDD debt assessments to repay the CDD's direct
financing of the costs of one or more of the Creditable Improvements (as evidenced by the CDD
Engineer's Report associated with such CDD bond issuance), unless the homeowner's lot so
assessed receives the benefit of any Road Impact Fee Credit granted for such costs without charge.

Section 7. Effective Date
The "Effective Date" of this Agreement is the date on which the last signatory signs the
Agreement.
Section 8. Recording of Agreement.
This Agreement shall be recorded by St. Lucie County in the Public Records of St. Lucie County
and shall be binding upon St. Lucie County, MGD and any successors in interest and title to the
Property,provided,however,that any parcel or platted lot within the Property as to which the Road
Impact Fee has been satisfied either through payment of the Road Impact Fee or use of Road
Impact Fee Credits shall be automatically released herefrom.
Section 9. Amendment of Agreement.
This Agreement shall be amended only by execution of amendments signed by the Parties hereto.
Section 10. Termination of Agreement.
This Agreement shall be effective until all Road Impact Fee Credits authorized herein have been
consumed through the issuance of building permits.
Section 11. Participation.
Each of the Parties have participated in the preparation of this Agreement. Accordingly, this
Agreement shall not be more strictly construed against either of the Parties,and shall be interpreted
as if the Parties hereto jointly prepared it.
Section 12. Counterparts.
This Agreement may be executed in any number of counterparts, each of which when executed
and delivered shall constitute an original, and all such counterparts shall constitute one and the
same instrument.
