NOW, THEREFORE, in consideration of the premises, Assignor and Assignee agree as
follows:
1. Assignment' Assignor hereby assigns, transfers and sets over to Assignee all of
Assignor's right, title and interest, to the extent assignable, in, to and under the Road Impact Fee
Credit Agreements, including, without limitation, the entire balance of Credits thereunder
totaling $10,59¢ 54U.00 (the "Assi Rights").

4. Confirmation of Credits to be Transferred_ St. Lucie County is hereby authorized
to transfer on their official records the portion of the Credits hereby assigned to Assignor in the
amount of $1,694,486.00 and to deduct such amount from the Credits available to Assignee,
leaving a remaining balance available to Assignee equal to $8,896,054.00 in Credits.

5, Coofiemation,The Assignor and Assignee each agree to make, execute and deliver
all such further or additional instruments as may be necessary to satisfy the intents and purposes
hereof, including the execution and recordation of such other forms of assignment and/or transfer
as may be required by St. Lucie County and the City of Port St. Lucie in order to effectuate the
transfer of the Credits assigned and allocated hereby.
