As used herein, the term "Grantor" shall include any and all heirs, successors or assigns of the Grantor, and all subsequent owners of the "Conservation Area" (as hereinafter defined) and the term "Grantee" shall include any successor or assignee of Grantee. WITNESSETH: WHEREAS, the Grantor is the owner of certain lands situated in St. Lucie County, Florida, and more specifically described in Exhibit "A" attached hereto and incorporated herein by this reference("Property");and WHEREAS, the Grantor is proposing the development of a 150-unit multi-family development to be known as Prima Vista Commons ("Project") on the Property, which is subject to the regulatory jurisdiction of the St. Lucie County Board of County Commissioners("County"); and WHEREAS, the County approved the Second Major Adjustment to the Major Site Plan for the Project pursuant to Resolution No. 2022-088 ("Resolution");and WHEREAS, the Resolution requires that Grantor maintain, in perpetuity,that portion of the Property designated as preserve area ("Conservation Area") as more particularly described in Exhibit"B"attached hereto and incorporated herein by this reference; and WHEREAS, the Resolution further requires that the Conservation Area be maintained in accordance with that certain Preserve Area Management and Monitoring Plan ("Management Plan"), attached hereto as Exhibit"C"attached hereto and incorporated herein by this reference;and WHEREAS, the Grantor is agreeable to granting and securing to the Grantee a perpetual Conservation Easement as defined in Section 704.06,Florida Statutes,over the Conservation Area. NOW, THEREFORE, Grantor hereby grants, creates, and establishes a perpetual Conservation Easement for and in favor of the Grantee upon the Conservation Area which shall run with the land and be binding upon the Grantor,and shall remain in full force and effect forever. AC TIVE:16973600.4 The scope,nature,and character of this Conservation Easement shall be as follows: 1. Recitals. The recitals hereinabove set forth are true and correct and are hereby incorporated into and made a part of this Conservation Easement. 2. Purpose. It is the purpose of this Conservation Easement to retain land or water areas in their natural, vegetative, hydrologic, scenic, open, agricultural, or wooded condition and to retain such areas as suitable habitat for fish, plants, or wildlife. Those wetlands and/or upland areas included in this Conservation Easement shall be maintained in the conditions required by the Management Plan. To carry out this purpose,the following rights are conveyed to Grantee by this easement: a. To enter upon the Conservation Area at reasonable times with any necessary equipment or vehicles to enforce the rights herein granted in a manner that will not unreasonably interfere with the use and quiet enjoyment of the Property by Grantor and/or the future residents of the Property at the time of such entry; and b. To enjoin any activity on or use of the Conservation Area that is inconsistent with this Conservation Easement and to enforce the restoration of such areas or features of the Conservation Area that may be damaged by any inconsistent activity or use; and c. Subject to prior written consent of Grantor, which shall not be unreasonably withheld or delayed, to enter upon the property of the Grantor to connect the Conservation Area to a bona fide system of trails, greenways or other non-vehicular system. 3. Prohibited Uses. Except for exotic vegetation removal, replanting with appropriate native vegetation, vine control, removal of trash and debris or other maintenance and monitoring activities described herein that are permitted or required by the Resolution or the Management Plan,the following activities are prohibited in or on the Conservation Area: a. Construction or placing of buildings, roads, signs, billboards or other advertising, utilities,or other structures on or above the ground; b. Dumping or placing of soil or other substance or material as landfill, or dumping or placing of trash,waste, or unsightly or offensive materials; c. Removal or destruction of trees, shrubs, or other vegetation, except for the removal of exotic or nuisance vegetation in accordance with the Management Plan; d. Excavation, dredging, or removal of loam, peat, gravel, soil, rock, or other material substance in such manner as to affect the surface; e. Surface use except for purposes that permit the land or water area to remain in its natural or enhanced condition; f. Activities detrimental to drainage, flood control, water conservation, erosion control,soil conservation,or fish and wildlife habitat preservation including,but not limited to, ditching,diking and fencing. ACTIVE:I6973600.4 4. Grantor's Reserved Rights. Grantor reserves all rights as owner of the Property, including the right to engage in uses of the Conservation Area that are not prohibited herein and which are not inconsistent with any County rule,criteria,permit and the intent and purposes of this Conservation Easement. 5. Passive Recreational Facilities. Grantor reserves all rights as owner of the Conservation Easement Area, including the right to engage in uses of the Conservation Easement Area that are not prohibited by the Permit (including any modification thereto) or Management Plan,and that are not inconsistent with any rule of the Grantee, and the intent and purposes of this Conservation Easement. Passive recreational uses that are not contrary to the purpose of this Conservation Easement may be constructed with the following limitations: a. The Grantor may conduct limited vegetation removal but only to the extent necessary to construct boardwalks,mulched walking trails,observation platforms,or other pervious or pile supported structures which have been approved in advance in the Permit (including any modification thereto)or Management Plan. b. The construction and use of the approved passive recreational facilities shall be subject to the following conditions: i. Grantor shall minimize and avoid,to the fullest extent possible,impact to any wetland or upland buffer areas within the Conservation Easement Area and shall avoid materially diverting the direction of the natural surface water flow in such area; ii. Such facilities and improvements shall be constructed and maintained utilizing Best Management Practices; iii. Adequate containers for litter disposal shall be situated adjacent to such facilities and improvements and periodic inspections shall be instituted by the maintenance entity;to clean any litter from the area surrounding the facilities and improvements; iv. This Conservation Easement shall not constitute authorization for the construction and operation of the passive recreational facilities. Any such work shall be subject to all applicable federal, state, and local permitting requirements. 6. No Dedication. No right of access by the general public to any portion of the Property or the Conservation Area is conveyed by this Conservation Easement,except as provided in Paragraph 2(c),above. 7. Grantee's Liability. Grantee shall not be responsible for any costs or liabilities related to the operation, upkeep or maintenance of the Conservation Area. 8. Acts Beyond Grantor's Control. Nothing contained in this instrument shall be construed to entitle Grantee to bring any action against Grantor for any injury to or change in any portion of the Property other than Conservation Areas that result from natural causes beyond Grantor's control, and not initiated by the Grantor, including but not limited to fire, flood, storm ACTIVE:I6973600.4 and earth movement. Should any Conservation Area be injured or changed from natural causes, including but not limited to fire, flood, storm and earth movement,the Grantor shall be provided notice and a reasonable opportunity to restore the affected Conservation Area to a condition that satisfies the Management Plan requirements prior to the Grantee bringing any action for noncompliance with the Resolution or the Management Plan. 9. Property Taxes. Grantor shall keep the payment of taxes and assessments on the Conservation Area current and shall not allow any lien on the Conservation Area superior to this Easement. In the event Grantor fails to extinguish or obtain a subordination of such lien,in addition to any other remedy,the Grantee may,but shall not be obligated to,elect to pay the lien on behalf of the Grantor and Grantor shall reimburse Grantee for the amount paid by the Grantee, together with Grantee's reasonable attorney's fees and costs, with interest at the maximum rate allowed by law, no later than thirty days after such payment. In the event the Grantor does not so reimburse the Grantee, the debt owed to Grantee shall constitute a lien against the Conservation Area which shall automatically relate back to the recording date of this Easement. Grantee may foreclose this lien on the Conservation Area in the manner provided for mortgages on real property. 10. Enforcement by Grantee. Enforcement of the terms,provisions and restrictions of this Conservation Easement shall be at the reasonable discretion of Grantee,and any forbearance on behalf of Grantee to exercise its rights hereunder in the event of any breach hereof by Grantor or the Association, shall not be deemed or construed to be a waiver of Grantee's rights hereunder. 11. Enforcement by Grantor. The Grantor s hall take private enforcement action against any resident who violates the rules relating to the use and maintenance of the Conservation Area as set forth in the Management Plan. 12. Maintenance Obligations of Grantor. The Grantor shall maintain in perpetuity, the Conservation Area in accordance with the Management Plan. Such maintenance shall include, but is not limited to, exotic vegetation removal, replanting with appropriate native ACTIVE:I6973600.4 vegetation, vine control, and removal of trash and debris. The maintenance schedule should be so as to keep the Conservation Area ecologically functional and high quality,as well as a minimum 90%free of exotic vegetation. 13. Assignment. Grantee will hold this Conservation Easement exclusively for conservation purposes. Grantee will not assign its rights and obligations under this Conservation Easement except to another organization or entity qualified to hold such interests under the applicable state laws. 14. ,Severability. If any provision of this Conservation Easement or the application thereof to any person or circumstances is found to be invalid, the remainder of the provisions of this Conservation Easement shall not be affected thereby, as long as the purpose of the Conservation Easement is preserved. 15. Terms and Restrictions. Grantor shall insert the terms and restrictions of this Conservation Easement in any subsequent deed or other legal instrument by which Grantor divests itself of any interest in the Property. 16. Written Notice. All notices, consents, approvals or other communications hereunder shall be in writing and shall be deemed properly given if sent by United States certified mail, return receipt requested, addressed to the appropriate party or successor-in-interest. 17. Modifications. This Conservation Easement may be amended, altered, released or revoked only by written agreement between the parties hereto or their heirs, assigns or successors-in-interest,which shall be filed in the public records in St. Lucie County. 18. Eginguis_h_ment. If circumstances arise in the future such as render the purpose of this Easement impossible to accomplish, this Easement can only be terminated or extinguished, whether in whole or in part, by judicial proceedings in a court of competent jurisdiction,and the amount of the proceeds to which Grantee shall be entitled,after the satisfaction of prior claims, from any sale, exchange or voluntary conversion of all or any portion of the Property subsequent to such termination or extinguishment, shall be determined,unless otherwise provided by Florida law at the time, in accordance with paragraph 18. Grantor believes that any changes in the use of neighboring properties will increase the benefit to the public of the continuation of this Easement, and Grantor and Grantee intend that any such changes shall not be deemed to be circumstances justifying the termination or extinguishment of this Easement. In addition, the inability of Grantor to conduct or implement any or all of the uses allowed under the terms of this Easement,or the unprofitability of doing so, shall not impair the validity of this Easement or be considered grounds for its termination or extinguishment. 19. Proceeds, This Easement constitutes a real property interest immediately vested in Grantee,which,for the purposes of paragraph 17,the parties stipulate to have a fair market value determined by multiplying the fair market value of the Property unencumbered by the Easement improvements)any increase in value after the date of this grant attributable to im p )by the ratio time of thisgrant to the value of the Property,without deduction of the value of the Easement at the perty for the value of the Easement, at the time of this grant. For the purposes of ACTIVE:16973600.4 this paragraph,the ratio of the value of the Easement to the value of the Property unencumbered by the Easement shall remain constant. TO HAVE AND TO HOLD unto Grantee forever. The covenants, terms, conditions, restrictions and purposes imposed with this Conservation Easement shall be binding upon Grantor, and shall continue as a servitude running in perpetuity with the Property. Grantor hereby covenants with said Grantee that Grantor is lawfully seized of said Property in fee simple; that the Property is free and clear of all encumbrances that are inconsistent with the terms of this Conservation Easement; and all mortgages and liens have been subordinated to this Conservation Easement; and that Grantor has good right and lawful authority to convey this Conservation Easement; and that it hereby fully warrants and defends the title to the Conservation Easement hereby conveyed against the lawful claims of all persons whomsoever. INTRODUCTION The proposed Prima Vista Commons development includes 7.63 acres of preserve areas consisting of 3.78 acres of native upland habitat(wetland buffers and tree mitigation areas) and 3.85 acres of wetlands.Figure I provided in the Appendix depicts the locations of the preserve areas within the overall development.The 19.83 4/-acre Prima Vista Commons pmperty is located within Section 23,Township 36 South, Range 40 East in St.Lucie County,Florida. II. PRESERVE AREA DESCRIPTION The existing upland habitat preserve areas,containing native pine flatwoods habitat,are upland buffers surrounding the preserved wetlands and areas that have been designated to preserve existing and relocated native trees and palms.The vegetation assemblage includes a wimpy and sutwauupy strum dominated by native slash pine,laurel oak,and cabbage palm.'Mc undcrstory and groundcovcr strata within the pine flatwoods habitat consists of a variety of native shrubs and herbaceous species including saw palmetto,gallberry, fetterhush,myrsine,wild coffee,and cocoplum.The preserved wetlands consist of wet prairie habitat with a vegetation assemblage that includes dahoon bully,red maple,St. John's wort, lanccicaf arrowhead,pickerelweed,yellow-eye grass,corkwood,and various sedges and rushes.Although nuisance and non-native invasive vegetation occurs within both the upland and wetland habitats,the locations of these species arc generally isolated to specific areas. Ill. INTENT This Preserve Arca Monitoring and Maintenance Plan(PAMMP)has been prepared to fulfill the requirements of the St. I.ucie County,Florida,Land Development Code,Section 6.02.00-Environmentally Sensitive Lands.The intent of this PAMMP is to ensure that the proposed project will provide for the proper management of the upland and wetland preserves and tree mitigation areas on site.This will be achieved by preserving and managing existing native upland and wetland habitats and by restoring areas impacted by non-native vegetation to native conditions.With proper management,these preserve areas will provide foraging and nesting opportunities for a variety of wildlife, including listed species. 1000 SE Monterey Commons Blvd, Suite 208 • Stuart, FL 34996 772-287-8771 • Fax 772-287-2988 www.ewconsultants.corn ACTIVE:16973600.4 EW Consultants, Inc. Land management guidelines described in this PAMMP are to he carried out in perpetuity by the responsible party. V. PRESERVE AREAS Restoration of the on-site preserve areas will include and commence with treatment and whcrc necessary removal of non-native invasive and nuisance species in the existing native upland preserve and tree mitigation areas and wetland preserve areas.The eradication and whcrc necessary removal of the non-native invasive and nuisance vegetation may result in barren areas that will require replanting.The necessity and extent of this restoration replanting effort will be determined in consultation with St. Luck County ERI)after the initial removatleradlcation work Is completed within the preserve areas. A specific restoration planting plan will be developed at that time based on the conditions of the upland and wetland preserves. Such plans will consist of proposed plant material,sizes,and spacing given the locations of the preserve areas that may require supplemental planting. MI activities within the preserved and restored areas will he governed by individual documents included in this PAMMP.Typical restoration planting is discussed in detail in a subsequent section. VI. PRESERVE AREA PROTECTION PLAN DURING CONSTRUCTION In order to protect the preserve areas from potential damage during the land development process,the following minimum standards for vegetation protection shall be applied within the project site. A conspicuous,suitable protective barrier constructed of orange safety fencing or other durable material,shall be placed and maintained along all preserve boundaries thereby protecting the preserve areas.This fencing will be installed in a manner,unless otherwise specified in the special conditions of a Notice of Vegetation Removal,as to provide protection to the preserved vegetation during clearing and development activities. All special conditions included in the Vegetation Removal permit will be closely followed. In addition,preserve area signage will be installed as appropriate. Special care shall be taken that preservation areas are properly marked and highly visible so that equipment operators can see the limits of permitted removal activity. Protective barriers or protective designations shall remain in place until removal is authorized by the Environmental Resources Department Director,or their designee. Natural Resource Management, Wetland, and Environmental Permitting Services area identified for preserve under the issued Vegetation Removal Permit,the Environmental Resources Department Director,or their designee is authorized to direct that all land clearing and site alteration work at the site be stopped until the barriers arc restored.Corrective actions will be taken to repair or replant any vegetation removed or damaged as a result of these encroachments. The enhanced/restored preserve areas shall be maintained in their natural state so as not to impair their natural functions. No grade changes or excavation of any sort may be made within the preserve areas that require trenching or cutting of roots,except in compliance with the terms of special conditions in an approved Vegetation Removal Permit. If underground utilities must be muted through a protected root zone area,tunneling under the roots shall be required. Irrigation shall be installed outside of the driplinc of all protected trees. No soil shall be removed from within preserve areas.No fill material,construction material,concrete,paint,chemicals,or other foreign materials shall be stored,deposited,or disposed of within a preservation area.No signs,permits,wires,or other attachments,other than those of protective and non-damaging nature,shall be affixed or attached to protected vegetation. If native plantings arc to be installed within a vegetation preservation area after removal of protective harriers or designations,installation shall he accomplished using hand labor,unless use of light machinery is proven to be necessary and methodology is approved by the Environmental Resource Department Director,or their designee.No equipment, including passenger vehicles,shall he driven,parked,or stored or repaired within designated preservation areas. Vegetation designated for preservation and/or protection that is destroyed or damaged as part of the development of a site or parcel,shall be replaced by vegetation of equal environmental value as specified by the Environmental Resources Department Director,or their designee. The authorized removal of any non-protected vegetation in the vegetation preservation area shall be accomplished using hand labor,unless use of light machinery is proven to be necessary and methodology is approved by the Environmental Resources Department Director,or their designee.Only the above ground portions of the non-protected vegetation may be removed and the stump shall be properly treated with an approved herbicide;the root system of the protected vegetation must remain undisturbed. If any roots of protected vegetation arc exposed or damaged,the contractor shall immediately correct the situation by covering the roots with a high-quality soil to match the existing grades,pruning any splintered roots and providing water until the vegetation has recovered. All provisions of the plan shall be incorporated as express conditions of any Notice of Vegetation Removal issued under this paragraph. VII. MAINTENANCE ACTIVITIES WITHIN ON-SITE PRESERVES The upland and wetland preserve areas as shown on Figure I in the Appendix will be kept free of nuisance and non-native invasive vegetation in perpetuity. All Category I and II nuisance and non-native invasive vegetation as listed by the Florida Invasive Species Council(f.k.a Florida Exotic Pest Plant Council)(Rule 513-57.007 FAC)will he eradicated in such areas. All treatment will be through the application of appropriate herbicides labelled for use within the specific environments.The criterion for acceptance of eradication for Category I and II non- native invasive vegetation will be 100 percent kill and 95 percent kill for species present at nuisance levels. If initial efforts do not achieve this criterion, follow up treatments will he conducted. The preservation areas will be enhanced as described below. The proposed management approach for the preserve areas is also outlined below. • Scattered woody non-native invasive vegetation occurs within the preserve areas. o All woody species will be eradicated by cutting,girdling,or drilling the trunk and treatment of the stump or trunk with an appropriately labeled herbicide. o The completion criterion of the woody non-native invasive eradication will be the achievement of a 100 percent kill. If initial eradication efforts do not achieve this criterion,follow up treatment will he conducted. • the non-native invasive vegetation present also includes non-woody species. o All eradication of non-woody non-native invasive vegetation will he through application of appropriately labeled herbicide and left in-situ. o'fhc criterion for completion of eradication for all non-woody non-native invasive • vegetation will be the achievement of a 100 percent kill. Natural Resource Management, Wetland, and Environmental Permitting Services o All large vegetative debris will be mulched or hauled off site and disposed of appropriately. o Herbicides are required for the treatment of all stumps and/or trunks of woody vegetation to prevent re-growth,and for eradication of non-woody non-native invasive and nuisance vegetation. o All herbicide application activities will be conducted under the supervision of a Florida Department of Agriculture and Consumer Services(FI)ACS)licensed applicator who is certified for application of aquatic herbicides. o All herbicides applied within aquatic areas must be property labeled for application in such areas. o MI herbicides applied must include a visible tracer dye in the mix to facilitate observation of treated vegetation. •The site conditions are variable in terms of soil moisture and existing vegetation. o The non-native invasive removal work will be conducted in u fashion that minimizes disturbance of surface soils.Equipment operations that result in rutting and/or displacement of existing surface soils in excess of three inches will be restored to natural conditions. •The preserve area will be posted with permanent signs and boundary markers.Signs will be at least 11 x 14 inches in size and will be posted in conspicuous locations along the Preserve boundaries,at frequency of no less than one sign per 500 feet. An example of a preserve area sign and a map depicting the proposed locations of preserve area signs along the preserve boundary are included in the Appendix. In addition,should the non-native invasive removal effort result in barren areas within the preserve,a re-vegetation program will be implemented. Barren areas will be re-planted with appropriate native vegetation in consultation with St. Lucie County Environmental Resources Department after initial non-native invasive removal and eradication efforts are complete. It shall he the responsibility of Prima Vista Apartments, I.Lt:or its successors to maintain preserved and restored areas subject to this PAMMP in accordance with the vegetative success criteria in perpetuity.St. Lucie County will he notified within 30 days of any transfer of such responsibilities. VIII. Natural Resource Management, Wetland, and Environmental Permitting Services planting area will dictate the ultimate plant quantities to be installed,but will generally follow the specifications of the Typical Restoration Plantings diagram provided as Figure 2 in the Appendix. The performance standards for any required re-vegetation areas include achieving at least 80% coverage by native plant species within two years of plantings,maintaining less than 5% coverage of Category I and II invasive non-native plant species,and maintaining a diversity of at least five different native plant species within the re-vegetation areas. Loss of installed plant material resulting from anticipated transplant mortality will he offset through additional supplemental planting as required to achieve the 80%coverage criterion after two years.These • success criteria will he tracked through the five year monitoring program and will he met on or before the Fifth Annual monitoring report. IX. PRESERVE AREA MONITORING A Monitoring map showing the locations for monitoring transects,vegetation documentation stations,and photo-monitoring stations is provided as Figure 3 in the Appendix.Monitoring reports will document vegetation at each monitoring station as measured in presence and percent coverage of the canopy/understory strata and groundcover strata.The total percent cover will not exceed 100 percent.and each species documented will be reported in both common and Latin names.Vegetation coverage will be measured by visual observation extending approximately 25 feet in all directions from a fixed monitoring point.Monitoring transects will be marked with PVC pipe to ensure consistency in data collection. Photo- documentation will be included with each report with photos taken from the ends of each transect facing the opposite end of the respective transect in order to provide additional documentation of the general conditions. In addition to vegetative coverage documentation. observed wildlife utilization or indicators of wildlife(i.c.tracks,scat,etc.)will also he noted. Monitoring will he conducted on an annual basis with data collection scheduled annually after submittal of the time zero monitoring report. Reports will be provided to the St. Luck County Environmental Resources Department on an annual basis during the first five years so that maintenance activity can be closely tracked.
