LUCIE COUNTY REPEALING ORDINANCE NO. 99-029, WHICH ESTABLISHED THE RESERVE COMMUNITY DEVELOPMENT DISTRICT #2; DISSOLVING THE DISTRICT PURSUANT TO CHAPTER 190, FLORIDA STATUTES; AND PROVIDING FOR REPEAL; PROVIDING FOR MODIFICATION AT PUBLIC HEARING; PROVIDING FOR SEVERABILITY; PROVIDING FOR INCLUSION IN THE CODE; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the Reserve Community Development District #2 (the "District") is a local unit of special-purpose government established pursuant to the Uniform Community Development Act of 1980, Chapter 190, Florida Statutes, and by Ordinance No.99-029 of the Board of County Commissioners of St. Lucie County, Florida, adopted on November 23, 1999; and WHEREAS, the District Board of Supervisors has filed a Petition Requesting The Board Of County Commissioners Of St. Lucie County,Florida,To Adopt An Ordinance For The Purpose Of Dissolving The Reserve Community Development District #2 Pursuant To Section 190.046(10), Florida Statutes ("the Petition"), attached hereto and incorporated herein by reference; and WHEREAS, the District is wholly located within the boundaries of unincorporated St. Lucie County, Florida(the "County"), as set forth in the Legal Description (Exhibit "A") and the Map of Reserve Community Development District("Exhibit"B"),both of which Exhibits are attached to the Petition; and WHEREAS, the Petition represents that, prior to the adoption of this Ordinance, ownership of all infrastructure improvements owned by the District will be transferred to other entities and all other financial obligations of the District will be satisfied, so that at the time the District is dissolved,the District will have no further outstanding financial obligations or operating or maintenance responsibilities. WHEREAS, the District Board of Supervisors adopted Resolution No. 2025-03, on November 21, 2024, authorizing the termination of the District and the filing of a Petition to Dissolve in accordance with Florida Statutes, attached to the Petition as Exhibit "D"; and WHEREAS, Section 190.046(10), Florida Statutes, provides that if a district has no outstanding financial obligations and no operating or maintenance responsibilities, upon the petition of the district, the district may be dissolved by nonemergency ordinance of the County; and WHEREAS, in adopting this Ordinance, the Board of County Commissioners has relied upon the representations made in the Petition; and WHEREAS, the Board of County Commissioners has conducted a public hearing on this Ordinance in accordance with the requirements of Florida Statutes. NOW THEREFORE BE IT DULY ORDAINED BY THE BOARD OF COUNTY COMMISSIONERS OF ST. LUCIE COUNTY, FLORIDA, that: SECTION 1. RATIFICATION OF RECITALS. The foregoing recitals are hereby fully ratified and confirmed as true and correct and incorporated herein by reference as a material part of this Ordinance. SECTION 2. It is hereby found and determined that the District has petitioned the County to dissolve Reserve Community Development District #2 and has provided sufficient information to the Board of County Commissioners ("the County") that, as of the date of the adoption of this Ordinance, it has no further outstanding financial obligations, nor any further operating or maintenance responsibilities. SECTION 3. DISSOLUTION AUTHORIZED. The County authorizes the dissolution of the Reserve Community Development District #2 and is authorized to adopt this Ordinance under the authority granted by the provisions of Section 190.046(10), Florida Statutes, and other applicable provisions of law. 2 SECTION 4. GRANT OF PETITION. The County grants the Petition and hereby dissolves the Reserve Community Development District #2 by repealing Ordinance No. 99-029 and deleting Sections 1-6.5-70 through 1-6.5-73 of the Code of Ordinances of St. Lucie County in their entirety. SECTION 5. REPEAL. All ordinances or portions thereof in conflict herewith are hereby repealed, to the extent of such conflict. SECTION 6. MODIFICATION. It is the intent of the Board of County Commissioners that the provisions of this ordinance may be modified as a result of considerations that may arise during public hearings. Such modifications shall be incorporated into the final version of the ordinance adopted by the Board and filed by the Clerk to the Board. SECTION 7. SEVERABILITY. If any word, phrase, clause, paragraph, section or provision of this ordinance or the application hereof to any person or circumstance is held invalid or unconstitutional, such finding shall not affect the other provisions or applications of the ordinance which can be given effect without the invalid or unconstitutional provisions or application, and to this end the provisions of this ordinance are declared severable. SECTION 8. INCLUSION IN THE CODE. It is the intent of the Board of County Commissioners of St. Lucie County, Florida and it is hereby provided that the provisions of this ordinance shall become and be made a part of the St. Lucie County Code, as appropriate; that the section of this ordinance may be renumbered or re -lettered to accomplish such intent and that the word "ordinance" may be changed to "section", "article", or other appropriate designation. SECTION 9. EFFECTIVE DATE. A certified copy of this ordinance shall be filed with the Department of State by the Clerk of the Board within ten (10) days after enactment by the Board and shall take effect upon filing with the Department of State. SECTION 10. ADMINISTRATIVE CORRECTION OF SCRIVENER'S ERRORS. The administrative correction of typographical and/or scrivener's errors in this ordinance which do not affect the intent may be authorized by the County Attorney or designee, without need of public hearing, by filing a corrected or recodified copy of the same with the Clerk of Courts. 3 SECTION 12. The District was established by St. Lucie County Ordinance No. 99-029, amending Chapter 1-6.5, "Community Development" of the Code of Ordinances of St. Lucie County by adding Sections 1-6.5-70 through 1-6.5-73 to establish the District. 2. The boundaries of the District are located wholly within the boundaries of unincorporated St. Lucie County, Florida (the "County") as set forth in the Legal Description (Exhibit "A") and the Map of Reserve Community Development District #2 ("Exhibit `B"), both of which Exhibits are attached hereto and incorporated herein by reference. 3. Section 190.046(10), Florida Statutes, provides that, upon petition of the District, the Board of County Commissioners may adopt an ordinance dissolving the District when the District has no outstanding financial obligations and no operating or maintenance responsibilities. Prior to the adoption of the ordinance dissolving the District, ownership of all infrastructure improvements owned by the District will be transferred to other entities and all other financial obligations of the District will be satisfied, so that at the time the District is dissolved, the District will have no further outstanding financial obligations or operating or maintenance responsibilities. A copy of an updated balance sheet for the District is attached hereto as Exhibit "C." 4. The District Board of Supervisors adopted Resolution 2025-03 on November 21, 2024, authorizing the filing of this Petition to Dissolve, having determined that the District meets the criteria for dissolution as provided in Section 190.046(10), Florida Statutes, and the termination of the District will not harm or otherwise injure any interests of the landowners of the District, nor harm nor otherwise injure any interests of any other party within or without the District. A copy of Resolution 2021-09 is attached hereto as Exhibit "D" and incorporated herein by reference. 5. Attached hereto as Exhibit "E" is a proposed form of County ordinance dissolving the District in the manner requested by this Petition. 6. Accompanying this Petition is a check in the amount of $1,500 payable to the Board of County Commissioners and representing the filing fee required by Section 190.046(1)(d)2 for petitions filed pursuant to Section 190.046. LUCIE COUNTY IN ACCORDANCE WITH FLORIDA LAW, AND PROVIDING FOR SEVERABILITY AND AN EFFECTIVE DATE. WHEREAS, the Reserve Community Development District #2 (the "District") was established by Ordinance No. 99-029 of the St. Lucie County, Florida, Board of County Commissioners, which was adopted on December 29, 1999, and became effective on November 23, 1999 (the "Ordinance"), pursuant to Chapter 190, Florida Statutes; and WHEREAS, the District is located wholly within the boundaries of St. Lucie County, Florida (the "County"); and WHEREAS, pursuant to special conditions imposed by the Ordinance, the powers and responsibilities of the District are limited to infrastructure improvements, including water management and control; water supply, sewer and wastewater management, reclamation and reuse; bridges and culverts; district roads; buses, trolleys, transit shelters, ridesharing facilities and services, parking improvements and signage; conservation areas, mitigation areas and wildlife habitat; and other projects required by government issued development order or interlocal agreement; and WHEREAS, all improvements funded with District bonds (roadway, drainage, surface water management and control facilities, and other authorized infrastructure) are owned and maintained by one or more property owners' associations within the District; and WHEREAS, all outstanding debt has been retired and the district has no other outstanding financial obligations; and WHEREAS, the District holds no real property or other asset and has no operating or maintenance responsibilities; and WHEREAS, the District, based upon the foregoing, does not anticipate engaging in community development activities for the foreseeable future; and WHEREAS, the District's Board of Supervisors has determined that the District meets the criteria for dissolution as provided in Section 190.046(10), Florida Statutes; and WHEREAS, the termination of the District will not harm or otherwise injure any interests of the landowners of the District, nor harm nor otherwise injure any interests of any other party within or without the District; and WHEREAS, the District's Board of Supervisors desires to petition St. Lucie County to dissolve the District by repealing the Ordinance, or by other appropriate means, in accordance with Section 190.046(l0), Florida Statutes. NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE COMMUNITY DEVELOPMENT DISTRICT. SECTION 1. INCORPORATION OF WHEREAS CLAUSES. All of the above representations, findings, and determinations contained within the Whereas Clauses of this Resolution are recognized as true and accurate and are expressly incorporated into this Resolution. SECTION 2. AUTHORIZATION TO PREPARE, EXECUTE AND SUBMIT PETITION FOR DISSOLUTION. The Board hereby authorizes the preparation of a Petition for Dissolution pursuant to section 190.046(10), Florida Statutes ("Petition"). The Chairman or Vice -Chairman of the Board, or their respective designee, is hereby authorized and directed to cause the Petition, and all documents and instruments required to be submitted therewith, to be prepared and to execute the Petition, in such form and with such changes, insertions, modifications, and deletions as may be approved by the officer of the District executing the same, in consultation with the District's General Counsel. The Board further authorizes the submission of the Petition to the St. Lucie County Board of County Commissioners. SECTION 3. MISCELLANEOUS. The Chairman, Vice -Chairman, and Secretary of the Board, the District's General Counsel, District Manager, and other authorized officers are authorized and directed to prepare, execute, and deliver all documents, instruments, and certificates and to take all actions and steps on behalf of the District that are necessary or desirable in connection with the submittal of the Petition and the dissolution of the District as authorized in this Resolution. SECTION 4. SEVERABILITY. The invalidity or unenforceability of any one or more provisions of this Resolution shall not affect the validity or enforceability of the remaining portions of this Resolution, or any part thereof. SECTION 5. EFFECTIVE DATE. This Resolution shall take effect immediately upon the passage and adoption of this Resolution by the Board of Supervisors of the Reserve #2 Community Development District. LUCIE COUNTY REPEALING ORDINANCE NO. 99-029, WHICH ESTABLISHED THE RESERVE COMMUNITY DEVELOPMENT DISTRICT #2; DISSOLVING THE DISTRICT PURSUANT TO CHAPTER 190, FLORIDA STATUTES; AND PROVIDING FOR REPEAL; PROVIDING FOR MODIFICATION AT PUBLIC HEARING; PROVIDING FOR SEVERABILITY; PROVIDING FOR INCLUSION IN THE CODE; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the Reserve Community Development District #2 (the "District") is a local unit of special-purpose government established pursuant to the Uniform Community Development Act of 1980, Chapter 190, Florida Statutes, and by Ordinance No.99-029 of the Board of County Commissioners of St. Lucie County, Florida, adopted on November 23, 1999; and WHEREAS, the District Board of Supervisors has filed a Petition Requesting The Board Of County Commissioners Of St. Lucie County, Florida, To Adopt An Ordinance For The Purpose Of Dissolving The Reserve Community Development District #2 Pursuant To Section 190.046(10), Florida Statutes ("the Petition"), attached hereto and incorporated herein by reference; and WHEREAS, the District is wholly located within the boundaries of unincorporated St. Lucie County, Florida (the "County"), as set forth in the Legal Description (Exhibit "A") and the Map of Reserve Community Development District ("Exhibit "B"), both of which Exhibits are attached to the Petition; and WHEREAS, the Petition represents that, prior to the adoption of this Ordinance, ownership of all infrastructure improvements owned by the District will be transferred to other entities and all other financial obligations of the District will be satisfied, so that at the time the District is dissolved, the District will have no further outstanding financial obligations or operating or maintenance responsibilities. A copy of an updated balance sheet for the District is attached to the Petition as Exhibit "C." WHEREAS, the District Board of Supervisors adopted Resolution No. 2025-03, on November 21, 2024, authorizing the termination of the District and the filing of a Petition to Dissolve in accordance with Florida Statutes, attached to the Petition as Exhibit "D"; and WHEREAS, Section 190.046(10), Florida Statutes, provides that if a district has no outstanding financial obligations and no operating or maintenance responsibilities, upon the petition of the district, the district may be dissolved by nonemergency ordinance of the County; and WHEREAS, in adopting this Ordinance, the Board of County Commissioners has relied upon the representations made in the Petition; and WHEREAS, the Board of County Commissioners has conducted a public hearing on this Ordinance in accordance with the requirements of Florida Statutes. NOW THEREFORE BE IT DULY ORDAINED BY THE BOARD OF COUNTY COMMISSIONERS OF ST. LUCIE COUNTY, FLORIDA, that: SECTION L RATIFICATION OF RECITALS. The foregoing recitals are hereby fully ratified and confirmed as true and correct and incorporated herein by reference as a material part of this Ordinance. SECTION 2. It is hereby found and determined that the District has petitioned the County to dissolve Reserve Community Development District #2 and has provided sufficient information to the Board of County Commissioners ("the County") that, as of the date of the adoption of this Ordinance, it has no further outstanding financial obligations, nor any further operating or maintenance responsibilities. SECTION 3. DISSOLUTION AUTHORIZED. The County authorizes the dissolution of the Reserve Community Development District #2 and is authorized to adopt this Ordinance under the authority granted by the provisions of Section 190.046(10), Florida Statutes, and other applicable provisions of law. 2 SECTION 4. GRANT OF PETITION. The County grants the Petition and hereby dissolves the Reserve Community Development District #2 by repealing Ordinance No. 99-029 and deleting Sections 1-6.5-70 through 1-6.5-73 of the Code of Ordinances of St. Lucie County in their entirety. SECTION 5. REPEAL. All ordinances or portions thereof in conflict herewith are hereby repealed, to the extent of such conflict. SECTION 6. MODIFICATION. It is the intent of the Board of County Commissioners that the provisions of this ordinance may be modified as a result of considerations that may arise during public hearings. Such modifications shall be incorporated into the final version of the ordinance adopted by the Board and filed by the Clerk to the Board. SECTION 7. SEVERABILITY. If any word, phrase, clause, paragraph, section or provision of this ordinance or the application hereof to any person or circumstance is held invalid or unconstitutional, such finding shall not affect the other provisions or applications of the ordinance which can be given effect without the invalid or unconstitutional provisions or application, and to this end the provisions of this ordinance are declared severable. SECTION 8. INCLUSION IN THE CODE. It is the intent of the Board of County Commissioners of St. Lucie County, Florida and it is hereby provided that the provisions of this ordinance shall become and be made a part of the St. Lucie County Code, as appropriate; that the section of this ordinance may be renumbered or re -lettered to accomplish such intent and that the word "ordinance" may be changed to "section", "article", or other appropriate designation. SECTION 9. EFFECTIVE DATE. A certified copy of this ordinance shall be filed with the Department of State by the Clerk of the Board within ten (10) days after enactment by the Board and shall take effect upon filing with the Department of State. SECTION 10. ADMINISTRATIVE CORRECTION OF SCRIVENER'S ERRORS. The administrative correction of typographical and/or scrivener's errors in this ordinance which do not affect the intent may be authorized by the County Attorney or designee, without need of public hearing, by filing a corrected or recodified copy of the same with the Clerk of Courts. 3 SECTION 12. ADOPTION.
