The Contractor and Sub Contractor agree as set forth:
Article 1_
Scope of Work
To provide labor and.materials for the following scope of work.
• Demo existing tubs for shower conversions. (124 showers).
• Remove existing toilet and store for re-installation. (130•rooms)
• Unhook existing plumbing for sink and faucet for vanity demo. (130 rooms)
• Install new drains for showers.(124 showers)
Set new owner supplied shower pan. (124 showers)
• Install new owner supplied rough in valves..(130 rooms)
• Install new owner supplied trim and shower head. (13Q rooms)

• Hook up owner supplied sink and faucet for new vanities.(130 rooms)
• Re-install existing toilet.(130 rooms) '

Article 2
Date of Commencement and Completion
All work will'be performed in a professional and workmanlike manner,
Date of Commencement: May 5,2020
Completion Date: August 24,2020
Article 3
The Contractor shall pay the Sub Contractor for its satisfactory performance of the Contract Sum of
$79,950.00($615 per unit x 130 rooms)
Article 4
Schedule of Payment
Based upon Applications for,Payment submitted to the Contractor by the Sub Contractor, progress
payments on account of the Contract Sum shall be made to the Sub Contractor.
Schedule of Payment, as follows:
Draw request must be in by the 201h of month and payment will be made by the 25`h of the following
month. Must be approved by superintendent on site. (may project each draw until the end of the current
month) 10% retainage to apply to each draw. All draw requests to be sent in on Application and
Continuation sheets with release(see attached)
No Exceptions.
Note: Contractor reserves the right to HOLD payment for any work that has not been completed and/or
not to the satisfaction of the industry and/or client.
Article 5
Final Payment
Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the
Contractor to the Sub Contractor when the Work has been completed, the Contract fully performed, all
lien releases are completed,and final payment has been made to the Contractor by Client.
,Article b
Insurance Requirements
The Sub-Contractor shall secure and maintain valid Commercial General Liability insurance
"Occurrence"based that will cover the period of time when the occurrence, incident or offense occurs.
Insurance must be purchased and maintain with a company lawfully authorized to do business in the
jurisdiction in which The Project is based meeting or exceeding AM Best 2018 policy holder rating of
"A-"or better and a financial rating of"Class VII"or better..The Subcontractor shall carry valid and
current Commercial General Liability Insurance, which will cover offenses and or"Occurrence"arising
from any actual or alleged acts, errors or omissions of the sub-contractor that could give rise to a claim
or suit against the Contractor, or any individual or entity to which the contractor is obligated to
indemnify. JANIS SERVICES, INC. must be listed as additional insured in respects to General

Liability.
Per "Occurrence" or per Offense means that the deductible amount applies separately with regards to
each and every "Occurrence or offense to which the insurance applies.
The Subcontractor insurance policies would contain coverage for Property damage arising out of the
products and completed operations hazard with limits of no less than:
$1,000,000.00 each "Occurrence"
$2,000,000.00 General Aggregate(Other than Products-Completed Operations)
$1,000,000.00 Products-Completed Operations Aggregate
Statutory Workers' Compensation Coverage
Such insurance shall provide for a waiver of subrogation in favor of Indemnities. Subcontractor shall
provide evidence that such insurance is in full force by. furnishing Contractor with a Certificate of
Insurance, and certified copies of the above policies. Each Certificate of Insurance or policy shall
contain an unqualified clause to the effect that the policy shall not be subject to cancellation, non-
renewal, adverse change, or reduction of amounts of coverage without thirty (30) days prior written
notice to Contractor. Subcontractor must list Janis Services, Inc. as additionally insured as set forth
herein and shall apply on a primary and noncontributory basis under all circumstances, noncontributory
unless and until all primary coverage exhausts.
To the greatest extent permitted by law Subcontractor will fully indemnify and hold Contractor and all
those to whom Contractor is obligated to indemnify harmless from liability arising out of any actual or
alleged acts, errors or omissions of the Subcontractor, even if such liability was actually or allegedly
caused in part by the active or passive negligence of the Contractor or any individual or entity to whom
the Contractor is obligated to indemnify. .
Solely with respect to this endorsement the term Subcontractor means:
• Any Subcontractor of the Contractor and
• Any Subcontractor of a Subcontractor of the Contractor
Article 7
Clean-Up
Subcontractor shall keep the job site free from accumulation of waste materials and rubbish caused by
its operations and upon the completion of each stage shall- remove all of Subcontractor's materials.
Subcontractor shall remove and clean up any waste materials or rubbish from and about the work as well
as removing its tools, equipment, machinery and surplus materials, and return all affected areas of the
property to a broom-clean condition upon completion of their operation on a daily basis.
Subcontractor shall move all usable material provided by Contractor to the dumpster designated by
Contractor. Subcontractor shall sweep out any waste material from inside the unit under construction
upon completion of their operation. All clean up refuse shall be placed curbside or locations provided or
designated by Contractor. Subcontractor acknowledges that the actual damages resulting in its failure to
clean-up are difficult to ascertain. Accordingly, failure to comply with the terms of this paragraph shall.

authorize Contractor, to undertake any necessary clean-up activities and collect Two Hundred Fifty
Dollar(5250)per day as liquidated damages, This right is cumulative with any and all other rights Janis
Services, Inc. may be entitled to exercise and shall not be deemed an election of remedies nor shall it
preclude Janis Services, Inc. from declaring Subcontractor in breach 'of contract in accordance with
Florida law.
Article 9
LegalAction
In the event of any legal action related to this agreement;parties agree that it would take place in Palm
Beach County, Florida.
