Your sole and exclusive remedy against Contractor for any and all claims for damages arising out of or alleged to have arisen out of the Work will be limited to the repair or replacement by Contractor, in Contractors option, of any nonconforming Work or to the issuance of a credit for such nonconforming Work in accordance with these terms and conditions. You must give written notice to Contractor of any claim with respect to the Work. Contractor must be given a reasonable opportunity to inspect the Work within 30 days after Contractors mccipt of the notice and confirm such nonconformity. This exclusive remedy shall not be deemed to have failed of its essential purpose if Contractor repairs or replaces the nonconforming work. CREDIT APPROVAL. Shipment and delivery of goods and performance of work shall at all times be subject to the approval of Contractors credit depanm •nt and Contractor may at any time decline to make any, shipment or delivery or perform any work except upon receipt of payment or upon terms and conditions or secu ity satisfactory to Contractor. By signing this agreement, you authorize Contractor to check your credit and references. S. DISPUTES AND MANDATORY MEDIATION. Each party will share equally the fees of the facilitative mediator and other shared mediation costs. 9. INSULATION DOES NOT PREVENT FROZEN PIPES. This is the entire agreement between us relating to the Work and may only be waived or changed by a document signed by bad of us. If anv provision of this agreement is not enforceable, that provision shall be effective only to the extent permitted by law and all other provisions of this agreeme it shall remain. To properly design and fabricate products that will house or otherwise incorporate TV's or mechanical or electrical equipment, it is recommended that all measurements and details, including but not limited to, makes and models, be provided along with enough dimensional information that is necessary to safely and aesthetically build the cabinetry around any such devices. Failut to provide this information in a timely manner, relative to the ordering of the other cabinetry, will cause that portion of the cabinetry order to be deleted and processed only after information is made available. If it becomes necessary to process an order for cabinetry products associated with the TV's, or mechanical or electrical devices, along with the other cabinetry mentioned in the Agreement, and without the information needed or otherwise requested, Contractor, cannot guarantee the satisfactory outcome of the cabinetry, nor assume responsibility for the successful installation of the devices, or mechanical or electrical equipment afterwards. It may be possible to retrofit cabinet parts around the equipment at a later date, however, Contractor cannot guarantee not only the dimensional fit, but also the color, grain, or finish of parts that are ultimately required to complete the enclosure of said audio/video or other equipment. This document therefore specifically disclaims the responsibilities of Contractor, and any possible outcome, if this situation or similar situations implied within this notice occur. Finishing, combined with the unique character of wood, provides the natural warmth and appeal that is desired by so many people. Although great care is taken to select the quality of materials used in cabinet construction, variations are expected and considered acceptable. Just as no two, trees are exactly alike, the grain and coloring of the wood may also display such things as mineral streaks, gum spots or knots, as can often be affected by the soil and climatic conditions in which the trees are growth in. Buyers of wood products need to be aware of the inconsistencies that will most likely be found in the end product. Glazed Finishes. The overall appearance of a glaze -finished product will have some color variation due to the hand rubbing. Glazing itself is not a stain. Although glazing will collect in design profiles and porous wood grain, it is not intended to alter the color of the wood being used. As such, noticeable variations in the lumber that make up the parts of your cabinets are considered within the standards of our products and will possibly show through the applied glaze. Distressed. Solid Stains & Paint Finishes. Since no two pieces of wood are alike, variations in both grain and color will most likely 1: more evident with solid stained finishes. Distressing too is a custom finish that requires hand operations which, when added, will me likely cause some variations between like parts. The cabinetry in your premises can dry out Q pick up moisture resulting in shrinkac or expansion of parts that may cause the distressed, solid stains, or paint finishes to fracture at the joints. This condition is not in any way considered defective workmanship nor will it affect the stability of the cabinet parts; i.e. doors or drawer fronts, or the finish in general. Contractor therefore cannot be held responsible for any of the variations that are considered normal and acceptable to the cabinet industry, or for conditions that would adversely affect the finish(s) as stated above. Moisture. Manufacturers of wood products decline to warrant materials that are damaged due to moisture extremes. We, therefore, d not warrant and hereby disclaim any responsibility for any damage or non-compliance with specifications due to the storage, and/or installation of our wood products at a location that might not be satisfactorily controlled in either humidity and/or temperature. The disclaimer is not intended to relieve Contractor from upholding its standard warranty. Job Site Conditions. Under normal conditions. wood products contain a certain amount of moisture. And, when exposed to an environment of extreme difference in humidity, the amount of moisture in the wood increases or decreases accordingly. Minor fluctuations in humidity create little change to wood products. Be aware that moisture damage to wood cabinets can consist of center panel expansion of doors and drawer fronts. joint separation (especially noticeable on mitered frame and painted doors), bowing, twisting, and swelling of stiles and rails. The performance of the product can also change as doors may rub and drawer operation car become restricted. Of course, the finish on wood parts will most likely be affected when any expansion or contraction takes place. Product failure can become evident if moisture levels decrease following exposure to high moisture levels. The overall appearance of a glaze -finished product will have some color variation due to the hand rubbing. Glazing itself is not a stain. Although glazing will collect in design profiles and porous wood grain, it is not intended to alter the color of the wood being used. As such, noticeable variations in the lumber that make up the parts of your cabinets are considered within the standards of our products and will possibly show through the applied glaze. Distressed_ Solid Stains & Paint Finishes. Since no two pieces of wood are alike, variations in both grain and color will most likely b more evident with solid stained finishes. Distressing too is a custom finish that requires hand operations which, when added, will mo likely cause some variations between like parts. The cabinetry in your premises can dry out or pick up moisture resulting in shrinka or expansion of parts that may cause the distressed, solid stains, or paint finishes to fracture at thejoints. This condition is not in any- way considered defective workmanship nor will it affect the stability of the cabinet parts; i.e, doors or drawer fronts, or the finish in general. Contractor therefore cannot be held responsible for any of the variations that are considered normal and acceptable to the cabinet industry, or for conditions that would adversely affect the finish(s) as stated above. Moisture. Manufacturers of wood products decline to warrant materials that are damaged due to moisture extremes. We, therefore, dr not warrant and hereby disclaim any responsibility for any damage or non-compliance with specifications due to the storage, and/or installation of our wood products at a location that might not be satisfactorily controlled in either humidity and/or temperature. The disclaimer is not intended to relieve Contractor from upholding its standard warranty. Job Site Conditions. Under normal conditions, wood products contain a certain amount of moisture. And, when exposed to an environment of extreme difference in humidity, the amount of moisture in the wood increases or decreases accordingly. Minor fluctuations in humidity create little change to wood products. Be aware that moisture damage to wood cabinets can consist of center panel expansion of doors and drawer fronts, joint separation (especially noticeable on mitered frame and painted doors), bowing, twisting, and swelling of stiles and rails. The performance of the product can also change as doors may rub and drawer operation can become restricted. Of course, the finish on wood parts will most likely be affected when any expansion or contraction takes place.
