SCOPE OF WOR K This Proposal, upon notice to proceed by th e Purchaser, shall constitu te th e enti re Agreement between TWC Services, Inc. and the Purcha ser and supersedes any prior re p resen tation s or u n derstandings. No change or modi fication of an y of the te rms a nd conditions stated herein shall be bi nding upon TWC Service s, Inc. unless accep ted by TWC Services, Inc. in writing. U n less it i s speci fically noted otherwise , TWC Services, Inc.’s obligation under this Ag reement exp ressly excludes any work or service asso cia ted with clea n up, control , removal or disposal of e nvironmenta l hazards o r dangero us substances in clud ing but not limited to asbestos or PCB’s discove red in or on th e premises. U n less it i s speci fically noted otherwise , this Proposal i s ba sed u p on the use of straight time lab o r only. 2. INVOIC ING AND PAYMEN TS TWC Services, Inc. ma y invoice Purch a ser monthly fo r a ll material s d e livere d to the jo b site or to an off-site sto rage fa cili ty and for a ll w o rk performed on-site and o ff-site. Purchaser agrees to pay TWC Service s, In c. the amount invoiced upon receipt of in voice. Invo ice s not paid within 3 0 days of the i n voice da te w ill be considere d deli nquent and subject to a service charge an d inte rest computed at the ma ximum all ow a b le le g al in terest rate. The Pu rchase r agrees that he will pay and reimburse TWC Servi ces, Inc. for any and all reaso nable attorney’s fees or other co sts w h ich are incurred by TWC Services, Inc. in the collectio n of the amo unts due and payable h ereunde r. 3. WARRAN TY TWC Services, Inc. w a rra nts and agre es to replace any of its workma n ship whi ch is di scl o sed w ithin a period o f 30 D a y(s) a fter th e performance thereo f to be defe ctive. TWC Services, Inc. warrants ma terials and parts purch a sed by TWC Se rvices, Inc. from others only to the extent the same are warranted b y the supplie rs the reof. 4. TAXES The p ri ce stated in this proposal includes any appl ica b le ta xes unless speci fically noted o therwise . Purch a sers shall pay any and all taxe s a s requi red by fede ral , state or local law. 5. COMPLIA N CE WITH LAWS TWC Services, Inc. shall comply with all applica ble fe deral, state or local laws and regulations and shall obtai n all temp o rary license s and permits required fo r the pro secution of the w o rk. L icen ses and p e rmits of a permanent n a ture shall be procured a n d paid for by the Purchaser. 6. LIA BILITY TWC Services, Inc. shall in d emnify the Purch aser from li abili ties, losses or da mages which may arise in connection with the executio n of the work herein specified , and which are caused solely by the neglige n t act or o mission o f TWC Services, In c.. N o twi thstanding the fo regoing, in n o eve nt shall TWC Service s, Inc. be liable for any sp e cial, indi rect o r conseque n tial damages w h ich may a rise in any ma n ner in con n e ction w ith the executi on of the work, nor shall TWC Services, Inc.’s l iabil ity under th is inde mnificatio n exceed the gre a ter of $25,0 0 0.00 or the p ri ce o f the work stated in th is Propo sal. TWC Services, Inc. shall not be l iable for an y delay i n the p erformance of the w o rk resu ltin g from or attributabl e to a cts or circumstances beyond TWC Services, Inc.’s control, includin g , but not limited to, acts of nature , fire , riots, la b or dispute s, conditions of th e premises, acts o r omissions of the Pu rchaser, o wner, or other con tra cto rs or delays caused by suppli e rs or subcontractors of TWC Services, Inc..
