AMENDMENT TO CONTRACT FOR.SALE AND PURCHASE
THIS .AMENDMENT TO CONTRACT FOR SALE AND PURCHASE is made and
entered into by and. between WILLIAM WINGFIELD, CALLAWAY LAND AND
CATTLE, INC. ("Seller") and N F HOLDING, INC. ("Buyer").
W I T N E S s E T H:
WHEREAS, Buyer and Seller entered into that certain Contract
for Sale and Purchase with an effective date of December 11, 1995,
(the "Contract"); and.
WHEREAS, Buyer and Seller have determined that it is necessary
and proper to amend the Contract.
NOW, THEREFORE, in consideration of the sum of Ten ($10.00)
Dollars and other good and valuable consideration, the receipt
whereof is hereby acknowledged, the parties hereto do hereby agree
as follows:
1. The Inspection Period as set forth in paragraph 6 of the
Contract is hereby extended from February 9, 1996 to April 9, 1996.
For all purposes of the Contract, the Inspection Period shall
expire on April 9, 1996, at 5:00 p.m.
2. Pursuant to paragraph 11 of the Contract, the Seller
agreed to deliver to the Buyer certain documents within fifteen
(15) days of the effective date. The Seller hereby represents and
warrants to the Buyer that the Seller does not .have any of the
documents set forth in paragraph 11 of the Contract and,
consequently, cannot deliver same to the Buyer.
3. The Seller and Buyer acknowledge and agree that the
Seller's site plan for the entire twenty-seven (27) acre site has
been supplied to the Buyer and that portion of the site plan
applicable to the property to be purchased hereunder is set forth
in Exhibit "i" attached hereto. The Seller and Buyer acknowledge
and agree that the traffic flow as depicted on Exhibit "1" shall
not be changed without the prior written consent of the Buyer.
Furthermore, the Seller and Buyer acknowledge and agree that the
Buyer's site plan for the property that is the subject matter of
this Contract shall be supplied to the Seller within the inspection
period. All of the remaining terms and conditions of paragraph 38
of the Contract, not in conflict herewith, shall remain in full
force and effect.
4. The Seller agrees to provide Exhibit "A" to the Contract,
pictorial, and Exhibit "B" to the Contract, legal description, to
the Buyer within the inspection period.
5. All of the terms and conditions of the Contract, not in
conflict herewith, shall remain in full force and effect.
