Replacement Purchase Terms & Conditions Notes, General • Del -Air: o will register the Extended Manufacturer's Equipment Warranty, extending from 5 to 10 years from Installation Date • will remove the existing (replaced) equipment and recycle as appropriate o will reclaim and recycle used refrigerant in accordance with EPA Standards o provides one-year labor warranty from date of installation (can be extended to two at time of sale) • Homeowner may be required to be home for one day within the 6 months after installation for inspection, unless virtual inspection is available in municipality • All applicable sales and local taxes are included • Proposal valid 30 Days • All necessary materials and supplies to complete installation are included • Existing, operational ductwork, venting, electrical wiring and drains are used as needed • If Equipment is high efficiency, the installation is compliant with Del-Air's Retail Guidelines for High Efficiency Communicating Retrofit Applications (comfort advisor initials) All sales to Customer are subject to these terms and conditions ("Terms") which are binding on the parties, their successors and assigns, and there are no terms, conditions, understandings, or agreements other than those stated herein. 1. Payment Terms: The entire invoice is due upon installation of the Equipment. Any payment not received within five (5) days from installation is subject to interest at the rate of ten (10%) percent per annum, calculated from the date of installation. If Customer's check does not clear, credit card is declined, or payment does not go through, Customer shall be liable for the amount due, plus any late fees and collections fees, including fees and expenses of legal counsel retained by Del -Air. 2. t+lWarranf es, Limitatlons on WarranfLos No Lialsifity DEL -AIR PROVIDES A ONE (1) YEAR LABOR WARRANTY ON THE WORK PERFORMED. THIS WARRANTY IS VOID IF ANY WARRANTY ISSUES ARE NOT INSPECTED AND APPROVED IN ADVANCE BY DEL - AIR BEFORE ANY REPAIR IS MADE, OR IF THERE ARE ANY ALTERATIONS TO THE SYSTEM OR REPAIRS MADE BY ANYONE OTHER THAN DEL -AIR. DEL -AIR DISCLAIMS ALL OTHER WARRANTIES (EXCEPT TITLE), EXPRESS OR IMPLIED, AND DEL -AIR DOES NOT AUTHORIZE ANY THIRD PERSON OR PARTY TO ASSUME ANY WARRANTY OBLIGATION OR LIABILITY ON ITS BEHALF. STANDARD DESIGN TEMPERATURES), (D) DAMAGES CAUSED BY HIGH HUMIDITY LEVELS, OLD OR WORN DUCTWORK THAT WAS NOT REPLACED AS PART OF THE INSTALLATION OF NEW EQUIPMENT HEREUNDER, OR DUCTWORK SWEATING AND/OR PRODUCING CONDENSATE DUE TO HOME INFILTRATION RATES, IMPROPER ENVELOPE CONSTRUCTION OR ANY OTHER REASON, or (e) ANY FAILURE IN OPERATION OR PERFORMANCE WHICH MAY RESULT FROM THE CONNECTION TO OR OPERATION OF INSTALLED EQUIPMENT IN CONJUNCTION WITH ANY OTHER EQUIPMENT FURNISHED BY CUSTOMER AT THE TIME OF ORIGINAL INSTALLATION OR ADDED SUBSEQUENT THERETO. CUSTOMER SHALL TAKE ALL REASONABLE MEASURES TO PRESERVE AND PROTECT THE EQUIPMENT FROM DETERIORATION OTHER THAN NORMAL WEAR AND TEAR, SHALL PROPERLY MAINTAIN THE SYSTEM, INCLUDING REPLACING AIR FILTERS AS REQUIRED AND CLEANING DRAIN LINE, AND SHALL USE THE EQUIPMENT IN THE ORDINARY COURSE, WITHIN ITS NORMAL CAPACITY, WITHOUT ABUSE, AND IN A MANNER CONTEMPLATED BY THE MANUFACTURER. 3. Goveming Law: The work performed, these Terms, and the business relationship between Customer and Del -Air shall be governed by and construed in accordance with the laws of Florida without regard to conflicts of laws rules. The parties agree that any legal action arising under or related to the work performed and these Terms shall be brought in Seminole County, Florida, and any right to object to such venue or to assert the inconvenience of such forum is hereby waived. 4. Title; Risk of Lvss:Title of the Equipment and related products and materials covered by these Terms remains solely in Del -Air until the entire purchase price has been paid in full. Risk of loss shall pass to the Customer upon installation of equipment at Customer's property. Del -Air shall not be responsible for any loss due to fire, theft, vandalism, and/or malicious mischief once the Equipment has been installed. 5. FLORIDA'S LIEN LAW. ACCORDING TO FLORIDA'S CONSTRUCTION LIEN LAW (SECTIONS 713.001 — 713.37, FLORIDA STATUTES), THOSE WHO WORK ON YOUR PROPERTY OR PROVIDE MATERIALS AND ARE NOT PAID IN FULL HAVE THE RIGHT TO ENFORCE THEIR CLAIM FOR PAYMENT AGAINST YOUR PROPERTY. IF YOUR CONTRACTOR OR A SUBCONTRACTOR FAILS TO PAY SUBCONTRACTORS, SUB -SUBCONTRACTORS, OR MATERIAL SUPPLIERS, THE PEOPLE WHO ARE OWED MONEY MAY LOOK TO YOUR PROPERTY FOR PAYMENT, EVEN IF YOU ALREADY PAID YOUR CONTRACTOR IN FULL. IF YOU FAILTO PAY YOUR CONTRACTOR, YOUR CONTRACTOR MAY ALSO HAVE A LIEN ON YOUR PROPERTY. THIS MEANS IF A LIEN IS FILED, YOUR PROPERTY COULD BE SOLD AGAINST YOUR WILL TO PAY FOR LABOR, MATERIALS, OR OTHER SERVICES THAT YOUR CONTRACTOR OR A SUBCONTRACTOR MAY HAVE FAILED TO PAY. TO PROTECT YOURSELF, YOU SHOULD STIPULATE IN THIS CONTRACT THAT BEFORE ANY PAYMENT IS MADE, YOUR CONTRACTOR IS REQUIRED TO PROVIDE YOU WITH A WRITTEN RELEASE OF LIEN FROM ANY PERSON OR COMPANY THAT HAS PROVIDED TO YOU A "NOTICE TO OWNER."
