Equipment Sales and Installation Agreement
This agreen'ient (the "Agreernent") by and between Te.chPro
Security Products, L.L.0 (hereinafter referred to as "TSP" or "Seller")
and 'Frea.SM-C CO',W F'ood Bank, (hereinafter referred to as "Buyer")
The equipment identified on the attached Sales Order shall I be installed at the following

Buyer agrees to pay TSP the total amount of $ for the purchase of the
equipment listed on the Sales Order identified in Paragraph 2, below and the installation
of said equipment as follows:

1.TSP agrees to sell, instruct Buyer in the proper use of and install the
equipment/system atthe Buyer's premises, The Buyer agrees iobuy the
equipment and services described in Sales Order No: acopy ofwhich
is attached hereto and incorporated into this Agreement.
2. Payment Terms: Unless otherwise provided in this Agreement, Buyer shall pay a
deposit equal to 50%o of the estimate when this contract is executed. The balance
shall bedue when the installation is complete, Payments not received within 15
days of invoice date will he considered past due and will accrue an additional
interest charge 8t 1.596 per month 0fthe unpaid balance until paid in full. No
work shall be performed (including warranty and change orders) if any arnuunt is
past due when T5P services are requested or required,
3. Change order: Any deviation or alteration from this Agreement shall be executed
asanarncndrmentb)this Agreement and any work 0rservices made apart of any
arnendment shall be billed at TSPs then current rate for labors and material,
4. TSP shall not be liable, TerbPrn Security Products shall not be liable for failure
to perform its duties and obligations hereunder by strikes, labor disputes,
accidents, acts DfGod, governmental or municipal regulation or interference,
shortages of labor or materials, delays in transportation, non -availability of
product from manufacturers or suppliers, orother causes beyond TechPrn Security
Products' control,
5. LIMITATION OF LIABILITY: Buyer agrees that should there arise any liability on
the part ofTSPas aresult of TSPsnegligent performance toany degree o{failure
to perform any of its obligations or equipment failure, or strict products liability,
that TGP^sliability shall be limited to the sum of$25O.00nr 5% of the sales price,
whichever is gre8te,, If Buyer wishes to increase TSP\a amount of limitation of
liability, Buyer may, as matter of right, at any time, by entering into a
supplemental contract, obtain a higher ||nn|t in this provision by paying an annual
payment consistent with TSP'sincreased liability. This shall not be construed as
and }SNOT insurance coverage.
6. Exclusions, This proposal does not include concrete, forming, painting, patching,
trenching, core drilling, venting and/or sealing roof penetrations unless specifically
referenced /n the estimate and/or Sales Order. All waste created byTSP will be
removed hoaspecific area ofthe site,

responsible for Providing a static lPaddress (if so desired). This proposal, unless
otherwise specified onthe estimate and/orSales Order does not include relocating
internetpr power for the DVR. TSP is not responsible for troubleshooting network
issues, If the QVR can be viewed within the network, then it will be deemed that
TSphas fulfilled its network nb|igadon. Further network configuration, if required,
will be completed following the Parties executing an amendment tmthe agreement
outlining the scope of additional work to be completed and the costs thereof, Such
additional work will be billed at our then standard labor rate plus materials.

8m)AWtenatWmn of premises for installation: TSP is authorized to make
preparations such as drilling holes, driving nails, making attachments hoexisting
structures or doing any other thing necessary in TSP's sole discretion for the
installation and service of the aystemn,and TSPshall not beresponsible for the
condition of the premises upon removal ofthe system. Buyer represents that the
owner of the premises, it other than the Buyer, authorizes the installation of the
system under the terms of this Agreement. Installation of the system does not
constitute 8nimprovement ofreal property.
9. National and local codes: Electrical installation shall meet the National Electrical
Code. Errors /n design by the architect and/or engineer are not the responsibility of
TSP. Any additional outlets, wiring,, fighting fixtures, equipment etc. not indicated
on blueprintsd�
and sp�cat|unsthat are required by others (ie inspectors) shall

10, Ownar/Contract0rde[au|t: Buyer shall be in default |[� (1) any payment called for
under this proposal and any authorized amendment or `change order becomes
past clue; (2)Buyer has breached any term orcondition ofthis Agreement orany
amendment thereto; Vr(3) any conditions warranted by the Buyer proves or is
found to be untrue; (4) Failure of Buyer to comply with any of the conditions of
this proposal.
In the event Buyer defaults, TSp may do any or all of the following: (1) Suspend
the work and remove its material /equipment from the premises; (2) remove any
T5P suppliedmaterial / equipment, whether or not it has been installed and
whether Vrnot it has been placed in openst|on, In this regard, Buyer agrees that
TSP may enter upon Buyer property during regular business hours for tile purpose
of rePossessing such equipment without liability to TSP for trespass or any other
reason, and retain all money paid hereunder, regardless of the stage of completion
of the work and bring any appropriate action in the oVurha of the State of Florida to
enforce it's rights, The Buyer agrees to pay all costs and expenses, including
atborney'sfees, court costs, collection fees <induding fees incurred in connection
with appeals) incurred byTSP in enforcing |''s right under the proposal whether or
not suit isactually filed byTGP.

TSPs right to subcontract special services: Buyer agrees that TSP is
authorized and permitted to subcontract any services provided by TSP or required
under this Agreement to third parties who may be independent of TSP and TSP
shall not obligate Buyer to make any payments to such third parties.
12. Limit of Liability for Third Party Actions: Buyer acknowledges and agrees that
TSP shall not be liable for any loss or damage sustained by Buyer by reason of fire,
theft, burglary or any other cause whatsoever arising from the negligence of third
parties, except that TSP shall not obligate Buyer to make any payments to Such
third parties,
Non -solicitation. Buyer agrees that it will riot solicit for employment for itself or
any other entity, or employ, In any capacity, any employee of TSP assigned by TSP
to perform any service for or on behalf of Buyer for a period of two years after TSP
has completed providing service to Buyer under, this Agreement. In the event of
Buyer's violation of this provision, In addition to injunctive relief, TSP shall recover
frorn Buyer an amount equal to such employee's salary based upon the average
salary for the three months preceding employee's termination of employment with
TSP, times twelve, together with TSP's Counsel and expert witness fees.
Acceptance of proposal:
This proposal may be withdrawn if not accepted within 15 days from the date of
submission. When signed by both parties, this instrument, Including the conditions on the
included pages constitute a legal and binding contract,
