Paradise Exteriors will complete the project in a workmanlike manner according to Florida Building Codes and Industry Standards and practices and haul away all job -related debris. Start of installation approximately 6-12 weeks) from after securing a permit, HOA, finance approval. Unforeseen engineering and or elevation expenses not included into this agreement. Buyer agrees that should Paradise Exteriors perform any work on the home to temporarily remedy any leaks, ex: apply a tarp, etc., and buyer cancels or HOA/finance is not approved, that buyer will pay $1,000.00 to Paradise Exteriors for this work. 2. Buyer agrees to pay the agreed upon Commencement payment in full to the installation supervisor before work begins. Buyer also agrees to pay any agreed upon Balances Due in full at completion to the installation supervisor before they leave the property. Completion payment, or portions of, are not permitted to be held for service, etc. unless authorized by Paradise Exteriors. Any balances held until completion or final inspection must be authorized by Paradise Exteriors Management and written into this Agreement. Credit Card payments include a 3%convenience fee. Paradise Exteriors accepts checks/debit card/cash as forms of convenience fee free payment. Returned payments/checks drawn on accounts with non -sufficient funds are subject to up to a $50.00 penalty. If Paradise Exteriors arranged financing and secured the necessary approvals in advance, Buyer will be required to sign a completion form notifying the lender that the work was completed 3. Buyer agrees that all spaces in the structure on which work will be performed have been properly permitted and that Buyer is responsible for informing Paradise Exteriors of any unpermitted spaces in the structure prior to entering into this Agreement. Buyer agrees that their having no prior knowledge of an unpermitted space for which they are requesting work to be performed does not relieve them of their agreed to and scheduled payment/completion form obligations. Paradise Exteriors is not responsible for discovering unpermitted spaces, any work performed in an undisclosed unpermitted space, nor does it have any obligation to help to cure/resolve prior unpermitted work. 4. Buyer agrees that if their Home Owners Association (H.O.A.) approval is required and their H.O.A. denies product specifications listed in this agreement, Buyer will amend the project to conform to the guidelines accepted by their H.O.A. Buyer agrees to any price increases/deceases resulting from conforming this project to meet their accepted H.O.A. guidelines. 5. Buyer agrees to have all valuables, firearms, collectibles, items of sentiment, etc. placed in a secure location prior to any Paradise Exteriors representatives entering their home. Paradise Exteriors is not responsible for missing/damaged aforementioned items. 6. Paradise Exteriors is not responsible for damage to any items in Buyer's attic where work is performed. Buyer is responsible for covering/moving items for protection. Buyer is responsible for removing and reinstalling satellite dishes, solar panels, and all such products. Buyer agrees that any such products still attached to the roof on installation date will be removed by Paradise Exteriors tc accommodate installation using reasonable efforts to remove and place them elsewhere on the property without damage. Buyer agrees that Paradise Exteriors will not reinstall or be liable to damage of these devices. 7. Paradise Exteriors shall use reasonable efforts to protect existing landscaping, exterior siding, gutters, and other building components from damage. Buyer agrees that Paradise Exteriors will not be responsible for minor damage to building structure or landscaping which occurs during the normal course of work performed. 8. Paradise Exteriors shall not be liable for and Buyer hereby waives any claims it may have against Paradise Exteriors for damage caused to any property of Buyer located within six inches under the roof deck, including but not limited to cables, vents, fiber optic lines, steam lines, gas lines, conduits, electric, plumbing and HVAC. Buyer shall fully inform and disclose to Paradise Exteriors the existence of any such property, cables, lines, or equipment prior to the start of the work. 9. Buyer agrees to allow Paradise Exteriors the use of onsite utilities, i.e.: water and electric, reasonably necessary to complete described work. 10. This is considered a cash agreement. Third parties may offer financing as a convenience to its customers however Paradise Exteriors is not a lender and has no bearing on the outcome. Buyer agrees that finance terms are pending approval by the lender. Buyer agrees that should their requested finance terms at the point of sale be denied by a lender Paradise Exteriors has the authority to seek out alternative lenders to secure equal or better terms on the interest rate and payment. Financing terms based on 9.99% interest rate for 120 months provided by the lender. In the event the terms exceed this rate, Buyer will have 48 hours to approve or cancel financing. In the event buyer chooses to cancel financing, Buyer must follow steps outlined in "Buyer's Right To Cancel." Buyer agrees if this is a cash terms agreement where Buyer is securing their own financing Buyer will do so within 60-days of agreement date otherwise granting Paradise Exteriors permission to request financing from its lenders on Buyers behalf. All deposits and credit applications will be processed immediately. Paradise Exteriors reserves the right to cancel this Agreement at any time prior to ordering product and return any deposits in cases, including but not limited to, where a sales representative may have entered into an agreement that is unauthorized in terms of pricing or Paradise Exteriors is not able to perform the scope of the work contracted. 12. Paradise Exteriors is not responsible for repairing any hidden preexisting damage discovered after initiating the project, including but not limited to, insects, rotting wood, or water damage. 13. Paradise Exteriors will provide Buyer with a limited warranty. The terms, conditions, and limitations of which shall be set forth in its standard Limited Warranty which will be provided to Buyer upon their compliance of this agreement including complete and prompt payment of all scheduled amounts due. The Limited Warranty is in lieu of all other warranties or guarantees, express, implied, or statutory and Paradise Exteriors disclaims all other warranties. No oral or written information or advice given by Paradise Exteriors, its agents, reps, or employees, shall create a warranty or in way increase the scope of the Limited Warranty, and Buyer may not rely on any such information or advice 14. Water intrusion due to leaks within a roofing system can lead to the proliferation of mold on exterior and interior surfaces. In performing roof maintenance or repair services under this proposal, it is understood and agreed that Paradise Exteriors and its insurance carrier are held harmless by Buyer and released from any and all liability in connection with, directly or indirectly, arising out of any pre-existing or future mold problems. Buyer agrees to waive any direct, incidental, or consequential damages, including damage to the building structure and its contents or health problems attributable to past, present, or future water intrusion and associated mold, fungus, mildew, or algae growth. The Buyer also waives all subrogation rights against Paradise Exteriors and its subcontractors from damages resulting from such issues 15. Buyer agrees that these are Custom Made to Order Products sized and produced for their home specifically. Buyer agrees in the event of a breach of this Agreement or cancelling after the rescission period has expired, all deposits are forfeited and Buyer is financially liable to Paradise Exteriors for the cost of any materials ordered, all out of pocket expenses, and any loss of profit for this transaction 16. Buyer agrees that any changes made to the products after submitting permit will result in a $250 revision fee. Buyer agrees that changing payment terms from cash to financing provided by Paradise Exteriors must be requested within 72 hours of original agreement date. Payment term changes requested after 72 hours from original agreement date will incur a $500.00 processing fee along with any accompanying finance fees required by our lender. Buyer agrees to increase deposit to 50% of total sale price when changing payment terms from finance to cash before products are ordered and 100% payment in full if changing from finance to cash after products have been ordered. 17. If Buyer postpones installation date beyond 21 days of Paradise Exteriors initial request to schedule installation Buyer shall be subject to a $500 charge that shall increase by $30 far each additional day over 21 days. Paradise Exteriors reserves the right to waive all/part of this charge in exchange for the Commencement payment. Any accrued charges under this provision are in addition to, and must be paid at same time of, any balances owed. 18. Buyer agrees to set and be present for the inspection and permit close out appointment within a 7-day period of Paradise Exteriors initial request to schedule the appointment. Buyer shall be subject to a $500 charge for postponing the appointment beyond the 7-day period. The charge shall increase by $30 for each additional day over 7 days. If Buyer fails to be present for the scheduled appointment Buyer shall be subject to a$150 re scheduling fee. This rescheduling fee also applies to any service appointments scheduled by Buyer for which Buyer fails to be present. A rescheduling fee shall be waived provided Buyer provides notice at least 48 hours prior to appointment; with a limit of one waiver per project. Accrued charges/ fees are in addition to, and must be paid at same time of, any balance owed. 19. If Buyer fails to pay in accordance with terms of this Agreement, or Paradise Exteriors determines a possibility exists for the buyer breaching payment terms of this contract, a lien will be placed on the address of the project and Paradise Exteriors will take necessary legal actions to obtain any balances due. Buyer responsible for any legal/lien fees occurred due to failure to pay in accordance with terms of this agreement. The terms of this Agreement shall be governed by the laws of the State of Florida. Both parties agree that the venue for any legal action shall be in Palm Beach County, Florida. Buyer agrees to waive his/her right to a jury trial should any legal action be brought under this Agreement. Buyer agrees that the commencement date of their installation is their invoice due date. Amounts owing on this Agreement that are not paid in full within 10 days of their due date shall bear interest at the rate of eighteen percent (1 S%) per annum and be added to total balance owed. 20. All warranties shall be void in full if payment is not received in accordance with this Agreement. Buyer agrees that the applicable building departments ratification of Buyers Passed Final Inspection concluding with the closing of Buyers Permit shall serve as validation that all products have been installed properly and meet Florida Building Codes and Industry Standards and Practices. Buyer agrees that product -related consequences resulting from acts of God are not the responsibility of Paradise Exteriors and that Buyer/Buyers homeowner's insurance is responsible for curing any such consequences. 21. Verbal promises can cause misunderstanding. Therefor this Agreement constitutes the entire understanding of the parties, and no other understanding, collateral, verbal or otherwise, shall be binding unless signed by both parties. Buyer agrees that Paradise Exteriors is not bound to extend any additional discounting for any reason and that all sales promotions and discounts have been agreed to by both parties.
