MEMORANDUM OF ASSIGNMENT AND ASSUMPTION OF GROUND LEASE
AGREEMENT
This Memorandum of Assignment and Assumption of Option and Lease Agreement (this
"Memorandum") is made and entered into as of K okrq tat ZOI� ("Effective Date")
by and between New Cingular Wireless PCS, LLC, a Del ware limited liability company, as
successor to BellSouth Mobility Inc., a Georgia corporation ("Assignor") and Crown Castle
South LLC, a Delaware limited liability company ("Assignee"),
Whereas, Florida Gas Transmission Company, a Delaware corporation, and Assignor's
predecessor in interest, BellSouth Mobility Inc., a Georgia corporation, entered into a lease, as it
may have been amended, for property located in Fort Pierce, St. Lucie County, Florida,
("Lease"), all as more further described in the Lease, a Memorandum of Lease of which is
recorded in the Official Records of St. Lucie County, Florida Official Records Book 1200, Page
809, Instrument Number 1694215, as amended by Amendment No. 1 to Ground Lease
Agreement No. 98F — Ground - 1539, a Memorandum of which is recorded in the Official
Records of St. Lucie County, Florida Official Records Book 2469 Page 455, Instrument No.
2785020; and
Whereas, as of the Effective Date, Assignor and Assignee have entered into an
Assignment and Assumption of Option and Lease Agreement ("Assignment"); and
Whereas, the parties desire to memorialize the Assignment in the public record.
Now therefore, as of the Effective Date, the parties have agreed as follows:
1. The Lease is assigned from Assignor to Assignee and Assignee assumes all rights
and obligations of the Assignor in and to the Lease.

2. The Lease, as assigned, shall remain in full force and effect and is not modified in
any way by the Assignment.
3. If there is any conflict between the terms of the Assignment and this
Memorandum, the terms of the Assignment shall prevail.

ASSIGNMENT AND ASSUMPTION OF GROUND LEASE AGREEMENT
FOR VALUE RECEIVED THIS ASSIGNMENT AND ASSUMPTION OF
OPTION AND LEASE AGREEMENT ("Assignment") is entered into and is effective
as of �kmki R 120 to ("Effective Date"), wherein New Cingular
Wireless PCS�, a Delaware limited liability company, as successor to BellSouth
Mobility Inc., a Georgia corporation ("Assignor"), hereby assigns, grants, conveys,
transfers and sets over to Crown Castle South LLC, a Delaware limited liability
company, its successors, affiliates and assigns ("Assignee"), all of Assignor's right, title
and interest in, to and under that certain Ground Lease Agreement, dated October 8,
1998, as amended, by and between BellSouth Mobility Inc., a Georgia corporation, as
lessee, and Florida Gas Transmission Company, a Delaware corporation, as lessor (the
"Lease"), the terms of which are incorporated herein by reference.
TO HAVE AND TO HOLD the Lease unto the Assignee subject to the
covenants, terms and conditions of the Lease.
Assignee hereby accepts and assumes all rights, obligations and liabilities of
Assignor arising out of the Lease, whether now known or subsequently discovered.
Assignee agrees to perform such obligations and exercise such rights as may be required
of it under the Lease as if it had been an original party of the same.
Assignor represents to Assignee that (1) there are no claims, security interests or
liens against the Lease; (2) Assignor has full right and authority to assign the Lease;
(3) there are no unsatisfied judgments, tax liens or undischarged bankruptcy proceedings
either of record or outstanding against Assignor; and, (4) there are no filed mechanics'
liens for work performed within the premises or materials supplied on account of such
work.
Effective as of the Effective Date, all of Assignor's right, title and interest in the
Lease terminate. Assignor's obligation to pay the Site Maintenance Fee, as that term is
defined in the Sublease, dated June 1, 1999, between BellSouth Mobility Inc., Crown
Castle International Corp. and Crown Castle South Inc., effectively terminates on
March 31, 2010.
Effective the first day of the month following sixty (60) days after the Effective
Date, Assignee shall commence payment of rent and all other consideration required to
be paid under the Lease. Until such time, Assignor shall continue to pay such rent and
other consideration.
Nothing contained in this Assignment shall be deemed to supercede, enlarge on or
modify any of the obligations, covenants, terms or warranties contained in the Lease.

BILL OF SALE
This Bill of Sale is made and entered into as of K � kk 70 0 ("Effective
Date"), by New Cingular Wireless PCS, LLC, a Delaware 1Tliability company, as
successor to BellSouth Mobility Inc., a Georgia corporation ("Seller"), in favor of Crown Castle
South LLC, a Delaware limited liability company ("Buyer").
1. For and inconsideration of the sum of One Dollar and Zero Cents ($1.00) and other good
and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Seller
hereby sells, assigns and transfers to Buyer all of Seller's right, title and interest in and to the
improvements, which are described more particularly as follows on Exhibit "A" attached hereto
and by this reference incorporated herein and made a part hereof ("Improvements"), located at
the real property ("Site") encumbered by that certain Ground Lease Agreement, dated October 8,
1998, by and between BellSouth Mobility Inc., a Georgia corporation and Florida Gas
Transmission Company, A Delaware corporation.
2. Seller hereby covenants with and represents and warrants to Buyer as follows:
a. That Seller is lawfully seized and possessed of said personal and real property;
b. That Seller has the right to sell, transfer and convey the same;
c. That same is free and clear of any and all encumbrances.
3. The Improvements are transferred "AS IS, WHERE IS" with all faults, latent and patent.
SELLER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY
WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR
WARRANTY AGAINST PATENT, TRADEMARK OR COPYRIGHT INFRINGEMENT.
4. This Bill of Sale does not include any equipment that may be owned by tenants or
licensees, if any, located in or on the Site.
5. Buyer agrees to pay any and all sale, use or excise taxes applicable to the sale of the
Improvements hereunder by Seller to Buyer.
6. This Bill of Sale supercedes all prior discussions and agreements between Buyer and
Seller with respect to the purchase and sale of the Improvements and other matters contained
herein, and this Bill of Sale contains the sole and entire understanding and agreement between
Seller and Buyer with respect thereto.
7. This Bill of Sale shall be governed by and construed and enforced in accordance with the
laws of the State of Florida.

EXHIBIT "A"
The Improvements include the following items at the Site:
(i) one or more concrete equipment pads or raised platforms capable of
accommodating exterior cabinets, electrical service and access for the placement and servicing of
Seller's and, if applicable, each Space Subtenant's Improvements;
(ii) shelters or exterior cabinets;
(iii) generators and associated fuel tanks;
(iv) grounding rings (other than those for Seller's equipment shelters);
(v) fencing;
(vi) signage;
(vii) connections for utility service up to the meter;
(viii) hardware constituting a tower platform to hold Seller's and, if applicable,
each Space Subtenant's Communication Equipment;
(ix) access road improvements;
(x) common shelters, if any;
(xi) the Tower; and
(xii) such other customary equipment and improvements as may be installed on
the Site (including the Land and the Tower) by Seller, in each case only as installed or
constructed by TowerCo for shared use by Seller and Subtenants.
The Improvements do not include any Communications Equipment.
All capitalized terms used in this Exhibit A, not otherwise defined in the Bill of Sale to
which this Exhibit A is attached, shall have the same meanings as those contained in that
certain Sublease, dated June 1, 1999, by and between BellSouth Mobility Inc., as sublessor,
and Crown Castle International Corp. and Crown Castle South Inc., as sublessees.

TERMINATION OF SITE DESIGNATION SUPPLEMENT
AND MEMORANDUM OF SUBLEASE
THIS TERMINATION OF SITE DESIGNATION SUPPLEMENT AND
MEMORANDUM OF SUBLEASE (the "Termination Agreement") is made as of

LLC, a Delaware limited liability company, as successor to BellSouth Mobility Inc., a Georgia
corporation ("AT&T"), and Crown Castle South LLC, a Delaware limited liability company and
successor by conversion to Crown Castle South Inc. ("Crown").
WITNESSETH:
WHEREAS, AT&T is the current sublessor and Crown is the current sublessee under that
certain Site Designation Supplement and Memorandum of Sublease, a copy of which is recorded in
the Official Records of St. Lucie County, Florida at Official Records Book 1320, Page 1366,
Document Number 1831689 (being referred to herein as the "SDS"), as the same may have been
amended, concerning certain property located at 8701 Orange Avenue, Fort Pierce, St. Lucie County,
Florida (the "Property"); and
WHEREAS, AT&T and Crown have agreed to terminate the SDS subject to and in
accordance with the terms of this Termination Agreement;
NOW, THEREFORE, in consideration of the foregoing recitals, the payments and mutual
covenants set forth herein and other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties hereto agree as follows:
1. The SDS is terminated as of the Effective Date, and shall be of no further force or
effect thereafter.

2. a. AT&T, for itself and its successors and assigns, accepts the surrender of the
SDS as of the Effective Date, and forever releases Crown, and its successors and assigns, from any
and all further obligations under the SDS and any claim, demand or cause of action against Crown,
its successors and assigns, arising under the SDS, Crown's use and occupancy of the Property or the
termination of the SDS from and after the Effective Date.
b. Crown, for itself and its successors and assigns, forever releases AT&T, and
its successors and assigns, from any and all further obligations under the SDS and any claim, demand
or cause of action against AT&T, its successors and assigns, arising under the SDS, Crown's use and
occupancy of the Property or the termination of the SDS from and after the Effective Date.
C. AT&T remises, releases, conveys and forever quitclaims unto Crown all right,
title, interest and equity of AT&T in and to the Property.
3. a. AT&T hereby represents and warrants to Crown that AT&T is the owner of
the sublessor's interest in and to the SDS and has full power and authority to terminate the SDS.
b. Crown hereby represents and warrants to AT&T that Crown is the owner of
the sublessee's interest in and to the SDS and has full power and authority to terminate the SDS.
4. The individuals executing this Termination Agreement on behalf of the parties hereto
hereby represent and warrant that they are duly authorized to execute this Termination Agreement on
behalf of such party and that such Termination Agreement is binding and enforceable against such
party.
S. This Termination Agreement may be executed in any number of counterparts, each of
which shall for all purposes be deemed an original and all of which together shall constitute but one
and the same instrument.
6. This Termination Agreement shall be binding upon and inure to the benefit of the
parties hereto and their respective successors and assigns.
7. If any provision of this Termination Agreement is contrary to, prohibited by or
deemed invalid under applicable law or regulation, such provision shall be inapplicable and deemed
omitted to the extent so contrary, prohibited, or invalid, but the remainder thereof shall not be
invalidated and shall be given full force and effect so far as possible.
8. If any legal proceeding is initiated by any party against another party to enforce or
interpret this Termination Agreement, or to recover damages on the basis of an alleged breach
thereof, the prevailing party shall be entitled to recover from the non -prevailing party its litigation
costs and reasonable attorneys' fees.

9. This Termination Agreement contains the entire termination agreement of the parties
with respect to the subject matter hereof, and supercedes any prior verbal or written communications,
termination agreements or understandings regarding such subject matter, whether oral or written.
The provisions of this Termination Agreement may not be amended, supplemented, waived or
changed orally, but only in writing signed by the parties hereto.

WHEREAS, the parties desire that the terms and conditions of the Sublease shall govern
the relationship of the parties under this Supplement, and each party executing this Supplement
that is not an original party to the Sublease hereby ratifies and agrees to be bound by and perform
the obligations applicable to such party as set forth in the Sublease and this Supplement; and
WHEREAS, pursuant to that certain lease between Florida Gas Transmission Company
(the "Ground Lessor") and Transferring Entity, dated October 7, 1998 (as may have been
amended, the "Ground Lease"), the recorded copy or memorandum of which is referred to in
Exhibit A, Transferring Entity is the lessee of that certain real property described therein, and
the owner of certain improvements located thereon as more particularly described on Exhibits B,
C and D attached hereto and incorporated herein by reference (the "Site");
NOW, THEREFORE, for valuable consideration, the receipt, adequacy and sufficiency
of which is hereby acknowledged by the parties hereto, the parties hereby agree as follows:
1. Sublease and Defined Terms. Unless otherwise defined herein, capitalized
terms shall have the meaning set forth in the Sublease. The parties agree that, except as
otherwise set forth herein, the terms and conditions of the Sublease shall govern the relationship
of the parties under this Supplement and the Sublease is incorporated herein by reference. In the
event of a conflict or inconsistency between the terms of the Sublease and this Supplement, the
terms of the Sublease shall govern and control, except as expressly set forth herein.
2. Demise. Pursuant to the Sublease, Transferring Entity hereby subleases to
TowerCo, and TowerCo hereby subleases from Transferring Entity, the Subleased Property of
the Site.
3. Reserved Space. TowerCo hereby expressly acknowledges that, in accordance
with the Sublease, the Subleased Property does not include, and the Transferring Entity has
reserved and excepted from the Sublease pursuant to this Supplement, the Reserved Space as
shown on Exhibits B, C and D attached hereto and incorporated herein by this reference.
Notwithstanding any errors or imprecisions in the descriptions and depictions set forth on
Exhibits B, C and D attached hereto and incorporated herein by this reference, TowerCo further
expressly acknowledges that the Reserved Space includes, without limitation, all portions of the
Site utilized or occupied by the Transferring Entity or any other BMI Affiliate as of the date of
this Supplement for the use, enjoyment, operation or maintenance of its Communications
Facility. TowerCo further expressly acknowledges that, in accordance with the Sublease, the
Reserved Space includes, without limitation: (i) the Transferring Entity's Improvements set forth
in Exhibit E attached hereto; (ii) the nonexclusive rights of ingress to and egress from the entire
Site, and access to the entire Tower and all Improvements (including any and all easements), at
such times (on a 24-hour, seven (7) day per week basis), to such extent, and in such means and
manner (on foot or by motor vehicle) as the Transferring Entity deems necessary or desirable for
its full use and enjoyment of the Reserved Space; (iii) the right to use any portion of the
Subleased Property, including the Land and Improvements thereof, for purposes of temporary
location and storage of any equipment (including Communications Equipment) and any part

thereof in connection with performing any repairs or replacements of the Improvements; and (iv)
any and all rights pursuant to Sections 5(c) and 25 of the Sublease and all appurtenant rights
reasonably inferable to permit the Transferring Entity's full use and enjoyment of the Reserved
Space, including without limitation, the appurtenances specifically described in Section 5 of the
Sublease. For purposes of Section 25 of the Sublease, the weights and sail area of the panel
antennas comprising a portion of Transferring Entity's Tower -mounted Communications
Equipment is set forth on Exhibit F.
4. Term/Site Commencement Date. The Term of the Sublease as to the Subleased
Property of the Site pursuant to this Supplement shall commence effective as of April 1, 2000
(the "Site Commencement Date") and shall terminate on the date which is one day before the
Ground Lease expires in accordance with its terms (including any extensions or renewals
thereof), unless terminated earlier in accordance with the tf;rms of the Sublease.
5. Rent. TowerCo shall pay to BMI the Site Payment calculated in accordance with
Section 11 of the Sublease.
6. Notice. All notices hereunder shall be deemed validly given if given in
accordance with the Sublease.
7. Governing Law. Notwithstanding the terms of the Sublease, this Supplement
shall be governed by and construed in accordance with the laws of the State in which the
Subleased Property is located.
8. Modifications. This Supplement shall not be amended, supplemented or
modified in any respect, except pursuant to written agreement duly executed by the parties in the
same manner in which the Sublease was executed.
9. Counterparts. This Supplement may be executed in several counterparts, each of
which shall be deemed an original, and all of such counterparts together shall constitute one and
the same instrument.
