AGREEMENT

This AGREEMENT, made as of the 41" day of December, 2014. by Ttbrtwecrr
RICIIARD K. DAVIS CONSTRUCTION CORPORATION, hereinafter called the
"Contractor", and ST. LUCIE COUNTY FAIR ASSOCIATION, INC., hereinafter
called the "Otimer".
WITNESSETH, that the Contractor and the Owner for the consideration hereinafter
named, agree as follows:
ARTICLE 1 : SCOPE OF WORK
The Contractor shall furnish materials, equipment and labor necessary to perform
all of the work as described in The proposal letter dated November 13e1, 2014, from the
Contractor to the Owner and the accompanying drawing entitled "Small Animal
Exhibition Hall, St. Lucie County Fair Association, Fort Pierce, Florida 34945", page A-
1, A-2, and A-3 all dated Oct. 01, 2014 and shall do everything required by this
Agreement. Said Proposal and drawing have been signed by the Parties and are by
reference made a part of this Agreement.
ARTICLE 2 : TIME OF COMPLETION
The work to be performed under this contract shall begin forthwith and shall be
substantially complete on or before 165 calendar days following the issuance of a
building permit.
ARTICLE 3 : DELAYS AND EXTENSIONS OF TIME
If the Contractor should be delayed at any time in the progress of the work by any
act or neglect of the Owner or employee thereof, or by changes in the work, or by strikes,
lockouts, fire, inclement weather, unusual delay in transportation, unavoidable casualties
or any causes beyond the Contractor's control, then the time of completion shall be
extended for such time until the cause thereof shall be eliminated.
ARTICLE 4 : CONTRACT SUM
The Owner shall pay the Contractor for the performance of the contract the sum
offour hundred eighteen thousand hvo hundred dollars 5443 200.00j.
Owner may direct alterations or additions to the subject work as long as the same
will not unreasonably delay completion. Contractor shall not be obligated to make any
alteration or addition unless a written Change Order fixing the cost of same is signed by
the Owner and delivered to the Contractor.
ARTICLE 5 : ACCEPTANCE AND PAYMENTS
Contractor will submit monthly draws at the beginning of each month for the
value of the work completed and/or materials stored during the previous month.
Payments will be due in 14 calendar days after receipt of invoice. Owner hereby agrees
to pay 1.5% interest charge per month on all amounts not paid within terms. At the
payment of each draw, the Contractor shall provide the Owner with a Contractors
Affidavit and Release of Lien waivers, all as provided under Chapter 713 of the Laws of
the State of Florida.
Final payment shall be made when work is complete and accepted by Owner or
when the building is occupied, whichever first occurs. The term complete shall be
understood to mean substantially complete, ready for occupancy. Minor touch-up,
adjustments and finish details which may still be required shall not be cause for
withholding final payment except that the actual value of unfinished work may be
retained by the Owner until finished.
Owner agrees to pay all cost of collection, including attorney's fees, in the event
of non-payment of any reasonably submitted invoice by the respective due dates or in the
event it becomes necessary to protect the security hereof, whether suite be brought or not.
ARTICLE G: PROTECTION OF OWNER'S PROPERTY
During the construction of said building, and until final acceptance of the same by
Owner, Owner shall carry at his/her expense Builder's Risk Insurance, including both fire
and windstorm coverage with loss payable to the Contractor and Owner as their interest
may appear.

ARTICLE 7: OWNER'S WARRANTY
Owner represents and warrants that it holds an agreement with the current
property owner and has the authority to contract with Contractor for the scope of work to
said property as required by this Agreement.
ARTICLE 8 : ATTACHMENTS
Any attached Proposal, rider and/or Change Order from the Contractor to the
Owner will be a legal part of this Agreement and will serve as the limitations of and
specifications for this Contract. The Contractor will not be responsible for changes to the
work required by governmental agencies. In the event of such a required change the
Contractor will be reimbursed by the Owner for the cost of such changes.
ARTICLE 9 : GUARANTEE
The Contractor guarantees workmanship and material to be free from defects for a
period of one year after completion of the job. Any defects that appear within that time
shall be corrected by the Contractor at no cost to the Owner.
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement on the day
and year first above written, in two counterparts, each of which shall without proof or
accounting for the other counterpart be deemed as original contract.

RE: Small Animal Exhibit Building -REVISED
Dear Jeanne:
Richard K. Davis Construction is pleased to provide this proposal for the construction of the Small
Animal Exhibit Building at the St. Lucie County Fairgrounds. We have developed Otis proposal based on
schematic design drawings attached to this proposal, page A-,1, A-2 and A-3 dated: October 01, 2014. Our
proposal of S418,20OX0 (four hundred eighteen thousand two hundred dollars) includes all labor,
material, tax, freight and equipment per the intent of the construction documents, with the following
clarifications (items specifically excluded are shown in italics):
GENERAL
1. Richard K. Davis Construction shall employ a licensed architect and consulting engineers to
complete design of this proposed building in order toobtaina building permit and construct the
building. Nosite plan design or civil engineering has been included within this proposal.
2. All,necessary supervision and project management shall be providedtoinsure attention to detail
and quality of workmanship and scheduling.
3. Temporary sanitary facilities will be provided.
4. Temporary electric and potable water service will be provided from existing service locations with
usage expense being born by the owner.
S. All construction and final clean up (ready for occupancy) is included.
6. Penult fees have been included at an allowable cost of $5,000.00. Impact fees, yrequired,
have. not been included within this proposal.
SITEWORK
1. We have included soil poisoning for termites under the proposed building slab.
2. Siteworksuch as stripping grass, fill dirt and its compaction, and final grading have been
excluded.
3. No landscaping or irrigation work has been considered in this proposal.
4. All layout surveys and air as-builtsurvey have been included wider and allowance of $6,000.00.
S. A 15' wide 30' long concrete sidewalk has been included to connect this proposed building with
the asphalt concourse.
CONCRETE
1. All concrete slabs and foundations shall be provided for the building.
2. We will provide testing results: for all concrete placed on.site.
MASONRY
1. Colored split faced masonry block shall.be installed to a height of4'-0" above finished floor
around the perimeter of the finished office areas and around the perimeter of the open exhibit area

as shown. The walls facing the entrance breezeway shall extend to a height of 10'-0" above
finished floor.
METALS
1. A pre-engineered building system will be provided designed for the 2010 Florida Building
Code, 166 mph Ultimate wind load, Category III, Exposure C.
2. The building system provided shall be:
• 65' x 125' x 12' eave height, 1: 12 double slope with a GO" high fascia system across the
front endwalI.
3. All roof systems shall be metal building purlins with 26-gage galvolwne R-panels. Wall panels
shall be partial split faced masonry with 26-gage fluoropolymer painted R-pancls above.
4. Gable end trims shal l be provided and installed in the owner's choice of manufacturer's standard
colors. Gutter and downspouts shall be supplied for the building.
5. The entire structural system of the pre-engineered metal building shall be hot -dipped galvanized.
6. All building anchor bolts will be hot dipped galvanized.
WOOD AND PLASTICS
1. Mica covered cabinets shall be constructed within the coffee area to include upper and lower
cabinets.
THERMAL / MOISTURE PROTECTION
1. The roof of the enclosed area of the building shall be insulated with 3 1/2" reinforced white vinyl
faced blanket insulation. The metal walls of the office area of the building shall be insulated with
3" white reinforced white vinyl faced blanket insulation.
2. Exterior framed walls of the office area shall be additionally insulated with unfaced batt
insulation.
3. Six inches (6") of unlaced batt insulation shall be installed above the acoustical ceilings of air
conditioned spaces.
DOORS/ WINDOWS
1. Two (2) 3'-0" wide 4'-0" high storefrontwindows shall be installed in the east facing endwall
of the building. Two (2)3'-0" wide X'.2'-0" high storefront windows shall be linstalled in the
south facing sidewall of the building. Each storefront window shall be provided with Low-e gray
tint impact rated. glass in white fluoropolymer frames.
2. Hollow metal frames, hollow metal doors, and hardware are included per plan.
FINISHES
I. Painteddrywall surfaces have been included within the finished office spaces of the building.
2. All hollow metal doors and jambs shall be painted.
3. 2' X 4' acoustical ceilings with washable vinyl gypsum board tile in a standard white grid shall be
supplied and installed for all ceilings within the office area of the building.
4. All floors within office area of the Building shall.. receive a l2" X 12" porcelain tile in a selected
manufacturer's standard color. 4" vinyl base shall be installed at the base of the drywall walls
except for the restrooms which will receive 4 ''/4" X 4'/," wall tile to a height of 5'-0" off of the
floor.
ACCESSORIES
1. Toilet accessories will be installed throughout restrdoms as required.
2. Fire extinguishers are included to meet local requirements.

MECHANICAL
I. Plumbing systems to be installed per the schematic drawings. All fixtures included shall be
commercial grade. Two (2) triple stainless steel sinks have been included under an allowable
cost orS3,700.00. It may be possible to purchase these sinks used, Six (6) faucets for these two
sinks shall be purchased new and installed.
2. Potable waler service to the building shall be provided by others.
3. Sanitary sewer systems shall be brought to the building by others.
4. A single split HVAC system has been included to condition all finished spaces.
5. A fire sprinkler system has been included for the entire building. Underground piping from the
existing main line to the proposed building has been included. All exposed piping within the
exhibit building shall be hot -dipped galvanized.
ELECTRICAL
I. Electrical has been included with all lighting to be fluorescent in the interior finished areas or low
bay light fixtures in the open exhibit areas.
2. The main electrical service to the building shall be a 120/240 volt single phase 400 amp service.
3. A voice enunciated fire alarm system has been included for the entire building.
4. No security system has been included.
