The existing roof systems (Building A depicted on the left and Building B) are both spray polyurethane foam (SPF) roof systems over a structural concrete substrate. The roofs are approximately seven (7) years old. Both roofs have some SPF delamination in various areas. A moisture survey report was ordered by the property and we are awaiting the moisture report details to more accurately determine if there is SPF replacement necessary which is beyond our visual estimation of approximately 2,700 Square Feet on each roof. The existing SPF areas of failure are likely due to some form of contamination during the application (either in the SPF product or substrate). While the SPF failure areas are a concern and should be remedied, the areas only represent approximately fifteen (15%) of each roof. It should be noted that an SPF roof is a considered to be a 'Life -of -the -Building' roof system when properly maintained and the cost to remedy the existing roof deficiencies significantly outweighs the consideration to re -roof from a financial standpoint. Since SPF is a 'closed cell' foam, water won't migrate throughout the foam and tends to remain isolated and localized to the affected area. Our proposed procedure will remedy the existing deficiencies and will deliver a 'NO LEAK' product manufacturer warranty which will cover all materials and labor. The existing roof is currently in such a condition • as to be an excellent candidate to apply a 900L HOOD SRICONE ROOF RESTORATION COATING. We hereby propose to furnish all materials, all necessary equipment and to perform all labor necessary to complete the following work in an OSHA approved Safety manner. Project Duration: Approximately (15 days) Weather Permitting Scheduled Start Date: May 23, 2016 (both buildings shouldbe completed ,on or'about June 11),.2016 - w`eather peemittingj , The success of a roof restoration coating lies in the preparation... • Heavy power -wash the existing roof system to remove any contaminants. • Powerwash (up from the roof) V on the parapet wall areas to remove the paint that was applied over the silicone. Silicone only adheres to silicone; therefore, the paint that was applied will peel off over time. • Inspect the existing roof surface for damage. Correct any deficiencies in the existing roof ,M system as required to render a suitable base surface for the new GACOWFSTANSilicone Roof Restoration Coating System. Inspect for and pre -treat (using a trowel -grade mastic) to correct any splits, cracks, holes, etc. in the existing membrane or any other damage which could adversely impact the new coating installation. • Cut out any delamination bubbles in the existing roof system and SPF fill the void back to a level roof surface. • Cut out any of the visually delaminated roof areas (approx. 2,700 SF on each roof) down to the concrete substrate and replace with new SPF or in areas where the bad SPF is surface only cut out the bad SPF down to good SPF and replace the SPF back to a level roof surface (contractor professional decision applies). • Cut out the SPF around the drains to sculpt the SPF so the drains evacuate water effectively. If necessary, trench cut any roof SPF areas to help the roof drain more effectively. • As Necessary: Remove the existing drain strainers and wire wheel remove any rust. Re- paint with rust inhibiting DTM (direct -to -metal) primer/paint. Re -attach after procedure. • Apply manufacturer approved E-5320, 2-part epoxy prime as required. 4 • Apply the GAwWEreRN S-2000, High Solid, Pure 100% Silicone Roof Restoration Coating to be installed at a rate specific to the warranty term requirements Dry Mil Thickness (DMT), 30 DMT on the 15-year warranty. The coating shall be allowed to cure fully (generally overnight) and inspected for pinholes, thinly coated areas, uncured areas or other defects. Any defects shall be corrected as specified by the manufacturer. Beware competitor claims since this is a frequent deficiency seen on roofs where contractors do not install the accurate millage. We use a wet mil gauge during application. Note: This coating procedure includes the entire parapet wall (up and over — includes the parapet top). This will completely encapsulate the parapet wall system (North, East & South sides of the buildings) into the roof system coating. The walls on the West sides of the buildings will be coated up the walls a minimum of 8" to 1. INSTALL WALK PATHS (DOUBLE COAT, DOUBLE GRANULATE IN AN ALTERNATING COLOR) 1408 LF (PER DICK) X 4' WIDE (ACTUAL PATH TO BE DEFINED BY OCEANIQUE) NOT TO EXCEED 1408 LF • Haul away and dispose of any debris at an approved landfill facility. • Maintain the integrity and operation of rooftop air conditioning units. END OF SCOPE OF WORK Note: The manufacturer technical representative (Matt Blusiewicz, (954) 299-7338) has conducted a pre -production inspection to evaluate the appropriate scope of work and will perform a post -production inspection which includes performing `slit samples' to ensure Cool Roof installed the correct millage (thickness) of product as specified by the manufacturer warranty. A post -production inspection report will be furnished to Oceanique as soon as available. Commencement and completion of work: The contractor represents that as soon as a signed contract and deposit is received and all permit fees are paid by the owner, all necessary materials for the work will be ordered and delivered to the job site as soon as possible. Contractor shall immediately schedule the installation of the work with the Owner and diligently complete the installation as scheduled, weather permitting. The scheduled start date is May 23, 2016 and both buildings should be completed on or about June 10, 2016 ...Weather Pernitting. Time is of the Essence. Conditions: All material is guaranteed to be as specified. All work is to be completed in a professional workmanlike manner according to standard roofing practices. Any alteration or deviation from specifications involving extra cost/credit will be executed only upon written change orders and will become an extra charge/credit from the original lump sum contract price. Unforeseen Conditions: This contract is based on conditions which were determined by visual examination. Should unforeseen conditions arise which could not be determined by the inspections precedent to the creation of the attached proposal, any additional work over and above the work contemplated by the proposal shall be performed on a time and material or firm bid basis. In addition, should additional work or materials be required by governmental agencies such as the local building department or by the materials manufacturer in order to validate warranty requirements, such work or additional materials will be considered an unforeseen condition and will be subject to additional charges specified above. Claims: All claims for damages or non -fulfillment of this contract shall be made notlater than one (1) year after the completion of the work. Cool Roof Foam and Coatings will exercise reasonable care when .performing the work, but cannot be held responsible in any manner for damage to sidewalks, foliage, shrubbery, screening, pipes or cables, above or below ground. We will not be held responsible for water damage to the exterior or interior of the premises. CUSTOMER IS URGED TO COVER FURNITURE & OTHERWISE PROTECT THEIR PROPERTY. We cannot assume responsibility for any damages done to the roof by plumbers, electricians, air conditioner men or any other tradesmen. Engineering and Environmental Fees: Unless otherwise specified, this contract does not cover costs for engineering calculations, environmental tests or hazardous materials removal as may be required by governmental agencies. Any such costs will be paid by the purchaser. Oral Representations: Cool Roof Foam & Coatings assumes no responsibility for any oral representations which are not confirmed in writing. All terms and conditions must appear in writing on this contract or on other written instrument(s) signed by both parties. This contract may not be altered or modified except by written instrument(s) signed by the parties. Payment: Payment of all or part of this contract, according to the terms of the contract shown in the proposal or in a separate written and approved instrument, shall be due and payable strictly on the basis of that schedule unless the parties agree otherwise in writing. The prevailing party fee provision in collection disputes should be reciprocal. Payment to Cool Roof Foam and Coatings shall in no way be contingent upon the acceptance of work done by others over which Cool Roof Foam and Coatings has no control. Furthermore, Cool Roof Foam and Coatings assumes no responsibility for work done by anyone other than a Cool Roof Foam and Coatings employee or subcontractor. If it becomes necessary to incur any expenses in the collection of any monies due under the terms of this contract including, but not necessarily limited to, reasonable attorney's fee, court costs or other collection fees, it is understood that those costs shall be paid by the purchaser. If the customer cancels the job after materials are loaded on the job, Cool Roof Foam and Coatings will keep half the deposit. If customer cancels the job after it has physically started Cool Roof Foam and Coatings will keep the complete deposit. If Cool Roof Foam and Coatings is refused access to job site by the customer, the complete deposit will be retained. Indemnification: To the fullest extent permitted by law, and in exchange for separate consideration of Ten Dollars ($10.00) in hand paid by the OWNER to the CONTRACTOR, and other good and valuable consideration, the CONTRACTOR shall indemnify and hold harmless the OWNER and its agents, employees and assigns from and against all claims, damages, losses and expenses, including but not limited to attorneys' fees arising out or resulting from (1) the performance of the Work provided, that any such claim, damage or loss or expense is attributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property, including the Work, and the loss of the use resulting therefrom; and (2) is caused in whole or in part by negligent act or omission of the CONTRACTOR, any subcontractor, anyone directly or indirectly employed by any of them, or anyone for whom acts any of them may be liable. 6 In addition to, and without limiting the foregoing, to the fullest extent permitted by law, CONTRACTOR shall further indemnify and hold harmless the OWNER from and against all claims, damages, losses or expenses, including but not limited to attorneys' fees and expenses, arising out of or resulting from any claim, action or proceeding, commenced by any third party, seeking to attach, garnish or sequester any funds due or payable to CONTRACTOR. CONTRACTOR'S liability pursuant this Article III indemnification clause shall be limited to One Million Dollars ($1,000,000.00) per occurrence. The provisions of this Article III shall survive any termination or completion of the Contract. Guarantee: Guarantees are not transferable unless request Is provided to Cool Roof Foam and Coatings in writing within 30 days of sale of property and approved by Cool Roof Foam and Coatings. All guarantees given by Cool Roof Foam and Coatings will be null and void if any contractor or individual other than a Cool Roof Foam and Coatings representative does work on a guaranteed roof or if property owner -or tenant does not allow access to the property. Cool Roof Foam and Coatings will assume no liability and will not guarantee any work performed until contract is paid in full. The signing of this agreement confirms that the signer has read and approves all terms and conditions of this contract. Cool Roof Foam 8 Coatings assume no responsibility for damage cause by acts of God, acts of nature, or any act beyond our control. This contract is not valid or binding until approved and accepted by an officer of the corporation. SEVERABILITY: If any provision of this contract is declared to be unlawful, invalid, or unenforceable for any reason, then notwithstanding such unlawfulness, invalidity, or unenforceability, the remaining terms and provisions shall remain in full force and effect. Governing Law: This contract shall be Interpreted and governed by the laws of the State of Florida. Venue and jurisdiction shall be exclusively In St. Lucle County and each party to this contract hereby waives any and all rights It may have to selection and jurisdiction. ACCEPTANCE OF AGREEMENT All certificates of insurance are a .pdf file embedded on the last page of this agreement; and such insurance will be continued to be maintained for the duration of the work performed. All material is guaranteed to be as specked. All work to be completed in a workmanlike manner according to standard practices. Any alteration or deviation from above specifications involving extra costs will be executed only upon written orders, and will become an extra charge over and above the estimate. The undersigned agrees to furnish Workman's Compensation and Liability Insurance. Owner to carry Fire, Tornado and all other necessary insurances. All agreements contingent upon strikes, accidents or delays beyond our control. Protection of Property Owner agrees to remove or protect any property, fixtures or other items, which are under or coveredby the roof area where work is to be performed, including both interior and exterior spaces. Due to the nature of this work, a certain amount of vibration or movement can be expected which could affect items under the roof or work area. Additionally, significant amounts of dirt or dust could be created which could enter the interior of the building: Areas without overhead ceilings are especially susceptible to dirt infiltration. The owner has been advised of this responsibility and agrees that the contractor shall not be responsible for this protection or clean up. Interest on past due sums shall accrue from when due at the highest rate allowable under Florida law. In any action brought for enforcement or interpretation of this agreement, the prevailing party shall also recover all costs including reasonable attorney fees. Venue is hereby agreed to be St. Lucie County, Florida. There shall be a mandatory mediation in the event of a dispute followed by litigation if not resolved. Also the prevailing party provision must specifically include pre -suit, mediation, appellate and bankruptcy fees. This agreement is subject to acceptance within 30 days and is void thereafter at the option of the undersigned. Provide secondary materials only as recommended by manufacturer.of primary materials. Product Data: Submit manufacturer's instructions on proper materials application recommendations if requested. Compatibility: Provide products which are recommended by manufacturers to be fully compatible with the indicated substrates or provide separation materials as required to eliminate contact between incompatible materials. Specifications: The material supplier and/or manufacturer's representative shall be allowed to inspect all work in progress and advise the contractor as to the proper application of their materials. All discrepancies shall be immediately corrected. Performance: Provide materials recognized to be of generic type indicated and tested to show compliance with indicated performances or provide other similar materials certified in writing to be equal or better than specified in every significant respect and acceptable to the owner. When a particular trade name is specified, it shall be the standard. Manufacturer's Recommendations: The application and installation of all materials shall be in strict accordance with the materials supplier and/or the manufacturer's recommendations and as specified herein. Manufacturer's Responsibility to the Owner: The material manufacturer of the is responsible for furnishing the contractor and the owner with materials that conform to the specifications and for providing accurate technical data on physical properties, chemical composition and proper application techniques. Contractor relies solely on the manufacturers published data and their recommendations for proper application procedure. 10 QUALITY OF WORKMANSHIP Pre -Production Conference: Prior to production, meet at the project site with the owner/representative. Record discussion and agreements and furnish copy to each participant. Job Conditions: Weather: Proceed with work only when the current and forecast weather conditions will permit work to be performed in accordance with manufacturers recommendation and warranty requirements. Environmental Requirements: Do not apply materials during inclement weather. Do not apply materials to damp, frozen, dirty, dusty or deck surfaces unacceptable to manufacturer. Project Supervision: Contractor will provide an onsite job foreman with experience in the scope of work applications and provide him with experienced personnel with proper training. Project Standards: All materials are to be applied in a neat, professional and workman like manner in accordance with industry standards. CONSTRUCTION FACILITIES AND TEMPORARY CONTROLS Contractor's use of Premises: Contractor shall limit use of premises for work and for construction operations to allow for owner occupancy. Parking for construction workers shall be limited to areas at Owner's direction. Electricity: Connect to existing junction box facilities. Owner will pay cost of energy used. Water: Connection to existing facilities is, available by use of hose. Owner will pay for water used. Sanitary Facilities: Contractor is responsible for providing an onsite port-o-let if required. Cleaning During Construction: Control accumulation of waste material and rubbish, periodically (weekly) disposes of off -site. There shall be no dumping in owner's trash receptacles. Storage: Contractor shall be responsible for storage. Inspection Conditions: Remove temporary materials, equipment, services and construction prior to substantial completion inspection. Clean and repair damage caused by installation. Restore existing facilities used during construction to specified or original condition. Debris Removal: On buildings of more than two stories all materials removed in a proper manner. No debris will be thrown "free style" from the rooftop. Care will be taken to protect shrubbery, building and landscaping. Final Project Clean Up: _ Jobsite will be completely cleaned upon project completion. All debris will be cleaned up from around bushes, shrubs, yard, gutters, etc. and hauled away for proper disposal. Nightly site clean-up is also included. STORAGE AND HANDLING OF MATERIALS Material Storage: Contractor shall receive, unload, move to the work area and protect all his materials and equipment. All damaged materials shall be removed from the job site. All materials shall be in the original, unopened containers with labels intact, legible and sufficient quantity to allow for continuity of work. Rooftop Storage: Materials and equipment stored on the roof shall be dispersed so as to minimize load deflections of the roof deck. Material Protection: Ali materials shall be kept dry prior to and during application and stored' in a manner so as to prevent moisture absorption. Contractor shall store all materials on clean, raised platforms with weather protective covering and protect materials against damage by construction traffic. Staging and Project Set-up Contractor shall concentrate his staging, storage. and hoisting activities in an area approved by the owner. It shall be the responsibility of the contractor that the materials specked herein are those actually delivered to the job site. INSURANCE AND LICENSES INSURANCE: Insurance coverage meets. or exceeds all state, county or city requirements. Workmen's Compensation coverage shall be provided for all personnel. Fleet insurance is also provided. Insurance documentation shall be provided upon request. CODE COMPLIANCE: All work performed will meet or exceed all applicable local building codes. All work performed will be carried out in an efficient and workman like manner by experienced personnel. OCCUPATIONAL LICENSES: All applicable occupational licenses required. 10 PROJECT CONDITIONS Hazardous Material: Unless specifically stated otherwise in this proposal, the cost of any activities (including but not limited to testing, abatement, or removal) concerning hazardous materials or asbestos containing materials (ACM) is not included in this proposal. If this type of material is found, abatement shall remain the responsibility of the owner. Any work required which is related to hazardous materials will be performed at an additional cost to this proposal. Hazardous materials encounters are not typical. Engineering Requirements In some cases, an inspection and certification by a structural engineer is required to evaluate the ability of the structure to accommodate the weight of the new materials/proposed system. Unless otherwise indicated in the scope of work of this proposal, the cost of any engineering is not included. In the event engineering is required, the owner shall be responsible for this cost by providing either the engineering report or paying for the expense of the report. Note: Engineering is not performed until we have a signed contract and the scope of work and pricing may change based on engineering results. The owner will be advised of the necessity of the engineering report prior to any work commencing. Unforeseen engineering is not typical. Air Conditioning, Mechanical, Plumbing,,Electrical, Lightning Protection Unless specifically stated in the scope of work of this proposal, the cost of any (either replacement and/or disconnect / reconnect) of Air Conditioning, Mechanical, Plumbing, Electrical, Lightning Protection or other subcontract trades is not included in this proposal. Change Orders In the event changes or additions to the contract become necessary or are desired, a written change order shall be drawn up describing the additions or changes to the scope of work and price of work. Extra Costs In the event any work or services which have not been included in this proposal become necessary for the completion of work outlined in this proposal, said work shall be performed at an additional cost to this proposal. If the work or services required are of such a nature as to not impact our performance of the work in any way, the owner may elect to provide the work at his expense by others. However, if the work or services will impact or impede our work, said work or services will be provided on a time and material basis ($70/hour per man) or on a unit cost basis; either method being at additional cost to this proposal.
