Dear Colson,
It is with regret I inform you that the Arts & Cultural Alliance of St. Lucie, Inc. (ACA) Board of Directors by
unanimous vote has determined that in the best interest of all parties the organization shall be dissolved. The
necessary paper work will be processed for a timely dissolution and take some time, but for practical purposes
operations will cease March 31, 2016. There is a five year lease with the county for our premises at 2300
Virginia Avenue which is cancelled and returned to the county effective April 1, 2016.
ACA was a project created at the behest of the BOCC in 2009, when its finances were being severely eroded,
opting to close its Cultural Affairs Department, thus the task was undertaken by a group of local citizens.
Unfortunately raising operating funds proved to be a daunting task and local support difficult to secure. The
process of finding the right leadership to adopt the board's policies with a plan and execute same proved
elusive while consuming time and dollars.
Per the ACA's Bylaws as follows, the board has determined to return our residual funds to St. Lucie County for
a public purpose which we hope will benefit the arts:
ARTICLE THIRTEEN - Dissolution
Upon dissolution of this corporation, assets shall be distributed for one or more exempt purposes within the
meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future Federal tax
code, or shall be distributed to the Federal government, or to a state or local government for a public purpose.
Remaining portions of grant funding shall be returned to the granting agency.
The county commissioned an audit of ACA which found nothing financially amiss and contains many
substantial errors. Their statement to County Administrator Tipton is enclosed with our personal and
accounting firm's response in bold type.
