LUCIE COUNTY, Florida, a political subdivision of the State of Florida, whose address is 2300 Virginia Avenue, Fort Pierce, FL 34982 ("Grantee"). WITNESSETH: That Grantor, for and in consideration of the sum of Ten Dollars and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby convey forever to the Grantee, its successors and assigns, a non- exclusive unobstructed easement with the right, privilege, and authority to construct, operate, use, maintain, improve, and/or repair either above or below the surface of the ground, facilities and associated improvements for a bus stop shelter (shown in Exhibit A), over, through, across, or under the following described land located in St. Lucie County, Florida, to wit (the "Easement Property"): See Exhibit A attached hereto and incorporated herein. TOGETHER with the non-exclusive right of said Grantee, its successors and assigns, of ingress and egress to and over said Easement Property, and for doing anything necessary or useful or convenient, or removing at any time any and all of said improvements under or in said Easement Property, together also with the right and easements, privileges and appurtenances in and to said land which may be required for the enjoyment of the rights herein granted. THIS EASEMENT is granted subject to the following terms and conditions: 1. The Grantor and its successors and assigns may authorize and may use the Easement Property for any purpose that does not unreasonably interfere with the use and enjoyment by the Grantee of the rights granted by this instrument. 01871351.0.10!5/17 Page 1 of 3 OR BOOK 4050 PAGE 2360 ' 2. The Grantee shall install, improve and develop the Easement Property as set forth in Exhibit B, which shall consist of a bus shelter and related improvements. No other improvements shall be installed without the Grantor's prior written consent. Grantee shall maintain the bus shelter and any other improvements installed with Grantor's consent, in good condition and repair, free of trash and rubbish. 3. In its use of the Easement Property, Grantee shall comply with all applicable State, municipal, and local laws, and rules, orders, regulations and requirements of governmental departments and commissions. 4. No property of Grantor shall be destroyed, displaced or damaged by Grantee in its use of the Easement Property without the prior written consent of Grantor and the express agreement of the Grantee to promptly replace, return, repair, and restore any such property in a condition satisfactory to Grantor upon demand. 5. To the extent allowed by law, the Grantee shall indemnify and save harmless Grantor, its officers, directors, trustees, agents and employees against any and all loss, damage, claim of liability whatsoever due to personal injury or death, or damage to property of others directly or indirectly, due to the exercise by the Grantee of the rights granted hereby, or any other act or omission of Grantee. 6. The Grantee shall confine activities on the Easement Property strictly to those necessary for the enjoyment of the use hereby granted, and shall refrain from marring or impairing the appearance of said Easement Property, obstructing access thereto, interfering with the transaction of Grantor's business and the convenience of the public, jeopardizing the safety of persons or property, or marring, damaging or defacing Grantor's adjoining property and buildings, or causing justifiable public criticism. 7. Should any one or more of the provisions of this agreement be determined to be illegal or unenforceable as to one or more of the parties, all other provisions, nevertheless, shall remain effective and binding on the parties hereto, provided the essential terms for each party remain binding and enforceable. 8. This agreement represents the final agreement of the parties and no agreements or representations, unless incorporated in this agreement, shall be binding on any of the parties, and no portion hereof shall be amended or modified unless such change shall be in writing and signed by both parties hereto. Grant of Easements, (a) SB Fort Pierce Access Easement. Angle Properties does, by this instrument, give and grant unto SB Fort Pierce, its assigns and successors -in -interest and/or title, a non-exclusive easement for vehicular and pedestrian ingress and egress over, upon and across any and all paved areas, driveways, roadways and accessways that may exist from time to time upon and across the Angle Properties Parcel (the "Angle Properties Access Easement"). Once constructed, Angle Properties shall keep and maintain all paved areas, driveways, roadways and accessways that may exist from time to time in good condition and repair. This grant of easement is perpetual and non-exclusive, and Angle Properties reserves unto itself, its successors and assigns, the non-exclusive right to use and pass over and upon the Angle Properties Parcel, to construct, reconstruct, install, maintain and repair access and related improvements and utilities over, under, upon and across the Angle Properties Parcel, and the right to otherwise utilize its parcel for any purpose which does not adversely affect the rights granted to SB Fort Pierce hereunder. (b) Angle Properties Access Easement. SB Fort Pierce does, by this instrument, give and grant unto Angle Properties, its assigns and successors -in -interest and/or title, a non-exclusive easement for vehicular and pedestrian ingress and egress over, upon and across of the SB Fort Pierce Parcel described and depicted on Exhibit "C", attached hereto and made a part hereof (the "SB Fort Pierce Access Easement`). This grant of easement is perpetual and non-exclusive, and SB Foil Pierce reserves unto itself, its successors and assigns, the non- exclusive right to use and pass over and upon the SB Fort Pierce Parcel, to construct, reconstruct, install, maintain and repair access and related improvements and utilities over, under, upon and across the SB Fort Pierce Parcel, and the right to otherwise utilize the SB Fort Pierce Parcel for any purpose which does not adversely affect the rights granted to Angle Properties hereunder. Notwithstanding anything in this paragraph to the contrary, the right of Angle Properties to use and enjoy the S13 Fort Pierce Access Easement shall not commence until the completion of the construction and development of permanent vertical improvements of the Angle Properties Parcel, as evidenced by the issuance of a certificate of occupancy for such improvements to be constructed over and upon the Angle Properties Parcel. 4. Maintenance. Each party hereto shall be obligated to maintain the paved areas, driveways, roadways and accessways that may exist from time to time on its parcel in good condition and repair, at the sole cost and expense of such party. In the event that either party does 01443588.v2-10/3i17 OR BOOK 4050 PAGE 234' not keep in good condition and repair such improvements upon its parcel, the other party may do so, provided such party gives written notice to the party failing to perform any necessary repair or maintenance not less than thirty (30) days before undertaking such repair and maintenance, and any expense incurred by the party sending such notice in connection with such repair and maintenance shall be reimbursed by the party failing to perform the repair and maintenance, on demand, together with interest thereon at the highest rate allowed by law, commencing thirty (30) days alter the date demanded until the date paid. In addition, notwithstanding the foregoing, in the event that any repair or maintenance is necessitated by damage caused by any party hereto or the agents, invitees or independent contractors of such party, such party shall he responsible for the repair and maintenance necessitated by damage and its failure to perform such repair and maintenance shall be governed by the provisions contained herein authorizing one of the other parties to perform such repair and maintenance if the party causing such damage fails to timely do so. SB Fort Pierce shall be obligated to maintain the utility facilities and improvements constructed by SB Fort Pierce within the Utility Easement Parcel at its expense; provided, however, that in the event that any repair or maintenance is necessitated by damage caused by Angle Properties, or the agents, invitees or independent contractors of Angle Properties, Angle Properties shall be responsible for the repair and maintenance necessitated by damage and its failure to perform such repair and maintenance shall be governed by the provisions contained herein authorizing the other party to perform. 5. Restriction on Anglc Properties Parcel. Neither the Angle Properties Parcel nor any portion thereof shall be used for the operation of a variety discount store or competing dollar store (e.g., Dollar General, Dollar Trec, Fred's). 6. Duration, Except as expressly staled otherwise in this Declaration, it is intended that the easement rights granted herein shall be perpetual and shall continue in existence until such time as the holders of fee simple title to the SR Fort Pierce Parcel and the Angle Properties Parcel join in the execution, delivery and public recordation of an agreement wherein said casement rights arc wholly or partially terminated or modified. 7. No Merge . 'rhe current or future common ownership of fee simple title to the SB Fort Pierce Parcel and the Angle Properties Parcel shall not result in extinguishment by merger, if applicable, of any easement right herein granted, created, declared, dedicated or established. 8. Successors and Assigns. All provisions herein contained shall run with the land, bind and inure to the benciit of the current and Future holders of fee simple title to the SB Fort Pierce Parcel and the Angle Properties Parcel and their respective successors and assigns. 9. Attorney's Fees. In the event any litigation should arise over the interpretation, scope, or enforcement of any part of this Declaration, the prevailing party in such litigation shall be entitled to recover its reasonable attorneys' fees and other legal expenses relating thereto, including, without limitation, those incurred at or before the trial level and any appellate, bankruptcy or administrative proceeding. The easements and covenants contained herein shall be enforceable by suit for specific performance and mandatory injunctive relief, in addition to any other remedy provided by law or equity. 11. Time of the Essence. Time is of the essence with respect to all matters set forth herein. 12. Insurance and Indemnity. SB Fort Pierce and Angle Properties each agrees to obtain and keep in force from and after the date of this Declaration, at such party's own cost and expense, commercial general liability insurance in an amounts of not less than $1,000,000.00 per occurrence and $2,000,000 in the aggregate, as well as excess or umbrella liability insurance in an amount of not less than $2,000,000.00 insuring against accidents and events occurring upon its Parcel. Such insurance shall be issued by an insurance company licensed to do business in the State of Florida and rated A- and have a financial size category of X or better by the then current Best's Guide. Every such policy shall name the other party as an additional insured thereunder. A certificate or a copy thereof shall be delivered to the other party within twenty (20) days after the execution of this Declaration and thereafter within thirty (30) days prior to the expiration of each such policy, and as often as any such policy shall expire or terminate, renewal or additional policies shall be procured and maintained in like manner and to the like extent, wilt always he available and to protect the value of each Parcel. Each policy will be written as a primary policy which does not contribute to and is not excess coverage to that which any insured or additional insured may carry. Notwithstanding the foregoing, the liability insurance carried by SB Fort Pierce may be provided by a primary policy or a combination of primary and excess or umbrella policies, and will be subject to such deductibles and self -insured retentions as SB Fort Pierce elects at its sole discretion. Any insurance required hereunder may be maintained by means of a policy or policies of blanket insurance covering additional items or locations or insureds. The parties agree that, with respect to any loss or damage which is covered by insurance required hereunder, the Owner hereunder required to maintain such insurance and who incurs the loss or damage, releases the other patty from any claims with respect to such loss or damage which is or would have been recoverable under such insurance. Further, the parties mutually agree that their respective insurance companies shall have no right of subrogation against the other party on account thereof, and their policies shall contain a clause waiving such right of subrogation. Each party, and their successors and assigns, agrees to forever defend, indemnify, release and hold the other party and its successors and assigns, harmless from and against any and all claims, demands, damages, expenses, losses, fees, liabilities and/or suits or other actions whatsoever arising upon that party's parcel, except for damages to the extent, but only to the extent, caused by acts or omissions of the other party, its successors and assigns, or the permittees of that party.
