(Florida GC license #CGC 1524267) is pleased to furnish the following contract to manufacture and install one corrosion resistant Aquastore glass - fused -to -steel water storage tank for the above referenced project. Nominal tank dimensions are 36' diameter x 28' sidewall height with 213,000 gallons water storage. The Aquastore bolted technology combined with our specialized jacking system enables the tank to be built very quickly without dangerous scaffolding or expensive crane time. The corrosion resistant glass -fused -to -steel interior and exterior surface will eliminate the need for costly sandblasting and repainting which will significantly reduce owner's life time maintenance cost. Our factory trained and certified building crew will ensure the strict quality control measures in the factory are carried out in the field. Field coated tanks are subject to environmental and workmanship variables. • Structurally Embedded Foundation — Florida Aquastore utilizes a two pour system with a structurally embedded 19" base ring. Half of the base ring is embedded into the concrete foundation. This is the most structurally sound method of securing the tank to the concrete base. • Expandability — The Aquastore bolted tank system can be pre-engineered for future expansion if specified ahead of time. SCOPE OF SUPPLY: The materials, fabrication, and erection of the bolted steel tank shall conform to the AW WA Standard for "Factory Coated Bolted Steel Tanks for Water Storage" — ANSUAW WA D103 (-97 or -09). Replacement of sealer (if needed) due to delayed installation will be to the account of the buyer. NOTE (2): Construction access road and the construction staging area as Shown on Exhibit A are not necessary and are not included in our scope. (See attached.) QUALM Installation service offered in this Proposal will be performed by trained personnel regularly engaged in the installation of bolted steel tanks. FREIGHT Estimated freight to Ft. Pierce, FL is included in the lump sum price. Off-loading materials at jobsite is by Florida Aquastore DELIVERY It is estimated that fabrication of the tank components can be completed 6-8 weeks after receipt of the Engineer's/Buyer's approved submittal drawings which are attached as Exhibit A and accepted by Florida Aquastore. If time is of the essence, we will work with you to expedite your delivery schedule. INSTALLATION TIME Estimated time is based on a Florida Aquastore certified building crew. Site Work & Foundation Construction: 10 -15 working days Erection of Tank and Dome: 10 -15 working days Cascade Aerator & Accessories: 4-6 working days FURNISHED BY BUYER 1. Soil study and certification of proper soil bearing capacity. 2. DEP permit. (Building permit is by Florida Aquastore.) 3. PE -stamped As -Built drawings are not included in this contract. 4. Power generator, if temporary power is not available. 5. Water with temporary piping & pump (if needed) for flooding slab after concrete is poured (typically 3" depth), water for hydraulic testing, filling or refilling. 6. Any and all electrical requirements, if any. 7. Any and all instrumentation and controls, if any. Builders Risk on all peril insurance (see item 6 in General Terms section). 9. The quote is for non -union installation labor with no restrictive work rules. It is Buyer's responsibility to notify FA of prevailing wage or Davis -Bacon requirements prior to bid. PAYMENT TERMS: This contract stands on its own and is not subject to contractual conditions noted elsewhere. 30% Upon acceptance of proposal/contract due prior to release to production. 45% Upon notice that tank material is ready for shipment from the factory, due prior to shipment. 25% Upon substantial completion of Tank foundation, walls, and dome and provision of final release of liens and contractors final affidavit by Florida Aquastore. Due within 30 days of tank completion or successful hydraulic testing of the tank, whichever comes first. If hydraulic testing has not been successfully completed in this thirty (30) day period, Florida Aquastore will be paid 15% and the balance of 10% shall be retained until the tank is approved to be placed in service and successful hydraulic testing completed. This payment is not contingent upon other works or water testing. NOTE: Should tank completion and/or water testing be held up by Others, Florida Aquastore will be paid in full for final completion within 60 days from the time the project progress was halted. Delayed payment may result in possible stoppage of work and demobilization. NOTE: It is Florida Aquastore customary practice and procedure to exercise our statutory lien rights and payment bond claim rights on all projects involving non-payment. Florida Aquastore will follow the lien law (private project) or payment bond law (public project) schedules for notice to owner/surety and for the timely filing of notice of non-payment and mechanics lien when non-payment of invoices occur. Delivery must occur within 16 weeks from the order date. Noncompliance to the delivery time by Buyer will result in a price review. A signature below by both parties constitutes an executed binding contract between the Buyer and Florida Aquastore & Utility Construction, Inc. If additional costs are incurred by F.A doe to such conflict, the Purchaser hereby agrees to reimburse FA for the additional costs incurred. FONDO — Puerto Rim's Workers' Comp Insurance — For Puerto Rico Projects only The customer shall be liable for providing Builder's Risk Insurance and/or All Peril Insurance, m protect contractor from any and all occurrences beyond the scope of their work. Coverage shall include but not be limited to fire, theft, vandalism, wind, flooding, humcartes, earthquakes, etc. m any and all other acts of god not specifically described above. Customer agrees to reimburse Florida Aquastore for any and all costs not covered by All Peril or Builde 's Risk Insurance. 7. PURCHASER ACCEPTANCE OF ERECTED EQUIPMENT When erection of the equipment Hems completion, FA shall give Purchaser seventy-two (72) bents verbal notice tint the equipment shall be ready for inspection and acceptance. Purchaser agars to provide, on seventy-two (72) hours notice, an authorized agent to meet at the site with FA ereetion persoane, to inspect the ereesed equipment and accept same Ranter on behalf of the Purchaser. Any back ordered items not installed at the time shall be fisted on the "Acceptance Agreement' with the written understanding that FA is responsible for installing the subject equipment. Back ordered items shall be received by the Purchaser at the "back ordered address" previously provided and stated until the FA installation is scheduled S. PREPARATION FOR STARTUP OF ERECTED EQUIPMENT Upon completion of erection, FA shall inform the purchaser that the erected equipment is ready to be placed in service.
