TIME & MATERIAL POLICY
The Company Policy regarding payment of Time and Material Engineering Work
is as follows:
All Invoices must be paid prior to:
(A) County or Agency Submittals,
(B) The release of Plans Signed or Unsigned,
(C) Final Certifications.
NOTES:
(1) Principal Time may be figured upon a percentage basis.
(2) Site Inspections are a Minimum of One (1) hour chargeable time;
Time includes travel to and from site.
(3) Subcontractor Costs will be Invoiced at direct cost plus 10% fee.
(4) Expert witness fees for above fields the hourly rate is doubled.

1. DEFINITIONS

a. "Client" shall mean the person, owner, firm., or corporation for whom the Services are to be performed,
identified on the face of this Service Agreement.
b. "Provider of Services" shall mean the Company named on the face of this Service Agreement and will
herein be known and called the "Provider of Services".
C. "Client Order" shall mean the purchase order, request, authorization (written or verbal), or other
notification and addition or modification thereto whereby Client indicates its desire that Provider of
Services famish services.
d. "Provider of Services Proposal" shall mean the letter, proposal, quotation, or other notification,
including any response to a Client Order, wherein Provider of Services offers to furnish services and to
which these Standard Provisions are attached.
e. "Services" shall mean the services described in the Provider of Service's Proposal, Attachment "A", or
Client Order and any other services as may be added to or performed in connection with this contract.
f. "Contract" shall mean this Service Agreement and the Standard Provisions, and the Provider of Services
Proposal, and shall include, only to the extent not inconsistent with any aspect of the Provider of
Services Proposal and these Standard Provisions, the provisions of the Client Order.
2. EQUIPMENT AND ACCESS TO SITE
Provider of Services will provide the specialized portable test equipment required for those items under the Scope
of Services which involve field testing. Client will provide Provider of Services with access to all facilities
involving field survey services and will make available for Provider of Services use such as maps, drawings, and
records as are needed for the proper conduct of the Services.
Construction supervision by the Provider of Services is deemed to be part of this contract at the option of the
Provider of Services. Non-compliance with this paragraph shall render the plans null and void. The
Construction Phase will commence with construction at the site and will terminate when the final certification
is given by the Provider of Services.
3. BILLING
Unless specified otherwise in the Provider of Services Proposal, Provider of Services shall be compensated as
follows:
a. Unless otherwise stated in the Service Agreement portion of this contract the Time and Material rates
charged are those contained in Schedule "B". These rates may be increased during the term of this
contract within sixty (60) days of written notification by Provider of Services to the Client.
In addition to payments provided for the services rendered, Client shall pay Provider of Services actual
costs of all reimbursable expenses including but not limited to, blueprinting, plotting, messenger fees,
mileage, postage, including express mail fees, etc.. Reimbursable expenses are defined as out-of-pocket
expenses incurred by the Provider of Services in connection with the project for all basic and additional
services and supplies.
b. Provider of Services invoices are rendered monthly and are payable upon receipt unless modified by
provisions in the Service Agreement signed by the Client and Provider of Services. Invoices past due
ten (10) days shall bear and incur interest at the rate of 1.5%per month from the billing due date. Client
shall notify Provider of Services in writing within 5 days of receipt of any disputed charges. Both
parties will promptly resolve the disputed portion of the charges and the Client agrees to promptly pay
the resolved amount of the disputed portion. Client shall be considered in default of this Agreement, if

C. Provider of Services does not receive payment in full for invoiced services with ten (10) days of invoice
date. Upon default, Engineer may suspend or terminate services under this Agreement, without
incurring any liability or suspension or termination.
it. The Client is the owner of the previously described property or warrants that he/she has obtained the
owners written consent and agreement that any, and all further owners, of said property shall take title
pursuant to the Standard Provisions of this Contract.
e. If any invoice or portion thereof remains unpaid more than sixty (60) days following invoice date, the
Provider of Services may initiate legal proceedings to collect same including all legal, employee, and
office expenses incurred. In the event Provider of Services liens the property and/or hires an attorney to
collect Provider of Services' fees, Client agrees to pay reasonable attorney's fees for collections, trial
and appeal, including, all costs and interest. The venue of legal proceedings shall be Martin County,
Florida.
f. The Client acknowledges and agrees that the payment for services rendered and expenses incurred by the
Provider of Services pursuant to this agreement is not subject to any contingency unless the same is set
forth in the Service Agreement portion of this contract.
RESPONSIBILITY FOR SERVICES
a. Indemnification: Client shall, to the fullest extent permitted by law, indemnify, defend and hold Mathers
Engineering Corporation and Mathers Engineering Corporation's officers, directors, professionals, partners
and employees, and any of them (collectively for this entire Section as to "Provider of Services"), harmless
against all claims, suits, fines and penalties, including attorneys fees and costs of settlement and defense,
which such liabilities arise out of or are related to this Agreement or Services, except to the extent that they
are caused solely by Provider of Services' negligent or willful misconduct. Such compensation shall be
based upon Provider of Services' prevailing fee schedule and expense reimbursement policy. Limitation of
Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, AND NOTWITHSTANDING ANY
OTHER PROVISION OF THE SERVICE AGREEMENT OR THESE STANDARD TERMS, AND
CONDITIONS, THE TOTAL LIABILITY, IN THE AGGREGATE, OF PROVIDER OF SERVICES, TO
THE CLIENT AND ANYONE CLAIMING BY OR THROUGH THE CLIENT, FOR ANY AND ALL
CLAIMS, LOSSES, COSTS AND EXPERT WITNESS FEES AND COSTS OF ANY NATURE
WHATSOEVER OR CLAIMS EXPENSES RESULTING FROM OR IN ANY WAY RELATED TO THE
PROJECT OR THE SERVICE AGREEMENT FROM ANY CAUSE OR CAUSES SHALL NOT EXCEED
THE HIGHER OF THE (i) TOTAL COMPENSATION RECEIVED BY PROVIDER OF SERVICES
UNDER THE SERVICE AGREEMENT OR (ii) THE TOTAL AMOUNT OF $6,000.00. 1T IS INTENDED
THAT THIS LIMITATION APPLY TO ANY AND ALL LIABILITY OR CAUSE OF ACTION
HOWEVER ALLEGED OR ARISING, WHETHER CAUSED BY PROVIDER OF SERVICES'
NEGLIGENCE, INCLUDING ERRORS, OMISSIONS, FOR OTHER ACTS OR FOR ANY DAMAGE
BASED IN CONTRACT, OR FOR ANY OTHER CAUSE OF ACTIONS, UNLESS OTHERWISE
PROHIBITED BY LAW, AND CLIENT SHALL INDEMNIFY AND HOLD PROVIDER OF SERVICES
HARMLESS FROM ANY SUCH DAMAGES OR LIABILITY.
b. In the course or performance of its Services, Provider of Services may rely upon information supplied by
Client or Client's contractors or consultants, or information available from generally accepted reputable
sources without independent verification.
c. The Client assumes all the responsibility for construction site safety, the Provider of Services shall not be
responsible for construction site safety.
d. No guarantee is expressed or implied for the action of government officials to provide the desired approvals.

e. In the event litigation in any way related to the services performed hereunder is initiated against the Provider
of Services by the Client, its contractors, or subcontractors, and such litigation concludes with the entry of a
final judgment favorable to the Provider of Services, the Client shall reimburse the Provider of Services for
all of its reasonable attorney's fees and other expenses related to said litigation. Such expense shall include,
but not be limited to, the cost, determined at the Provider of Services' normal hourly billing rates, of the time
and direct expenses devoted to the defense of such litigation by Provider of Services employees.
If Client maintains all of builders risk or other physical damage insurance, whether direct or indirect,
including but not limited to boiler, machinery, fire, and outage insurance, or enters into a so-called "wrap-up"
insurance agreement, Client agrees to waive all rights of recovery against Provider of Services with respect to
loss or damage which is covered by such insurance coverage. Client also waives all liability Provider of
Services arising from loss of or damage to property of Client, and further agrees to indemnify Provider of
Services against all such liability, whether or not such loss or damage is covered by insurance policies
maintained by Client and whether or not such loss or damage results or is alleged to result from the fault or
negligence, including sole negligence, of Provider of Services.
g. Performance by Provider of Services of any quality assurance or vendor quality assurance services shall in no
way constitute an assumption by Provider of Services of any, or relieve a contractor, manufacturer or
supplier from full responsibility for delivery of all services, materials, equipment, and documentation in strict
accordance with the requirements of the contractor, manufacturer, or supplier/Client purchase contract.
h. Drawings and Specifications as instruments of service are and shall remain the property of the Provider of
Services whether or not the Project for which they are made is executed. They are not to be used by the
owner on other projects or extensions to this Project except by agreement in writing and with appropriate
compensation to the Provider of Services.
i. Client agrees that the bylaws, or other governing documents, of the homeowners/condominium association
will require the association to perform, as recommended in their association documents and maintenance
manuals, all routine maintenance, inspections and other necessary repairs and maintenance called for as a
result of these inspections. The bylaws should also contain an appropriate waiver and indemnity in favor of
Provider of Services and the contractor if the recommended maintenance services are not performed.
INSURANCE
a. During the course of performance of the Services, Provider of Services will maintain for the
protection of Provider of Services and its employees. Workers' Compensation and Employers'
Liability, and Comprehensive General Liability.
b. If requested by Client, Provider of Services shall deliver to Client certificates of insurance completed
and will not be cancelled or materially changed until thirty (30) days after written notice is given to
client.
DELAYS
Neither party shall be considered in default in the performance of its obligations under this Contract to the extent
that the performance of such obligations is prevented or delayed by any cause beyond the reasonable control of
the affected party, and the time for performance of either party hereunder shall in such event be extended for a
period equal to any time lost as a result thereof.
CHANGES AND TERMINATIONS
Client shall have the right to make changes within the general scope of the Services upon execution of a mutually
accepted change order. Client shall also have the right to terminate this Contract prior to completion of the
Services, after reasonable notice to Provider of Services in writing, in which event Client shall pay Provider of
Services all amounts due Provider of Services hereunder up to the effective date of termination, plus Provider of
Services' reasonable costs incurred after such date in terminating the Services.

8. CERTIFICATE OF MERIT

The Client shall make no claim for professional negligence either directly or by way of a cross complaint against
the Provider of Services (Consultant) unless the Client has first provided the Consultant with a written
certification executed by an independent consultant currently practicing in the same discipline as the Consultant
and licensed in the State of Florida. This certification shall: a) contain the name and license number of the
certifier; (b) specify the acts or omissions that the certifier contends are not in conformance with the standard of
can for a consultant performing professional services under similar circumstances; and c) state in detail the basis
for the certifier's opinion that such acts or omissions do not conform to the standard of care. This certificate shall
be provided to the Consultant not less than thirty (30) calendar days prior to the presentation of any claim or the
institution of any arbitration orjudicial proceeding. This Certificate of Merit clause will take precedence over
any existing state law in force at the time of the claim or demand for arbitration.
If the Project or the Consultant's services are suspended by the Client for more than thirty (30) calendar
days, consecutive or in the aggregate, over the term of this Agreement, the Consultant shall be compensated
for all services performed and reimbursable expenses incurred prior to the receipt of notice of suspension.
In addition, upon resumption of services, the Client shall compensate the Consultant for expenses incurred
as a result of the suspension and resumption of its services, and the Consultant's schedule and fees for the
remainder of the Project shall be equitably adjusted.
If the Consultant's services are suspended for more than ninety (90) days, consecutive or in the aggregate,
the Consultant may terminate this Agreement upon giving not less than five (5) calendar days' written
notice to the Client.
If the Client is in breach of the payment terms or otherwise is in material breach of this Agreement, the
Consultant may suspend performance of services upon five (5) calendar days' notice to the Client. The
Consultant shall have no liability to the Client, and the Client agrees to make no claim for any delay or
damage as a result of such suspension caused by any breach of this Agreement by the Client. Upon receipt
ofpayment in full of all outstanding sums due from the Client, or curing of such other breach which caused
the Consultant to suspend services, the Consultant shall resume services and there shall be an equitable
adjustment to the remaining project schedule and fees as a result of the suspension.
10. DELAYS
The Client agrees that the Consultant is not responsible for damages arising directly or indirectly from
any delays for causes beyond the Consultant's control. For purposes of this Agreement, such causes
include, but are not limited to, strikes or other labor disputes; severe weather disruptions or other natural
disasters or acts of God; fires, riots, war or other emergencies; failure of any government agency to act in
timely manner; failure of performance by the Client or the Client's contractors or consultants; or
discovery of any hazardous substances or differing site conditions. In addition, if the delays resulting
from any such causes increase the cost or time required by the Consultant to perform its services in an
orderly and efficient manner, the Consultant shall be entitled to a reasonable adjustment in schedule and
compensation.
it. CODE COMPLIANCE
The Provider of Services shall put forth reasonable professional efforts to comply with applicable laws, codes and
regulations in effect as of the date of the execution of this Agreement. Design changes made necessary by newly
enacted laws, codes and regulations after this date shall entitle the Provider of Services (Consultant) to a
reasonable adjustment in the schedule and additional compensation in accordance with the Additional Services
provisions of this Agreement.

12. PRECEDENCE AND DIVISIBILITY
The provisions of the Provider of Services Proposal and these Standard Provisions shall fully govern any Services
furnished by Provider of Services and shall prevail over and render void any inconsistent or conflicting provision
of the Client Order. If any term, condition, or provision of this Contract is declared void or unenforceable, or is
limited in its application or effect, such event shall not affect any other provision hereof and all other provisions
shall remain fully enforceable.
13. ENTIRE AGREEMENT
This contract contains the entire agreement between the parties as to the Services rendered hereunder. All
previous or contemporaneous agreements, representations, warranties, promises, and conditions relating to the
subject matter of this Contract we superseded by this Contract.
14. GOVERNING LAW
Unless otherwise provided, the substantive law of the State of Florida will govern the validity of the Service
Agreement, its interpretation and performance, and remedies for contract breach or any other claims related to
this Agreement.
15. ASSIGNS
The Client may not delegate, assign, sublet or transfer his, hers or its duties, obligations or interests in the Service
Agreement without written consent of Provider of Services.

INSPECTORS REPORT
Keystone Engineering visited the site on 4-24-19 and also had several conversations with the
construction team by telephone throughout the week.
The swing stage has been removed from the D stack balconies and was rigged on the A stack
early in the week. Sliding glass door blockades were rigged and protection will be rigged
in work areas as excavations progress on the A stack.
On Wednesday morning, areas were marked for repair on the A stack balconies. Slab edge
excavations were in -progress on the Unit 2A balcony Wednesday afternoon, scheduled
to continue on remaining floors next week.

Activities in -progress: A stack demo, formwork, reinforcing steel detail, pre -pour, rust spots,
stray steel removal and grease cap repairs
INSPECTORS REPORT
Keystone Engineering visited the site on 5-3-19 and also had several conversations with the
construction team by telephone throughout the week.
On the A stack balconies, slab edge and surface excavations have been wrapped up on all
floors. Form construction and existing reinforcing steel detailing was being wrapped up
Friday on the A stack repairs. Rust spot excavations also remain in -progress on the A
stack balconies, scheduled for completion next week.
A pre -pour inspection was completed Friday morning on the A stack balcony repairs and minor
additional areas were marked for excavation prior to casting. Stray steel was also
marked for removal and post tension anchor pockets requiring cable trimming and
grease cap removal/replacement were marked for repair. Post tension cable grease cap
repairs are scheduled to begin next week.

Chipping, deck repairs and post -tension repairs are completed.
• Unit D3:
Chipping and deck repairs are completed.
• Unit D4:
Chipping and deck repairs are completed.
• Unit D5:

Chipping, deck repairs, edge repairs and post -tension repairs are completed.

INSPECTORS REPORT
Keystone Engineering visited the site on 2-19-19 and also had several conversations with the
construction team by telephone throughout the week.
Mobilization was completed with a. swing stage, storage trailer, tools and materials now on the
job site. The work area was fenced off and the swing stage has been rigged on the D
stack balconies in preparation for slab edge repairs.
A pre -construction meeting was held Tuesday morning and areas were marked .for repair on the
Unit 7D through 12D balconies. Excavations are now in -progress on the 1) stack in
order to expose post tension cable anchor heads and perimeter bursting bar steel to
determine necessary post tension cable lock -off locations, scheduled for early next
week. Areas will also be marked for repair on remaining D stack balconies next week.

INSPECTORS REPORT
Keystone Engineering visited the site on 2-26-19 and also had several conversations with the
construction team by telephone throughout the week.
Initial slab edge excavations were completed from the swing stage on the Unit 7D through 12D
balconies and a pre -pour inspection was finished Tuesday on repairs where post tension
cable lock -offs are not required. On the Unit 7D balcony, .post tension cable lock -offs will
be required on 10 north -south cables and 4 east -west cables in order to complete slab
edge excavations. Post tension cable lock -off installations are scheduled to begin next
week on the D stack balconies. Sliding glass door blockades were being rigged on
Friday in order to restrict resident access, scheduled for completion next Monday.
On Tuesday, areas were markedfor repair on the Unit 2D through 6D balconies and
excavations are now in -progress. On the D stack initial slab edge excavations,
excessive reinforcing steel with minimal coverage was found to be typical running
outside of post tension cable bursting bars/anchor heads along slab edge. Excessive
steel was marked for removal on the initial D stack excavations and will be re -inspected
next week.

construction team by telephone throughout the week.
Slab edge excavations are currently in -progress from the swing stage on the Unit 2D through
6D balconies and an initial inspection was completed on Monday. On the Unit 2D south
elevation slab edge, 14 north -south and 4 east -west post tension cables will require lock-
off/splice chuck repairs. Lock -off installations on the Unit 2D and 6D balconies are
scheduled for completion next week.

and sliding glass door protection was also rigged. Slab edge excavations on the D stack

INSPECTORS REPORT
Keystone Engineering visited the site on 3-15-19 and also had several conversations with the
construction team by telephone throughout the week.
Slab edge excavations are wrapping up from the swing stage on the D stack balconies and on
the Unit 2D east elevation slab edge, 14 north -south post tension cables and 4 east -west
cables will require lock-off/splice chuck repairs. Shoring was rigged beneath the Unit 2D
and 6D balconies and post tension cable lock -offs were installed. A single east -west
and north -south cable on the Unit 2D balcony and single north -south cable on the Unit
6D balcony were fully de -tensioned to avoid excessive lock -off excavations. Form
construction is currently in -progress on the Unit 2D and 6D post tension slab edge
repairs.
Slab edge excavations on the D stack balconies east elevation are currently in -progress from
outriggers, scheduled to continue next week. Minor surface excavations are also
currently in -progress on the D stack balconies and post tension cable splice
chuck/anchor head installations are scheduled to begin next Thursday on the Unit 2D
and 6D balconies.

Post tension cable splice chuck and anchor head installations were completed on the Unit 2D
and 7D balconies with 18 cables on the Unit 2D balcony repair and 15 cables on the Unit
7D balcony repair. Form construction and reinforcing steel installation were wrapping up
late in the week on the Unit 2D and Unit 7D balcony repairs and a pre -pour inspection is
scheduled for next week..
Remaining excavations were completed on the D stack balconies and stray steel removal is
currently in-progreii. Form construction is also now in -progress on the D stack repairs
and existing steel will be detailed next week in preparation for a pre -pour inspection,
scheduled for next Wednesday.

Keystone Engineering visited the site on 3-27-19 and also had several conversations with the
construction team by telephone throughout the week.
On the D stack balcony slab edge and surface repairs, stray steel removal was completed and
existing reinforcing steel was detailed. Formwork was constructed and post tension
cable grout pocket forms were set on slab edge repairs where lock-offs/splice chucks
are not required. Final formwork and reinforcing steel detailing was also completed on
the Unit 2D and 71D post tension cable repairs.
A pre -pour inspection was completed on all D stack balcony repairs Wednesday. Minor work to
post tension grout pocket forms was completed Wednesday and supplemental
reinforcing steel was added to the Unit 2D slab edge/post tension cable repair during the
pre -pour inspection in order to tie-in steel at the southeast corner using #4 rebar.
Casting of all D stack balcony repairs was finished Wednesday afternoon in preparation
for post tension cable re -tensioning, scheduled for next Tuesday.

Post tension cable re -tensioning was completed Tuesday on 10 cables on the Unit 2D balcony
and 7 cables on the Unit 7D balcony. A single de -tensioned east -west cable released at
the splice chuck during re -tensioning Tuesday on the Unit 7D balcony and excavations
were made to expose existing cable and reinstall the splice chuck. Lock -off areas where
cable re -tensioning was completed were cast back Tuesday afternoon and re -tensioning
of all remaining post tension cables on the Unit 2D and 7D balcony repairs was finished
on Friday. Sheathing was installed over exposed cable/splice chucks and cable ends
were burnt with grease cap installations now in -progress.
On the D stack balcony slab edge repairs, formwork has been removed and post tension cable
grout pocket forms were removed in preparation for grease cap installations and grout
pocket filling. Drip edge cutting is now in -progress at repaired areas and stucco finish
application at slab edge repairs was in -progress Friday, scheduled to continue next
week.

construction team by telephone throughout the week.
On the D stack balconies, all post tension cable lock -off areas have been cast back and cables
have been trimmed with grease caps fitted where necessary. Post tension cable grout
pockets were filled and stucco finish application over repaired areas on balcony slab
edges/ceilings was finished with priming/painting now in -progress, scheduled for
completion next week.
Drip edges have been cut on all D stack balcony slab edge repairs and the Unit 7D shrinkage
crack has been routed and filled with epoxy. Waterproofer deck coats and final top
coats on balcony decks over repaired areas are scheduled for completion next week in
preparation for punch out work.

INSPECTORS REPORT
Keystone Engineering visited the site on 4-18-1.9 and also had several conversations with the
construction team by telephone throughout the week.
On the D stack balconies, remaining minor rust spot repairs were completed and
priming/painting has been finished over all repaired areas. Surface grinding was
completed at repaired areas to minimize water ponding and waterproofer deck coating
was applied over all repairs. Final top coats were also applied to balcony deck repairs
on the D stack.
A final inspection was completed Thursday on the D stack balconies with minor punch list work
finished that afternoon. Swing stage removal was in -progress Friday and the swing
stage will be rigged on the A stack balconies in order to begin marking out repairs next
week.
