CERTIFICATE OF CORPORATE SECRETARY
The undersigned, being the Secretary of MASTEC, INC., a Florida corporation
("MasTec"), hereby certifies on behalf of MasTec, to the best of his knowledge, information and
belief:
(1) He holds the office with respect to MasTec as set forth below;
(2) MasTec is a corporation duly organized, validly existing and in good standing under
the laws of the State of Florida;
(3) Effective in March 1994, BURNUP & SIMS, INC., a Delaware corporation,
changed its name to "MasTec, Inc." and the Name Change Amendment was filed
with the State of Florida Secretary of State as evidenced by Attachment "A";
(4) MasTec, Inc., the Delaware corporation, merged into MASTEC
REINCORPORATION, INC., a Florida corporation, on June 1, 1998 as evidenced
by Attachment "B";
(5) MasTec Reincorporation, Inc. also changed its name to MasTec, Inc., the Florida
corporation, on the same date; and
(6) MasTec: is the Sole Shareholder of MASTEC NORTH AMERICA, INC., a Florida
corporation.
