HomeMy WebLinkAboutSITE LEASE AGREEMENTSCANNED BY St. Lucie County SITE LEASE AGREEMENT Lessors Site NumbeffName: FL-5553 Fort Pierce Lessee's Site Number/Name: 152-1053 /FP50 This Site Lease Agreement ('SIX), made this -4f- day of t `N u , 2012 ("Effective Date") between GTP Structures I, LLC, a Delaware limited liability company, with its principal officd3 t sated at 750 Park of Commerce Blvd., Suite 300, Boca Raton, FL 33487 hereinafter designated as LESSOR and New Cingular Wireless PCS, LLC, a Delaware limited liability company, with its principal offices at 12555 Cingular Way, Suite 1300, Alpharetta, GA 30004, hereinafter designated as LESSEE. 1. This Site Lease Agreement is a SLA as referenced in that certain Master Lease Agreement between Global Tower, LLC and Cingular Wireless LLC dated January 9, 2006 as amended by that First Amendment to Master Lease dated November, 2006 and the Second Amendment to Master Lease dated October 26, 2008 (the "Agreement"). All of the terms and conditions of the Agreement are incorporated hereby by reference and made a part hereof without the necessity of repeating or attaching the Agreement. In the event of a contradiction, modification or inconsistency between the terms of the Agreement and this SLA, the terms of the Agreement shag govern, with the exception of any requirements specific to this SLA. Capitalized terms used in this SLA shall have the same meaning described for them in the Agreement unless otherwise indicated herein. 2. The Property owned by the LESSOR is described as follows: 5855 Orange Avenue, City of Fort Pierce, County of St. Lucie, State of Florida as further described in Exhibit i attached hereto and incorporated herein by this reference. 3. The Premises leased by the LESSOR to the LESSEE hereunder is described as follows: Total Ground space of approximately (220 sgft.) as further described in Exhibits 2 and 4 attached hereto and incorporated herein by this reference.. . 4. In the event an Exhibit 2 is attached hereto describing the Premises, the LESSEE shall have the right to survey the Property and/or Premises and said survey shall then become Exhibit 2A, which shall be attached hereto and made a part hereof and shall control in the event of any discrepancies between it and Exhibit 2. The cost for such work shall be bome by the LESSEE. 5. The term of this SLA shall be as set forth in Paragraphs 4 and 5,of the Agreement, and the date certain envisioned in Paragraph 4 of the Agreement is June 1, 2012 or an NTP issued by GTP. Notwithstanding the foregoing Rent shall not commence until fifteen (15) days after LESSOR has provided LESSEE with notice that modification to the Tower has been completed and LESSEE may proceed with installation. 6. - The rental for the initial term pursuant to this SLA shall be due at an annual rental of Thirty Two Thousand Seven Hundred Seventeen and 161100 Dollars ($32,717.16) to be paid in equal monthly installments of Two Thousand Seven Hundred Twenty Six and 431100 Dollars ($2,726.43) on the first day of the month, in advance, to Global Tower Holdings, LLC I (c/o: SunTrust Bank), P.O. Box 116465, Atlanta, GA 30368-6465. LESSOR may, from time to time, designate in writing at least thirty (30) days in advance of any rental payment date. In accordance with section 6 of the Agreement, the Rent for each year shall be 103%of the annual Rent for the immediately preceding year commencing on the annual anniversary thereof. 7. If the Property is subject to a prime lease, license or other such agreement affecting LESSOR's Interest at the Property, a copy of such agreement is attached hereto as Exhibit 3. 8. LESSEes Communication Facility Information (subject to modification in accordance to with the Agreement): Please see attached approved Collocation Application as Exhibit 4.
