year 2019 and subsequent years, which are not yet due and payable and those matters
set forth on Exhibit B attached hereto and by this reference made a part hereof
(collectively, the "Permitted Encumbrances").
AND the Grantor hereby covenants with said Grantee that the Grantor is lawfully
seized of said land in fee simple; that Grantor has good right and lawful authority to
sell and convey said land; that the Grantor hereby fully warrants the title to said land
and will defend the same against the lawful claims of all persons whomsoever; and that
said land is free of all encumbrances, except taxes accruing subsequent to December
31, 2018.

2. Restrictive covenant: The operating of any arcade or other gambling operations
on the real property referenced herein is prohibited unless consented to in
writing of the owner of the property which is more particularly described in
Exhibit "C" attached hereto and made a part hereof. This restriction shall run
with the land in favor of the owner of the property which is more particularly
