The meeting of the Green CDFI: Solar & Energy Loan Fund Meeting was held on Wednesday, July 7, 2010 in Conference Room 3 of the St. Lucie County Administration Building Annex, 2300 Virginia Avenue, Fort Pierce, Florida. Office Lia Gaines — Business Loan Fund of PB Greg Daniel — Business Loan Fund of PB Green CDFI: Solar & Energy Loan Fund of St. Lucie County Meeting July 7, 2010 Page 1 ITEM 1 N CALL TO ORDER: The meeting was called to order at 2:05 p.m. by Commissioner Coward ITEM 2 N SELF -INTRODUCTIONS: Commissioner Coward and those in attendance gave self -introductions. It was noted that Ms. Laura Hetherington was joining the meeting via teleconference. ITEM 3 N DOE GRANT AWARD — UPDATE AND OVERVIEW: Commissioner Coward asked Ms. Roberta Breene to give us an update on where we are at with the Department of Energy (DOE) grant so far. Ms. Breene gave an update on the DOE grant and provided the group with a copy of information on the (highlight, then hold down Control, click to open doc) EECBG Summary and Timeline 7-6-10.pdf. She said that the funds could be available by July 31, 2010, then final approval likely in mid -August. She stated that on page 2 of the document, the timeframe is crucial, the CDFI needs to be filed by November, 2010. Discussion ensued regarding CRA credits; mandates for the banks; and reaching out to other banks, etc. ITEM 4 N BOARD OF DIRECTORS (SOLAR AND ENERGY LOAN FUND) — MEMBERSHIP UPDATES: Commissioner Coward announced that Commissioner Chris Dzadovsky has been appointed as the St. Lucie County BOCC member of the Board of Directors for the Fund. Commissioner Coward said that he has reached out to numerous individuals that might be interested in serving on the Solar Loan Fund Board of Directors. So far, we have received letters from the following five: 1.) County Commissioner Chris Dzadovsky, BOCC representative 2.) Larry Pelton, Executive Director of the Economic Development Council 3.) Aileen Pruitt, Fla. Market Manager for PNC bank 4.) Thomas T. Cooper, AIA, American Institute of Architects Treas. Coast 5.) Julian Nazario, Program Director for the Green Collar Task Force Dan McIntyre stated that with these five (we could always add more names later) he could send the information to Attorney Bob Reid to get started with the incorporation papers for the Loan Fund. Bill Casey made a motion to accept the five individuals that have applied, Dolly Champey seconded the motion. The motion passed by voice vote. Green CDFI: Solar & Energy Loan Fund of St. Lucie County Meeting July 7, 2010 Page 2 ITEM 5 N LOAN COMMITTEE: Commissioner Coward asked for volunteers to serve on the Solar Loan Sub -Committee. It was agreed that the following five members will serve on the Loan Committee: 1.) Commissioner Chris Dzadovsky, St. Lucie County 2.) Aileen Pruitt, PNC Bank 3.) Laura Hetherington, IBM Federal CU 4.) Bill Casey, Oculina Bank 5.) John Wakefield, Eco2 Solutions Commissioner Coward said other sub -committees we may need to define are; Low -To - Moderate Income (LMI); Quality Control; Demographics; Qualified Installers. Commissioner Coward asked for volunteers for the LMI sub -committee. This is to define the criteria and target areas. So far we have the following volunteers: 1.) Commissioner Doug Coward, St. Lucie County 2.) Dolly Champey, IBM Federal CU 3.) Lucy Carr, PNC Bank (announced by Aileen Pruitt) Commissioner Coward said we will need a few more volunteers for the LMI committee. The members said that they would talk about it when their loan committees meet. Discussion ensued regarding how to handle the loans on tax bills, foreclosures, tax credits and rebates, etc. Ms. Lowery stated that if the timeline is August 1st, we would need to be staffed. We could possibly hire an interim Executive Director by August 1, 2010. Dan McIntyre suggested that we stay with Marsha Krassner, use her guidance and time- line to help us expedite the program and the CDFI certification. Commissioner Coward mentioned the links to the various loan applications by other counties that we had provided on the agenda for review. Discussion ensued regarding the applications. Commissioner Coward thanked everyone for attending the meeting today, and also asked Ms. Laura Hetherington (via telephone) if she had any other comments. Ms. Hetherington said "no."
