Fort Pierce, FL 34951 WHEREAS, OWNER is the record owner of the real estate and improvements, if any, loca ed at the Project Address stated above. WHEREAS, OWNER desires to make improvements on said property as more fully set forth in the Contract Documents (hereinafter called the, "Scope of Work"), NOW, THEREFORE, in consideration of the covenants herein contained, the said parties hereto mutually covenant and agree as follows: 1 I ME=4 _M� 1. Scope of Work; Contract Documents: CONTRACTOR agrees to execute the entire Scope of Work, as described in the "Contract Documents". The Contract Documents consist of this Agreement, the Drawings, Specifications and addenda issued prior to execution of this Agreement and change orders executed subsequent to the execution of this Agreement. The Contract Documents represent the entire and integrated Agreement between the parties hereto and supersede all prior negotiations, representations or Agreements, either written or oral. Where any provision of this Agreement is inconsistent with any other of the Contract Documents, this Agreement shall govern. An enumeration of the Contract Documents other than change orders is attaced hereto and incorporated by reference as Exhibit "A". Any work not specifically set forth in they Contract Documents, but otherwise requested by OWNER, required for completion of the Project, or otherwise set forth in any subsequent plans or specifications not contained within the Contract Documents shall be performed as a change order to the Agreement as set forth in Article 10. 2. Relationship of the Parties: CONTRACTOR and OWNER covenant and agree to cooperate fully with each other. CONTRACTOR further agrees to furnish efficient admilkistration and supervision, competent workers, quality materials, and to perform the Scope of Work in workmanlike manner consistent with the standards for the type of Work performed under this Agreement in the locale in which the Scope of Work is performed. OWNER agrees to cooperate with CONTRACTOR in the scheduling of the Scope of Work, avoiding any delays in making selections or approvals of change orders when required. 3. Price: OWNER shall pay CONTRACTOR in current United States funds, the total sum of Twenty Nine Thousand Forty Six and 54/100 dollars ($29,046.54) subject to additions or deductions based on authorized change orders and allowances ("the Contract Sum"). 4. Payment: OWNER shall pay CONTRACTOR in accordance with the schedule attached hereto as Exhibit "B". Payment shall be made by the OWNER within seven (7) days of receipt of CONTRACTOR's invoice. Unless otherwise noted, payments shall be for the full amoNt of the invoice. If payment is not received within seven (7) days of receipt of CONTRACTOR's invoice, CONTRACTOR shall have the right to stop work until payment is rece'ved or terminate the Contract, at CONTRACTOR's option. In the event CONTRACTOR stops work due to non-payment, OWNER shall pay all reasonable demobilization and remobilization costs incurred by CONTRACTOR resulting from such work stoppage. Any payments due to CONTACTOR and unpaid shall bear interest, at the highest interest rate allowed by law, from the date payment is due until payment is received by Contractor. CONTRACTOR shalhave no obligation to pay any of its subcontractors or material suppliers unless and until it has eceived payment for such work or materials from OWNER. 5. Final Payment: CONTRACTOR shall inform OWNER when all Work to be performed under this Agreement has been completed and final payment is due. At such time OWNER and CONTRACTOR shall walk the project to determine whether any "punch list" items remain to be completed. OWNER shall prepare and submit a single punch list which shall include any and all items OWNER believes are required to be completed or repaired and CONTRACTOR shalcomplete all such items reasonably necessary to complete the Work in accordance with this Agreement. In no event shall the existence of a punch list or other list of items to be corrected or 2 U I competed relieve OWNER of its obligation to make final payment to CONTRACTOR. Final payment is specifically not conditioned on the completion of any such list. CONTRACTOR shall not begin work on the punchlist until after receipt of the Final Payment. Upon final payment CONTRACTOR shall provide OWNER with a full and final release of CONTRACTOR's lien rights with respect to the Project. 6. Supervision/Subcontracts: CONTRACTOR shall be responsible for all of its Subci ntractors. CONTRACTOR will furnish on-site supervision of its Subcontractors as nece sary to carry out the Work in accordance with this Agreement. OWNER shall not interfere with the work of Subcontractors or with CONTRACTOR's relationships with Subcontractors. In the elvent that CONTRACTOR has used a Subcontractor to whom OWNER has a reasonable objection, CONTRACTOR may, in its sole discretion, terminate that Subcontractor and hire a replacement Subcontractor. In the event this occurs a change order shall be executed to reflect any iperease or decrease in the cost of the Work resulting from such change. Owner shall not allow,any other construction work to be performed on the property by others while CONTRACTOR is pe orming the Project work. 7. Contractor Responsibilities: 7.1. All work shall be in accordance to the provisions of the plans and specifications. All systems shall be in good working order. 7.2. All work shall be completed in a workman like manner, and shall comply with all applicable local building codes and laws. 7.3. All work shall be performed by persons or companies that are duly licensed to perform their said work, as required by law. 7.4. Contractor shall obtain all permits necessary for the work to be completed. 7.5. Contractor shall remove all construction debris and leave the project in a broom clean condition. 8. Owner Responsibilities: 8.1 The Owner shall not communicate directly with any of Contractor's subcontractors or otherwise interfere with the progress of the work. 8.2 The Owner will not assume any control over construction means, methods, techniques, sequences, procedures, or for safety precautions and programs in connection with the project, since these are solely the Contractor's responsibility. 9. Schedule: OWNER shall issue to CONTRACTOR a written notice to proceed. CONTRACTOR shall commence work as soon as is practicable after receipt of the notice. CONTRACTOR shall endeavor to diligently prosecute the work and complete same as soon as is reasonably possible, however, in no event shall CONTRACTOR be liable to OWNER for any 3 damages resulting from any delay in the completion of the Project and OWNER expressly waives any claim for such damages. Time is NOT of the essence, except as to payments due to CONTRACTOR hereunder. 10. Extra work/Changes Orders: Changes in the Scope of Work shall be accomplished by a written change order prepared by CONTRACTOR and signed by OWNER. Charges in the Scope of Work may be requested by CONTRACTOR or OWNER. CONTRACTOR may withhold such extra work until a change order is executed by OWNER. However, the execution by OWNER of a written change order prior to commencement of such extra work is not a condition precedent to payment to CONTRACTOR for such extra work, and CONTRACTOR may rely upon oral direction from OWNER and/or agents of OWNER in performing such extra work. For any extra work performed by CONTRACTOR, the Contract Sum shall be increased by the actual costs of CONTRACTOR, plus 20% of such actual costs as CONTRACTOR's overhead and profit. For each approved change order, CONTRACTOR reserves the right to be paid 50% of the cost of the Change Order prior to beginning the work, with the final 50%to be paid upon completion of the change order work. If this Agreement includes Allowances, CONTRACTOR shall be paid a 20% fee for all overages in excess of initial allowances. 11. Concealed Conditions. If conditions are encountered at the construction site which are subsurface or otherwise concealed physical conditions or unknown physical conditions of art unusual nature, which differ from those ordinarily found to exist and generally recognized as inherent in construction activities, and, if they cause an increase in the work and/or time required for performance of any part of the work, such additional work shall be treated as a Change Order resulting in additional costs pursuant to Paragraph 10 above. 11.1 The parties agree that dealing with hazardous materials,waste or asbestos requires specialized training, processes, precautions and licenses. Therefore, unless the scope of this agreement includes the specific handling, disturbance, removal or transportation of hazardous materials, waste, or asbestos, upon discovery of such hazardous materials the Contractor shall notify the Owner immediately and allow the Owner/Contractor to contract with a properly licensed and qualified hazardous material contractor. Any such work shall be treated as a Change Order resulting in additional costs and time considerations. 12. Inconsistencies and Omissions: Should any inconsistencies or omissions appear in the Contract Documents, CONTRACTOR shall notify OWNER in the event CONTRACTOR discovers such conditions. It shall not be CONTRACTOR's duty or responsibility to inspect the Contract Documents to determine whether any such conditions exist. In the event such conditions do exist and result in additional work, a change order shall be issued and CONTRACTOR's fee will be adjusted in accordance with Paragraph 10. CONTRACTOR does not rl ndertake any design responsibilities. 13. Exclusions: The Contract Sum does not include Permit Fees, Architectural or Eng'neering plans or reviews. 4 8"1 ner V A 14. Shop Drawings: During the prosecution of the Work, if necessary, CONTRACTOR shall submit to OWNER a copy of any required shop drawings or submittals for OWNER's approval. OWNER shall review and, if acceptable, approve such shop drawings and submittals within a reasonable time so as not to interfere with the prosecution of the Work. 15. Insurance: CONTRACTOR shall maintain and secure worker's compensation insurance or exclusions for all of its employees as well as employees of any Subcontractors. CONTRACTOR shall maintain general liability insurance in at least the amount of one million dollars ($1,000,000.00). OWNER shall be obtain and maintain Builders Risk Insurance throughout the time of the project. CONTRACTOR shall not be liable for any loss covered or that shou d have been covered (if OWNER failed to obtain Builders Risk). 16. Warranties: CONTRACTOR warrants that its work will be free from defects for a period of one year from the date of substantial completion. To the extent products, equipment, systems or materials incorporated in the Work are specified by the Owner, and/or Architect/Engineer, they shall be covered exclusively by the warranty of the manufacturer. There are rho warranties which extend beyond the description on the face of any such warranty. ALL IMPLIED WARRANTIES INCLUDING THE WARRANTY OF MERCHANTABILITY AND THE WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE ARE EXPRESSLY DISCLAIMED. CONTRACTOR's guarantees and warranties, including any applicable manufacturer's warranty provided by or through CONTRACTOR, are subject to and conditioned upon payment in full to CONTRACTOR for the work pursuant to this Agreement. CONTRACTOR shall not be liable in negligence, under its warranty, or for any statutory claim, unless CONTRACTOR has first been timely notified of any claim of deficiency or otherwise and allowed a reasonable time within which to investigate the issue and provide a remedy.or otherwise cure; this provision shall survive the term nation of this Agreement. 17. Disputes. In the event that there are any claims, disputes, or other matters in question, arising out of or relating to the performance of the Work or the Contract Documents, such claims or disputes shall be submitted to Arbitration in accordance with the Construction Induptry Arbitration Rules of the American Arbitration Association, unless the parties mutually agree otherwise. The prevailing party shall be entitled to recover its attorney fees and costs incl Ong, without limitation, paralegal fees, and the fees of expert witnesses and consultants from non-prevailing party. The fees and costs shall include those associated with obtaining the judgment based on the award and all fees and costs incurred in connection with collection of the judgment. In any arbitration, OWNER and CONTRACTOR agree that only one Arbitrator shall be utilied, and such arbitrator shall be Board Certified in Construction Law by the Florida Bar. 18. Termination: CONTRACTOR may terminate this Agreement in the event the Work is stopped for a period of thirty (30) days through no fault of CONTRACTOR as a result of the issuance of an order of a court, the building department, or other public authority having jurisdiction, ora act of government, such as a declaration of national emergency. CONTRACTOR may terminate this Agreement immediately in the event OWNER files a petition under the Bankruptcy Code. Failure of OWNER to timely pay an invoice from CONTRACTOR constitutes a material breach of this Agreement. These remedies are in addition to all other remedies available to CONTRACTOR under law. In the event of a wrongful termination by OWNER, CONTRACTOR shall be entitled to the portion of the Contract Sum corresponding to the amount of Contract Scope 5 furnished, the amount of costs incurred for materials and labor not yet furnished, and for the lost profits of CONTRACTOR for all work not yet furnished. 19. Severability and Waiver: The partial or complete invalidity of any one or more provisions of this Agreement shall not affect the validity or continuing force and effect of any other provision. The failure of either party hereto to insist, in any one or more instances, upon the perfo'mance of any of the terms, covenants or conditions of this Agreement, or to exercise any right erein, shall not be construed as a waiver or relinquishment of such term, covenant, condition or rig t as respects further performance. 20. Entire Agreement: This Agreement is solely for the benefit of the parties hereto and contains every obligation and understanding between the parties relating to the subject matter hereof, merges all prior discussions, negotiations and agreements, if any, between them, and neither party shall be bound by any representation, warranty, covenant, or other understanding unless it is in writing and duly executed by the parties hereto. 21. The following information is provided to you by CONTRACTOR in compliance with Florida Law: EITHER CONTRACTOR OR OWNER MAY CANCEL THIS AGREEMENT BY THE EXERCISE OF THE RIGHT TO RESCIND UNTIL MIDNIGHT OF THE THIRD BUSINESS DAY FOLLOWING THE EXECUTION OF THE CONTRACT BY GIVING NOTICE TO THE OTHER PARTY BY EITHER CERTIFIED MAIL OR REGISTERED MAIL. THE PARTY INVOKING THIS SECTION IS NOT LIABLE TO THE OTHER FOR ANY DAMAGES INCURRED BY CANCELLATION UNDER THIS SECTION. 22. The following information is provided to you by CONTRACTOR in.compliance with Flori a Law: PAYMENT MAY BE AVAILABLE FROM THE CONSTRUCTION INDUSTRIES RECOVERY FUND IF YOU LOSE MONEY ON A PROJECT PERFORMED UNDER CONTRACT, WHERE THE LOSS RESULTS FROM SPECIFIED VIOLATIONS OF FLORIDA LAW BY A STATE-LICENSED CONTRACTOR. ANY CLAIMS FOR CONSTRUCTION DEFECTS ARE SUBJECT TO THE NOTICE AND CURE PROVISIONS OF CHAPTER 558, FLORIDA STATUTES. 24. Entire Agreement: This Agreement is solely for the benefit of the parties hereto and contains every obligation and understanding between the parties relating to the subject matter hereof, merges all prior discussions, negotiations and agreements, if any, between them, and neither party shall be bound by any representation, warranty, covenant, or other understanding unless it is in writing and duly executed by the parties hereto. 25. In the event any term or provision of the Contract Documents is determined by an appropriate judicial authority to be illegal or otherwise invalid, such provision shall be given its nearest legal meaning or be construed as deleted as such authority determines, and the remainder of the Contract Documents shall be construed to be in full force and effect. 26. The following information is provided to you by CONTRACTOR in compliance with Florida Law: ACCORDING TO FLORIDA'S CONSTRUCTION LIEN LAW (SECTIONS 713.001-713.37, FLORIDA STATUTES), THOSE WHO WORK ON YOUR PROPERTY OR PROVIDE MATERIALS AND SERVICES AND ARE NOT PAID IN FULL HAVE A RIGHT TO ENFORCE THEIR CLAIM FOR PAYMENT AGAINST YOUR PROPERTY. THIS CLAIM IS KNOWN AS A CONSTRUCTION LIEN. IF YOUR CONTRACTOR OR A SUBCONTRACTOR FAILS TO PAY SUBCONTRACTORS, SUB-SUBCONTRACTORS, OR MATERIAL SUPPLIERS, THOSE PEOPLE WHO ARE OWED MONEY MAY LOOK TO YOUR PROPERTY FOR PAYMENT, EVEN IF YOU HAVE ALREADY PAID YOUR CONTRACTOR IN FULL.
